Air India Air Transport Services Limited. (AIATSL) a subsidiary of Air India Limited
has been formed to provide ground-handling services for Air India and Customer Airline’s
flights at various airports in India.
AIATSL Invites sealed / closed quotation under Two bid system for award of Service
Contract for providing Maintenance of Ground Support Equipment at Cochin from service
providers who have provided.

Eligibility Criteria:
The Service provider should comply with the following:

1. Should have a valid BCAS clearance to work inside the Airport sterile Area. Tender
submitted without BCAS clearance shall be rejected.
2. Should be registered as a company or Firm or Proprietorship or SSI
3. Minimum of one year experience in provision of manpower services as on 01/04/2015.
4. Should hold PAN No.
5. Should hold Service Tax Registration No.
6. Should have a minimum Annual turnover of Rs. 20 Lakhs during any one of the last
three Financial Year ending 31-03-2015
7. Should hold PF Registration
8. Should hold ESI Registration.
If any one of the above is not complied, the Tender submitted by the party shall be
rejected.
Note:
 No person of age below 18 shall be engaged for this service. Such person shall be
Physically fit to carry out the above nature of job.
 A shift work by 1 person constitutes 8 Hours and 30 minutes work which includes 30
minutes break. Timing of the shift will be intimated by GS authorized representative. 
 Location of the work is in the AIATSL work shop at Cochin International Airport
Confirm whether, your firm had been black listed by AirIndia or any of its subsidiaries. If
so please give the details.
Material for work:
Safety Equipments like googles/ safety shoes / uniform / mask / tool kits has to be supplied by the
Service provider.
All consumable and relevant items needed will be supplied by AIATSL
Welding machine to be provided by the Service provider.
Staff without uniform / safety shoes will not be permitted to work and will be considered absent.
Canteen arrangement:
The Service provider has to make his own arrangement for tea, coffee, refreshment and meals of their
employees during the working hours.
Supervision/Co-ordination:
The jobs are required to be carried out under the supervision of the service provider in coordination with
AIATSL officials regarding the subject work. They will also be responsible to maintain the records on
day-to-day basis and get it signed by the AIATSL officials.
Security Deposit:
While the contract is being awarded, the service provider should deposit an amount equal to 5% of the

work order value of the contract in the form of bankers cheque or bank guarantee within 02 weeks from
the date of issue of purchase order. This deposit will not carry any interest and shall be duly refunded on
successful completion of contract. Only those MSE's (Medium and Small Enterprise) registered with
NSIC (National Small Industries Corporation) are exempted from payment of security deposit up to their
monetary limit as specified in the NSIC certificate. AIATSL reserves the right to award the PO in excess
of the monetary limit and obtain 5% SD on the differential amount. MSE's registered with
agencies/bodies other than NSIC are not eligible for exemption of security deposit.
Earnest Money Deposit: - Rs. 32,000/- (Rs. Thirty Two Thousand Only) by way of bank draft / bankers
cheque drawn in favor of “Air India Air Transport Services Limited”, payable at Mumbai should be
submitted along with the Technical Bid. No other mode of payment is acceptable. Earnest money deposit
will not carry any interest. Earnest money deposit amount in respect of successful tenderers will be
adjusted against security deposit. Earnest money deposit in case of unsuccessful tenders will be refunded
only on finalization of the tender. In case, the unsuccessful tenderer fail or refuse to accept the contract
offered in full or in part, the earnest money deposit will be forfeited. Tenders received without earnest
money deposit shall be rejected.
In case of failure to commence the service as per scope of work, terms and conditions, upon acceptance
of letter of intent / order with in the stipulated time as mutually agreed, besides forfeiture of earnest
money deposit and security deposit, the order shall be cancelled and the service provider shall be
debarred for three years to participate in any of the tenders floated by AIATSL, in southern region. In case
of parties who are exempted from payment of EMD, relevant proof to be attached along with the
technical bid.
Airport Royalty/Levy Reimbursement.
The service provider shall pay the royalty/levy charge involved with Cochin International Airport Limited
for subject contract work and AIATSL shall reimburse the same on production of the proof of the payment.
Minimum Wages:
The successful bidder shall comply with minimum wages act for the workers engaged under this
contract and arrange to obtain the registration certificate from the appropriate authorities within
one month from the date of commencement of the work.
The service provider is required to take workmen compensation policy covering all persons
engaged under this agreement and such a policy shall cover the period of contract as specified in
the conditions of contract.
Working Hours, Leave Holiday:
The workers of the service provider shall work from 09:00 hrs. to 17.30 hrs. On ALL DAYS
excluding Sunday & holidays unless otherwise instructed. In case of exigency they may be
required to work beyond the normal timings. Shortfall in availability of manpower than due above
reasons shall attract penalty under penalty clause in addition to prorata deduction.
Price Clause:

The quoted rate should be valid for the entire contract period. No increase in rate other than
Government levies will be acceptable.
Termination and Exit Clause:In case of unsatisfactory performance or breach of any of the clauses of this contract, AIATSL
would issue a notice of 30 days to the service provider to rectify the breach and improve the
performance failing which AIATSL shall be at liberty to terminate this agreement by providing 30
days written notice to the service provider. The service provider shall not have any right to dispute
or question the judgment of AIATSL of unsatisfactory performance of the service provider.
AIATSL shall also be at liberty to terminate this agreement for any reason including change in
situation/circumstances, etc by providing to the service provider 90 days written notice. The
service provider shall also be at liberty to terminate this contract by providing to AIATSL 90 days
written notice. In such an event the terminated service provider shall have no right to claim
compensation/damages etc from AIATSL on account of early termination. However the service
provider shall duly comply with their respective obligations during the notice period and
thereafter, shall discharge the obligations arising out of the agreement till termination.
Arbitration:
Any dispute arising between the parties in respect of the construction, interpretation, application,
meaning, scope operation, or effect of this document or the validity or breach thereof, shall first be
settled by mutual consultation. If the dispute remains unresolved after a period of 90 days from the
date when the mutual consultation has started, the matter shall be referred for settlement to
“SCOPE FORUM OF CONCILIATION AND ARBITRATION,” Government of India at Cochin,
and the award made in pursuance thereof shall be binding on the parties.
Jurisdiction
In respect of any matter arising out of this contract, the Courts of Law in Cochin shall have the
exclusive jurisdiction and both the Parties submit to the said Jurisdiction.
Payment:
Generally payment will be made 60 days from the date of receipt of bills with all supporting
documents duly certified. The following documents shall be attached with the first month bill
failing which the bill may not be processed.
a. Proof of PF & ESI registration & contribution for the staff deployed by the service provider
for the above work for the preceding month to be enclosed along with maintenance bill for the
current month.
b. Proof of Salary advice in ECS to the bank for the previous month.

Penalties: - In Case of deficiency in service, the Quantum of penalty will be decided in
individual cases and decision of the AGM (GS) shall be final and binding on the service
provider.
If there is service deficiency and substantiated to be true, AIATSL, at its sole discretion reserves
the right to impose penalties on the successful tender for any deficiency in services. The quantum
of the penalty shall decide on case to case basis based on the merit of the case by the authorized
representative of AIATSL. In case of any dispute on penalty, the final authority for imposing
penalty rests with GM (GH) of the region. Deductions and Penalties shall be effected in the
monthly bill are as under.
Non provision of manpower: - Deduction on prorata basis from the service provider's monthly
bill for manpower not provided, and apart from that, 15% of such amount deducted shall be levied
as penalty.
Extension of Contract:


On expiry of the contract, the contract is renewable for a further period of One year or
part thereof at the same rate, terms & conditions if mutually agreed. If not, AIATSL,
reserves the right to extend the contract for a period of Three months at the same rate,
terms & conditions.
The validity of agreement comes to an end IPSO FACTO by efflux of time unless
otherwise renewed/terminated.
The Service provider personnel so deployed cannot claim permanent employment in
AIATSL.
Neither party hereto shall be liable for failure to perform or for delay in performing any of its
obligations under the contract other than those of billing and payment hereunder, if such failure or
delay is caused or results from a condition of Force Majeure.
The term Force Majeure as used in this contract means Accidents, Act of God, War, Revolt, Riot,
Fire, Tempest, Flood, Earthquake, Lighting, direct or indirect consequences of War (declared /
undeclared), Sabotage, Hostilities, National Emergency, Civil Disturbances, Natural Calamities,
Commotion, Embargo (Blockage), Strike at Company's / Service Provider’s premises or any law
or promulgation, Ordinance or Executive order whether Central or State or Local or Municipal
Authorities, Regulation or breakage / Leakage, Bursting or Freezing of pipeline.

If the Service Provider is capable of satisfying and abiding by the above conditions, then the
Service provider should submit their quotations in a MASTER Envelope containing two separate
envelopes, one for technical bid and one for financial bid.

Envelope – 1: (TECHNICAL BID) Must contain only the following
1. The duly filled in Technical Bid strictly as per the Format provided and other documents/
proofs.
2. DD of Earnest Money Deposit.
3. The envelope should be sealed and superscribed as “Technical Bid: Tender No.
AIATSL/15GSE/COK/12 Dt: 08.10.2015” With proper address and contact details.
Envelope – 2: (PRICE BID) must contain the following
1. Only financial Bid should be kept in this Envelope.
2. The Envelope containing duly filled in Financial Bid should be sealed and super scribed as
“Financial Bid for Tender No. AIATSL/15GSE/COK/12 Dt: 08.10.2015”with proper
address and contact details.
Envelope 3: (Master Envelope) should contain the following:

Both the envelopes for Technical and Financial Bids should be sealed and put in the Master

Terms and Conditions
1. ‘AIATSL’ as used in the Tender document means ‘Air India Air Transport Services
Limited’.
2. AI as used in the tender document means ‘Air India Limited’.
3. AIATSL being a subsidiary of Air India Limited have authorized Air India to carry out
administration, delegation and supervision of work handed over to tenderer.
4. AIATSL reserves the right to annul the tender and / or reject any or all financial bids
without assigning any reason.
5. The successful Tenderer, on award of LOI/ Contract and before commencement of
service, must deposit and continue to maintain for the entire period of the contract plus
one month, a sum equivalent to 5% of the Contract value as estimated by AIATSL, as
Security Deposit in the form of Bank Guarantee from a Scheduled Bank / Demand Draft.
Alternatively, the security deposit amount will be retained by AIATSL from the first bill.
6. In case of breach of Contract or violation of any terms of the contract by the successful
tenderer, AIATSL shall have the right to forfeit the Security Deposit.
7. Security deposit shall not bear any interest, and shall be refunded without interest only on
successful completion of the awarded work and on fulfilling of all contractual obligations.
8. If need arises, AIATSL reserves the right to novate the contract on same rates, terms and
conditions to Air India or Joint venture of Air India.
9.
Since AIATSL operates in a “Protected Industry”, all staff deployed by the service
provider for AIATSL duty should be verified by the state police for their character and
antecedents. Such Personnel shall not indulge in any illegal activities.
10. The service provider shall provide at his own cost proper uniform, Identity cards and
Personnel protective equipments.
11. All personnel should undergo appropriate Training /Familiarization before deployment.
Only Trained personnel shall be deployed in the work area.
12. The personnel who are likely to be deployed for t h e work shall be medically fit for
the subject work and no personnel either under the influence of alcohol or under stress
be deployed for AIATSL service.AIATSL reserves the right to subject the personnel
for Alcohol consumption test at random.
13. The service provider should supervise and control the working of the personnel provided
by him for the services. The successful tenderer shall be fully responsible for any act of
misconduct/indiscipline of his staff/employee and shall make arrangements to replace
such staff indulging in any misconduct/indiscipline promptly.
14. The Service provider shall furnish such statement related to the deployment of their
personnel staff to the representative of AIATSL as and when called for.
15. The Service Provider shall ensure that all safety and security regulations of
AIATSL and various other Agencies working in and around the Airport are strictly
followed by the Personnel deployed for this Service.

16. AIATSL will not be liable for any legal cases involving Service Providers’ Personnel and
Claims arising out of any incident / accident or non-compliance of any Rules/ Regulations
issued by Government or other regulatory bodies.
17. It is to be understood that the services rendered by the service provider will be of contract
nature and none of the employees can claim any financial or monetary benefit in course
of successful tenderer rendering its services to AIATSL.
18. Service Provider should comply with Safety, Security and Statutory Regulations and
indemnify AIATSL from any claims, damages, loss or penalty including costs thereof
arising out of any breach or violation or non-compliance.
19. The successful tenderer shall indemnify AIATSL against any claims, damages, losses or
penalties including costs thereof in case of liability arising out of any accident/incident
involving manpower deployed by them.
20. Damage caused if any and claims arising out of any damages caused by the Service
Provider/ Supervisor / his Staff in the course of rendering this Service, will be solely at
the cost and risk of the service provider. AIATSL will not accept any responsibility what
– so-ever in this regard.
21. AIATSL will not be responsible for any injury sustained by successful tenderer’s
personnel during the performance of their duties and the same to be met by the service
provider.
22. The successful tenderer shall indemnify AIATSL against any third party claims arising
out of equipment mishandling on the part of personnel provided by the successful
tenderer. The successful tenderer shall also indemnify to reimburse any loss or damage
by its personnel to AIATSL personnel or property including aircraft, machinery,
equipment or buildings. In case, any such amount is not deposited / paid to AIATSL, the
same shall be deducted from Security Deposit/Bills/Future payments due to the successful
tenderer.
23. If there is a service deficiency that is identified by Air India and substantiated to be true,
AIATSL, at its sole discretion reserves the right to impose penalties (if found necessary)
on the successful tenderer for any deficiency in the services. The quantum of the penalty
shall be decided on case to case basis based on the merit of the case by the authorized
representative of AIATSL . This would be apart from non-payment for services not
provided. In case of any dispute on penalty, the final authority for imposing penalty rests
with GM (GH) of the region.
24. Deduction of Tax at source or any other statutory taxes/ liabilities/ charges will be made
from the money payable to the handling service provider on the bills.
25. AIATSL will make payment on monthly basis by an account payee cheque payable at the
station serviced and is paid for the undisputed amount in 60 days from the date of the
receipt of the bills with support documents. Payments will be made for the actual number
of personnel provided.
Validity, Termination and Extension

26. The validity of the contracts comes to an end IPSO FACTO by efflux of time unless
otherwise renewed / terminated.
27. The Contracts will be awarded for a period of 2 years from the date of commencement of
the contract and extendable by AIATSL for 1 more year in part or in full, at the same
rates, terms and condition.
28. In case of unsatisfactory performance or breach of any clauses, AIATSL would issue a
notice of 30 days to the party to rectify the breach and improve the performance
failing which AIATSL shall be at liberty to terminate the agreement by providing a
30 days written notice to the Service Provider. The service provider shall not have any
right to dispute or question the judgment of AIATSL of unsatisfactory performance of the
Service Provider.
29. Notwithstanding the above, AIATSL shall also be at liberty to terminate the agreement
for any reason including change in situation/circumstances, etc., by providing to the party
90 days written notice. The party also is at liberty to terminate the contract by providing
AIATSL 90 days notice. In such an event, the terminated party shall have no right to
claim compensation/damages, etc., from the terminating party on account of early
termination. However, the party shall duly comply with their respective obligations
during the notice period and thereafter, shall discharge the obligations arising out of the
agreement till the termination.
30. AIATSL may at any time terminate the Contract with immediate effect by giving written
notice to the successful tenderer, if the successful tenderer becomes bankrupt or otherwise
insolvent, provided that such termination will not prejudice or affect any right of action or
remedy which has accrued or will accrue thereafter to AIATSL.
31. In case of breach of contract by the successful tenderer, AIATSL will have a right to
rescind the contract at any time without assigning any reasons & without any liability to
AIATSL. AIATSL also reserves the right to claim from the successful tenderer for any
loss sustained due to unsatisfactory performance of the contract.
32. Any disputes arising out of implementation of the contract between AIATSL and the
successful tenderer whatsoever shall be subject to the exclusive jurisdiction of courts at
Cochin and shall be subject to the laws of Republic of India.
33. Neither party hereto shall be liable for failure to perform or for delay in performing any of
its obligations under the Contract other than those of billing and payment hereunder, if
such failure or delay is caused or results from a condition of Force Majeure.
