A 1. Authority to Open/Continue Account(s)
2. Revocation of Previous Authorities
To grant overdraft loan or other credit facilities for any of the Customer’s Accounts and by way of security to accept as duly signed or executed by or on behalf of the
Customer any document creating or evidencing any charge, mortgage, pledge or security interest over or in respect of any money, securities, deeds, documents or other
property (including security boxes and their contents) at any time in the Bank’s possession for the Customer’s Accounts whether by way of security or safe custody or
otherwise, provided that the same are signed in accordance with the signing authorities contained herein.
4. Not to Restrict the Bank’s Right to Lien etc.
To act on any execution only instruction with regard to the purchase or sale of or subscription to or other dealings in securities or documents of title or any foreign currency
to accept and act on any application or request for the issue of any letter of credit guarantee indemnity or counter-indemnity and to act on any instruction with regard to
any other transactions of any kind or with regard to any of the Customer’s Accounts in every case whether any of the Customer’s Accounts are in credit or debit or may
become overdrawn in consequence or otherwise but without prejudice to the Bank’s right to refuse to allow any overdraft or increase of overdraft beyond any specified
overdraft limit at any time provided that the same are signed in accordance with the signing authorities contained herein.
3.4To grant overdraft facilities etc.
To honour and comply with any orders to withdraw any or all money on any Account in the Customer’s name and with any instructions to deliver, dispose of or deal with
any securities deeds, documents or other property whatsoever from time to time in the Bank’s possession for the Customer’s Account whether by way of security, safe
custody or otherwise provided that the same are signed in accordance with the signing authorities contained herein.
3.3To act on instructions with regard to securities etc.
To honour and comply with all cheques, drafts and orders to pay expressed to be drawn, signed or made on the Customer’s behalf drawn upon or addressed to or made
payable on the Bank whether the Customer’s Accounts are in credit or in debit or may become overdrawn in consequence or otherwise but without prejudice to the Bank’s
right to refuse to allow any overdraft or increase or credit facilities beyond any specified limit from time to time.
3.2To honour orders to withdraw money etc.
The Customer authorises and requests the Bank as follows:-
3.1 To honour cheques etc.
The Customer revokes all previous authorities given to the Bank but such revocation shall not affect any valid instruments of instruction payments, withdrawals,
applications, requests or contracts dated earlier than the date below. The Customer undertakes to notify the Bank of any changes to its signing authorities affecting the
operation of this Mandate by means of communicating to the Bank a properly certified instrument evidencing such a change.
3. Authorisation and Requests
The Customer requests and authorises the Bank to open/continue an Account or Accounts in the Customer’s name and at any time subsequently to open such further
Account(s) in the Customer’s name as the Account Holder may direct in accordance with the signing authorities contained herein.
The Customer agrees that nothing in this Mandate shall be treated as constituting an implied agreement restricting or negating any lien, charge, right of set-off or other
right the Bank may currently have expressly or implied by law.
5. Authorisation and Request to Apply to Every Account
In the absence of contrary written instructions signed by the Customer, this Mandate shall apply to all Accounts whether now or subsequently opened by the Bank in the
Customer’s name.
The Customer acknowledges that it must inform the Bank if it changes either its registered office or makes any changes to its constitution.
6. The Schedules to this Mandate
The Customer acknowledges and agrees that this Mandate and all of the Schedules form a single agreement between the parties and that the Customer’s signing of this
Mandate shall bind the Customer to the terms and conditions of each Schedule as if the Customer had separately executed the same. In the event of any inconsistency
between a Schedule and this Mandate, the Schedule shall prevail. Further, the Customer confirms as follows:
6.1 General Terms and Conditions
The Customer has read and accepts, and will retain, the General Terms and Conditions in Schedule 1 which, as amended or replaced at any time, shall apply to the
arrangements between the Customer and the Bank.

6.2Security Interest Agreement
6.3Safe Custody Agreement
The Customer has read and accepts, and will retain, the Safe Custody Agreement in Schedule 3 which, as amended or replaced at any time, shall apply to all safe custody
arrangements between the Customer and the Bank at any time.
6.4 E-Services Agreement
The Customer has read and accepts, and will retain, and hereby agrees to create security interests in the Bank’s favour in accordance with the terms and conditions set
out in the Security Interest Agreement in Schedule 2 and the Customer acknowledges that the Customer’s signing of this Mandate shall constitute a security interest
agreement for the purposes of the Security Interests (Guernsey) Law, 1993 as amended.
The Customer has read and accepts, and will retain, the E-Services Agreement set out In Schedule 4 which, as amended or replaced at any time, shall apply to all
E-Services provided by the Bank to me/us.
7. Supporting Documentation
For the purposes of FATCA all entities (Trust, Corporate or Unincorporated Bodies) must provide either an IRS valid GIIN Number or completed Form(s) W-8 (W-8Ben-E,
W-8IMY, W-8Ben) as appropriate to the type of entity involved.
7.1 For Trusts
The following items are required from the Customer. The Customer encloses the following:
(a) A resolution of the Trustee to open the Account
(b) A certified extract of the Trust deed detailing the formation date, the Trustees, Settlor(s), Beneficiary(ies) and Protector (if any) and confirming the powers to establish
bank accounts
(c) For Personal Trustees - certified copies of a valid passport and current utility bill for each individual Trustee together with a completed Personal Details form and Authority
to Obtain Reference forms
(d) (i) For Corporate Trustees regulated in an Appendix C country as per the GFSC listing - we require certified copies of the following:
• current Fiduciary Licence,
• an extract of Register of Directors and Register of Shareholders
• certified copy of valid passport, current utility bill, completed Personal Details forms and Authority to obtain Reference forms for at least two Directors
• certified copy of valid passport and current utility bill on all Beneficial Owners above 10%
• certified copy of valid passports on all authorised signatories
(d) (ii) For Corporate Trustees not regulated in an Appendix C country - we require, in addition to the documents detailed in (d) (i) above, a certified copy of the Certificate of
Incorporation and the Memorandum and Articles of Association
(e) Certified copy of valid passport, current utility bill and completed ‘Client Questionnaire’ document for settlor
(f) Certified copy of valid passport and current utility bill for Beneficiary(ies) and Protector (if any)
7.2 For Corporate and Unincorporated Bodies
The Customer encloses the following:
(a) A resolution of the board of directors (or equivalent body) of the Customer to open the Account
(b) A certified copy of the Customer’s certificate of registration/incorporation (or equivalent document), together with (where appropriate) a certificate that the Customer is
entitled to commence business
(c) A copy of the Memorandum and Articles of Association or equivalent document establishing the Customer’s constitution, certified as being complete and up to date
(d) A certified copy of the Register of Directors
(e) A completed Personal Details form for all of the directors/officers/partners/secretary who will have authority to sign on behalf of the Customer, under this Mandate
(directors/officers are preferred)
(f) A certified copy of the Register of Shareholders together with certified copy of valid passport, current utility bill and completed ‘Client Questionnaire’ document on any
owner and shareholder holding in excess of [10%] in the case of a corporate body and a list of members in respect of an unincorporated body
8. Definitions and Interpretation
Words and phrases used in this Mandate shall, unless the context otherwise requires, have the meanings given to them in the General Terms and Conditions and the rules
of interpretation specified in that document shall also apply to this Mandate.
