For 2017, the ceiling subject to Old Age Survivors and Disability Insurance
(OASDI) is $127,200. Wage subject to Medicare (Hospital Insurance) have no
limitation. The tax rate for OASDI and Medicare six point two (6.2%) percent
and one point forty five (1.45%) percentage respectively.
Effective for years beginning after December 31, 2012, employee share of
Medicare tax increases by an additional point nine (0.9%) percent on wages in
excess $200,000 for single individuals; $250,000 for married individuals filing a
joint return; and $125,000 for married individuals filing separate returns.

Employers are required to begin withholding the Additional Medicare Tax in the
pay period in which it pays wages in excess of $200,000 to an employee.
Individuals will report the Additional Medicare Tax on Form 1040 US, Individual
Income Tax Return. The additional Medicare tax also applies to self-employed
individuals.

On October 15th, 2016, the Puerto Rico Treasury Department (PRTD) launched
the Unified Internal Revenue System (SURI). SURI is a new tool that integrate
all the systems of the PRTD and manage the administration of different taxes.
All transactions related with IVU shall be made through SURI and all the officials
forms were replaced with the electronic formats produced by SURI.
Through the SURI webpage, Merchants can perform the following transactions:
(i) consult, update and modify a Merchant’s account; (ii) file or amend the
Declaration of Imports, Tax on Imports Monthly Return and the Monthly Sales
and Use Tax Return, including prior periods; (iii) make payments related with
debts, declaration and returns; (iv) requesting new Merchant’s Registration
Certificate, changes and cease of operations; and (v) request a Certificate of
Exemptions for Manufacturing Plants, Eligible Reseller Certificate and Certificate
of Reseller and Municipal Exemption.

Circular Letter No. 16-02-RI (“CL 16-02-RI”) establishes the electronic filing
requirements and procedures for Individual Income Tax Returns. The following
individual taxpayers are required to electronically file:

Puerto Rico residents (single or married) taxpayers with gross income, after
exemptions, higher than $5,000;
Puerto Rico non-residents that are United States Citizens with gross income,
after exemptions, higher than $5,000;
Puerto Rico non-residents, not United States Citizens with taxable income
from sources within Puerto Rico; and,
Individual taxpayers with a net income subject to alternative minimum tax of
more than $150,000.
Any return required to be electronically filed but that instead filed in paper
format, will not be considered by the PRTD as duly filed and the corresponding
penalties for failure to file will apply.
Individuals meeting any of the exceptions set forth on Informative Bulletin No.
16-03 (“IB 16-03”), must file the Individual Income Tax Return in paper format
accompanied by an executed Form 483.2.

Payments will apply to taxpayers with estimated personal property tax of more
than one thousand ($1,000) dollars. The total Estimated Tax Payments for
Personal Property will be the lesser of: (i) ninety (90%) percent of the current
year tax determined, or; (ii) one hundred (100%) percent of the prior year tax
determined, net of the five (5%) percent discount.

On August 24, 2016, the US Court of Appeals for the First Circuit affirmed the
decision of the US District Court for the District of Puerto Rico in the case of
Wal-Mart Puerto Rico, Inc. v. Juan C. Zaragoza Gomez. The District Court held
that Alternative Minimum Tax (AMT) provisions of Section 1022.03 (b) (2) of the
Puerto Rico Internal Revenue Code of 2011, as amended (PR Code) are
unconstitutional, and issued an injunction prohibiting the Puerto Rico Treasury
Department (PRTD) from enforcing those AMT provisions.
As a result, the PRTD issued Administrative Determination No. 16-11 (AD 16-11)
to clarify that these AMT provisions do not apply to the 2016 taxable year, and
establish a mechanism to claim a credit for excess taxes paid in the 2015
taxable year.
For the 2016 Estimated Tax payments, AD 16-11 stipulates that the estimated
tax computation must not consider the components on amounts paid for
services received or allocated from related parties and purchases of personal
property to a related party. Furthermore, any estimated tax deposited related to
those provisions can be entirely applied against the 2016 tax liability.
AD 16-11 clarifies that the Court’s determination does not affect the 51%
disallowance of expenses incurred or paid to a related party not engaged in
trade or business in Puerto Rico or to the home office located outside Puerto
Rico, established by Section 1033.17 (a)(17) of the PR Code.

The Puerto Rico Treasury Department (PRTD) is aware that during the process
of opening a new business, both financial institutions and government agencies
require a Merchants’ Registration Certificate as part of the documents required
for opening bank accounts, applying for loans, applying for construction permits,
among others. Given this situation, many merchants apply for the Certificate
even though their commercial activity will not start in the near future. Even
when they are not generating taxable economic activity, these merchants are
required to file their Sales and Use Tax (SUT) Monthly Return at zero (0) to
comply with the filing requirements.
To address this situation and prevent these future merchants from being
required to file the SUT Monthly Return despite not having had any commercial
activity, as of October 31, 2016, a Provisional Certificate may be requested
through SURI for those merchants who will not start their business activity
within the thirty (30) days immediately following the application for the
Certificate. The Provisional Certificate will be in effect for six (6) months and it
will not be subject to any extension.

On September 30, 2016, the Puerto Rico Treasury Department issued
Administrative Determination 16-12 (DA 16-12) in order to explain the effect on
the termination of the Option 94 election on Limited Liability Companies (LLC),
for taxable year 2016, and subsequent years.
LLCs that were taxed as corporations under the Option 94 election and that will
be taxed as pass-through entities will be deemed as distributing its assets and
liabilities in a liquidating distribution effective on the last day of their taxable
year as corporations, and immediately thereafter the members contributed the
assets and liabilities received to the new partnership. In the deemed liquidation,
the corporation will be treated as if it sold its assets to its members at fair
market value and the members as if they exchanged their interest for the assets
received.
However, if a member of the LLC is a corporation that owns eighty percent
(80%) or more of the stock, the deemed liquidation can be considered tax
exempt. The entities involved must be taxed as corporations when the
liquidation takes place.

Every employee having worked at least 700 hours in the twelve-month period
commencing October 1 and ending September 30 is entitled to receive a
mandatory Christmas Bonus. The bonus is 6% of the employee’s wages up to a
maximum individual employee wage of $10,000. Accordingly, the maximum
bonus payable will be $600. This bonus must be paid not later than
December 15.
In the case of those employers with 15 or less employees the applicable rate is
3%. Nevertheless, the total amount to be paid will not exceed 15% of the
annual profits of the employer generated during the same twelve-month period
used to determine the eligible employees.
If an employer will not pay the bonus because of operating losses, then he must
notify the Secretary of Labor and Human Resources not later than November 30,
accompanying financial statements for the period from October 1 thru
September 30, attested by a CPA.

On October 19, 2016, the Puerto Rico Department of Treasury (PRTD) shared
with various trade organizations and tax practitioners in Puerto Rico a draft of
the Puerto Rico Transfer Pricing Regulations to be issued pursuant Section
1040.09 of the 2011 Puerto Rico Internal Revenue Code (2011 PR Code).
The draft Regulation focuses on the application of the arm’s length principle to
evaluate the transfer pricing policies of associated enterprises and are based
considering the OECD Transfer Pricing Guidelines for Multinational Enterprises
and Tax Administration (OECD Guidelines) and the regulations.

Services rendered by a non-resident person to a person in Puerto Rico are
subject to the 4% or 10.5% sale and use tax (“SUT”) (no Municipal SUT apply).
The person in Puerto Rico is responsible for the payment of the tax.
To determine the applicable SUT rate, services rendered by a non-resident
Merchant are considered as rendered by a duly registered Merchant. Also
Designated Professional Services qualify for the 4% SUT even when the
non-resident person is not licensed in Puerto Rico.
