Pound Dog Rescue is a non‐profit, volunteer run organization dedicated to rescuing, rehabilitating, and re‐homing stray, abandoned and surrendered dogs in Southern Ontario pounds and low resource shelters. It is our mission to adopt these dogs out to loving, secure homes so that they never again deal with the devastation of being lost, homeless, or abandoned and facing certain euthanasia due to space limitations at overwhelmed pound facilities. Vendor booth space is allocated. Requests to move MUST be made to the Vendor Tent coordinator and may only be accommodated if possible. Prohibited items: retractable leashes, shock collars (sale or ads for), balloons and other sudden loud noise devices. The selling of raffles, tickets, paid draws, or donation jars to solicit funds at this event are permitted only when the funds are donated to Pound Dog Rescue. Animals for rehoming, or advertising animals for rehoming, other than those under the care of Pound Dog Rescue, are prohibited. The Vendor agrees to have their booth ready for the public no later than 9:45 A.M. and will not start to pack up prior to 2:30 P.M. Pound Dog Rescue reserves the right to fill the vendor space with a “stand‐by“ Vendor if the Vendor originally booked is not at the space by 9:15 A.M. and/or has not made contact with Pound Dog Rescue to inform Pound Dog Rescue of a late arrival time. No refunds will be paid in this instance. Vendor agrees to vacate the vendor booth no later than 4:00 P.M. All animals must be under control at all times – on a leash or in a carrier or cage. Demo dogs are permitted to be loose but only within the Demo Area and must be leashed going to and leaving from the Demo Area. Pound Dog Rescue: The HOWLer (2016) / Vendor Agreement Page 2 of 3 The General Rules and Regulations for this Vendor Booth Agreement The HOWLer 2016 In consideration of being granted a vendor booth at The HOWLer, the applicant (hereinafter called the “Vendor”) agrees to all terms, conditions, and covenants herein contained. This application form becomes an agreement (hereinafter called the “agreement”) upon approval by the selection committee and vendor is duly notified. 1. 2. 3. 4. 5. 6. 7. 8. 9. 10. 11. 12. 13. 14. 15. 16. The Vendor and its agents, employees, affiliates, invitees, patrons, volunteers, and contractors are subject to the Agreement as set out by Pound Dog Rescue, and the Vendor shall make itself familiar with the Agreement and shall be solely responsible for ensuring that its agents, employees, affiliates, invitees, patrons, volunteers, and contractors are familiar therewith. Pound Dog Rescue reserves the right to add or amend the Agreement prior to and during the event as it, within its sole and unfettered discretion, deems necessary. Liability: a. The Vendor agrees that it will indemnify and hold harmless Pound Dog Rescue of, from, and against all claims, demands, actions, damages, loss, costs, liabilities, expenses, and judgments incurred by, recovered from, or imposed upon Pound Dog Rescue on account of injury or damage to persons or property caused either proximately or remotely, wholly or in part, by the negligence or willful acts or omissions of the Vendor, or of its agents, employees, affiliates, invitees, patrons, volunteers, and contractors. b. The Vendor agrees that all property, including animals/livestock, which the Vendor has at Snyder’s Family Farm (the “Premises”) is the responsibility of the Vendor and is in its care, custody, and/or control. c. The Vendor expressly covenants and agrees to obey all municipal, provincial, and federal statutes, bylaws, and regulations and to obtain such necessary permits, licenses, or other authorizations as may be required by federal, provincial, and municipal statutes and regulations. d. In no event shall Pound Dog Rescue bear liability to the Vendor, whether in tort, contract, or otherwise, and whatever the cause thereof, for any special, indirect, consequential, or punitive damages. In no event shall Pound Dog Rescue’s aggregate liability for any and all claims, damages, injuries, losses (including legal fees and cots) and other liabilities of any kind, whether in tort, contract, or otherwise, arising by reason of or in connection with the Agreement, exceed the amount paid by the Vendor to Pound Dog Rescue under the Agreement. e. Without limiting the generality of the foregoing, the Vendor shall be responsible for all damages to the Premises during The HOWLer (normal wear and tear excepted) caused either proximately or remotely, wholly or in part, by the negligence or willful acts or omissions of the Vendor, or of its agents, employees, affiliates, invitees, patrons, volunteers, and contractors. Pound Dog Rescue reserves the right to inspect the vendor space used by the Vendor at any time. Pound Dog Rescue reserves the right to cancel the Agreement at any time if, in its opinion, the terms and conditions of the Agreement are not being observed. Cancellation of the Agreement by the Vendor or failure to appear on the event date shall result in the forfeiture of the deposit and/or vendor booth fees. The Vendor covenants and agrees to pay such fees and charges as are contained in the Agreement. Subletting of space by the Vendor is not permitted. The Vendor is permitted to exhibit or sell only those products and services as approved by the selection committee as listed on the Agreement. Pound Dog Rescue reserves the right to relocate or alter the space assigned to the Vendor. The Vendor agrees to staff the vendor booth at all times during the stated event hours. The Vendor agrees to have their booth ready for the public no later than 9:45 A.M. and will not start to pack up prior to 2:30 P.M. The Vendor is prohibited from conducting a lottery or selling lottery and/or break‐open tickets, which includes raffle tickets, unless the purpose is to raise funds for Pound Dog Rescue. Vendors planning to operate free draws or distribute any advertising material must provide complete details to Pound Dog Rescue in writing prior to the event day. All awards must be drawn for prior to the closing of the event. No soliciting for any purpose will be permitted except from within the booth space agreed for that purpose. *Sampling: The Vendor is not permitted to give away whole samples of any product. Small samples are permitted. The Vendor shall not mar or in any way deface the Premises. In particular, no nails, hooks, tacks, screws, gummed or adhesive stickers are to be utilized on/in any part of the Premises. Use of said materials will be subject to reasonable removal/repair charges by Pound Dog Rescue. The Vendor agrees to maintain a clean vendor space. All refuse must be placed in the designated refuse bins in that area. Pound Dog Rescue reserves the right to fill the vendor space with a “stand‐by“ Vendor if the Vendor originally booked is not at the space by 9:15 A.M. and/or has not made contact with Pound Dog Rescue to inform Pound Dog Rescue of a late arrival time. No refunds will be paid in this instance. The Vendor agrees to removal all materials, supplies, and equipment from the Premises by the indicated move‐out time and date. Failure to comply will result in Pound Dog Rescue removing and disposing of any items at the expense of the Vendor. Undue noise or unseemly methods of demonstrations employed while operating exhibits will not be tolerated. Sound levels of radios, PA systems, and all other sound amplification equipment must not interfere with other vendors or event patrons. The decision of what constitutes undue noise or unseemly methods shall be within the sole and unfettered discretion of Pound Dog Rescue. Pound Dog Rescue is committed to maintaining the accuracy, confidentiality, and security of your personal information. Pound Dog Rescue will not give or sell any information that personally identifies you to any organization or individual (“Personal Information”) other than for the purpose of securing or providing essential services for the event. Your signature on this application shall be deemed to be your consent to Pound Dog Rescue to collect, use and disclose Personal Information for the purpose of the event.
