Warmly… Gaye Stewart-Loudis - 754.224.2205 legal news UK Bribery Act Goes Far Beyond U.S. Law In Prohibiting Facilitation Payments The UK Bribery Act of 2010 (Act) goes into effect this month allowing organizations a three month grace period to implement procedures in compliance with its prohibitions of new bribery related offenses. The ambiguities of the Act concern companies with connections to the UK by increasing their potential liability for offenses not prohibited by its U.S. counterpart, the Foreign Corrupt Practices Act (FCPA). While both statutes preclude bribery of foreign officials, the Act also prohibits the giving and receiving of commercial bribes (i.e., bribery of or by anyone in a position of trust or expected to act impartially or in good faith). Further, unlike its U.S. cousin, the Act imposes strict liability on organizations (corporations and partnerships) if a person associated with them bribes another intending to obtain or retain business for the organization or to obtain or retain a business advantage for the organization. While the FCPA also prohibits corrupt payments through third parties, it does not hold corporations strictly liable for bribery committed without the corporation’s involvement or knowledge. However, while an organization subject to the Act is completely exonerated if it demonstrates “adequate procedures” were in place to prevent such conduct, the establishment of an “effective compliance and ethics program” under the FCPA only reduces a corporation’s culpability score under the U.S. Federal Sentencing Guidelines. Perhaps the greatest concern for cruise lines is that under the Act a bribe potentially includes facilitation payments common worldwide and even expected by many foreign port personnel. Although the Guidance on the UK Bribery Act published in March of this year provides the government’s explanation of key provisions urging a “common sense approach,” prosecution for facilitation payments remains uncertain. Unlike the FCPA which exempts reasonable bona fide business expenditures and expressly excludes facilitation payments from its prohibitions, the Guidance states: “bona fide hospitality and promotional, or other business expenditure which seeks to improve the image of a commercial organization, better to present products and services, or to establish cordial relations” is not a target under the Act. Despite this reassurance, the Guidance also states it is possible for hospitality and promotional expenditures to be a “financial or other advantage” precluded by the Act, and “eradication of facilitation payments is recognized at the national and international level as a long term objective” in which “businesses themselves also have a role to play.” fast facts CRUISE LINES INTERNATIONAL ASSOCIATION, INC. apr 2011 in this issue • Welcome Pages 1 • Legal News Pages 1 • Executive Partner News Pages 2 - 6 • Shipyard News Page 6 • Cruise Line News Pages 6 - 9 • New Executive Partners Pages 10 • New Member Cruise Line Pages 11 • Executive Partner Showcase: Unisource Worldwide, Inc. Page 11 • Industry Update Page 12 • Upcoming Events Page 13 2 While facilitation payments are unlawful per se under the Act, whether prosecuting authorities will pursue an organization will depend on the following factors: the amount of payment, any premeditation, the corrupting effect on the person receiving the bribe, and (in cases of individuals) the extent to which the person was subject to clear procedures. Because the Act is a criminal statute providing up to 10 years in prison, unlimited fines and potential mandatory debarment under UK public contracts regulations, these uncertainties leave those potentially impacted by its broad reach uneasy to say the least. At a minimum, cruise lines doing business worldwide, including in the UK, will face significant challenges in the coming months to implement the Act’s mandate for “adequate procedures,” and more importantly, in educating foreign port personnel about the restrictions of the new law. executive partner news Travel Guard North America Offers Assistance to U.S. and Canadian Travelers Affected by Japan’s Natural Disaster As Japan and the Pacific Rim region reel in the devastation from the earthquake and subsequent tsunami, Travel Guard® North America (www.travelguard.com), a leader in travel insurance plans and assistance services, is providing emergency travel and medical assistance services to all U.S. and Canadian travelers and their families affected by the disaster. Dedicated Energy Efficiency Group Established in DNV DNV has successfully executed more than 30 energy efficiency projects worldwide and the newly established team has worked on four of these for Greek shipowners. “Shipowners and operators are facing continuously increasing pressure from regulators, charterers and society at large to clearly demonstrate their environmental performance and it is not a simple task to achieve this, especially under challenging market conditions,” says Nikolas Boussounis, regional manager DNV. “Our new advisory services unit has been established so that DNV is able to serve and assist the local Greek maritime community better, quicker and cheaper.” Although the IMO’s call for a Ship Energy Efficiency Management Plan is currently voluntary, DNV believes it could become mandatory as early as 2013 and has developed new advisory services accordingly. Mr Boussounis encourages shipping companies to take a proactive approach while there is still time to get the most out of the plan’s development. “Greater efficiency gains are possible if time is taken to conduct energy audits and to think through a targeted response that is supported by well-established management and training protocols,” he said. The team has begun providing introductory seminars to several shipping companies of the 700 shipowners in the region. fast facts CRUISE LINES INTERNATIONAL ASSOCIATION, INC. apr 2011 in this issue • Welcome Pages 1 • Legal News Pages 1 • Executive Partner News Pages 2 - 6 • Shipyard News Page 6 • Cruise Line News Pages 6 - 9 • New Executive Partners Pages 10 • New Member Cruise Line Pages 11 • Executive Partner Showcase: Unisource Worldwide, Inc. Uniworld Christens New Super Ship Antoinette Uniworld Boutique River Cruises inaugurated their new Super Ship, S.S. Antoinette. Uniworld partners with luxury boutique hotel operator, Red Carnation hotels, to design and train staff. Lead by Mrs. Beatrice Tollman, President and Founder of Red Carnation Hotels, and her daughter Mrs. Antoinette Tollman, godmother and namesake to S.S. Antoinette, who is also the designer and the visionary behind the S.S. Antoinette’s design and décor, and their lead designer Mr. Brian Brennan, they worked closely with the shipyard De Hoop to bring a new class of ships to the cruise industry. The concept of the ship’s design was based on 18th century France in the 21st century as it embodies the spirit of France’s Château de Versailles with all of the conveniences of modern day living. American Cruise Lines’ Queen of the West Renovation Near Completion American Cruise Lines, a leader in small ship cruising, announced today that the multi-million dollar renovation of the Queen of the West, which operates one week cruises from Portland, Oregon, is now nearing completion. Reconstruction of major areas including passenger staterooms, community areas, the galley and engine room, continues in Portland and progress remains ahead of schedule. The renovations will provide a more comfortable and elegant atmosphere for cruise passengers. New furniture for the entire ship, custom built in North Carolina, is ready and has arrived in Portland. A new authentic paddlewheel has been built along with additional propulsion equipment that allows for quieter, smoother cruising while having less impact on the environment. Other additions such as larger staterooms, more private balconies and a new library have already been completed. New carpet is being laid and decoration throughout the Queen of the West is being revamped. Princess Cruises Previews Newest Ship as First Steel Plate is Cut in Shipyard As the first steel plate was cut marking the official start of construction of Princess Cruises' next ship, the line unveiled the vessel's profile, released preliminary details about some of its features, fast facts and revealed its name -- Royal Princess. Debuting in spring of 2013, the new 141,000-ton, 3,600-passenger Royal Princesses is the first of two new-generation ships for Princess, which are being built by Fincantieri at their Monfalcone, Italy shipyard. A new design element revealed is an over-water SeaWalkSM, a top-deck glass-bottomed enclosed walkway on the ship's starboard side extending more than 28 feet beyond the edge of the vessel. From here passengers can enjoy dramatic views, including to the sea 128 feet below. On the ship's port side, passengers will find a similarly-unique cantilevered SeaView bar, featuring cocktails with beautiful vistas. Royal Princess will include 260,000 square feet of inside public space with multiple dining and entertainment venues. The hull is nearly complete and the superstructure is taking shape. The ship will fully recreate the grandeur of past riverboats, while incorporating the latest safety, environmental and construction technologies. This is the first overnight paddlewheeler built for the Mississippi in nearly twenty years. It will have the largest staterooms ever, almost all of which will have private balconies. The ship will boast a grand salon, card room, library, sky lounge, showroom, and internet lounge. All modern onboard amenities can be expected to provide passengers with maximum comfort and service. Unlike the previous riverboats to offer cruises on the Mississippi, American Cruise Lines' new paddlewheeler will have the option of cruising at a significantly higher speed to make the most imaginative itineraries possible. Costa to Name Favolosa in Trieste Costa Favolosa is being named in Trieste on July 2. At 114,500gt and with accommodation for up to 3,800 passengers the Fincanteiribuilt ship will be the largest vessel flying the Italian flag. The naming event will be a tribute to Italy and is being supported by Friuli Venezia Giulia Regional Administration, the Trieste Provincial Administration, the Municipality of Trieste, the local Port Authority and the Prefecture. The show accompanying the christening will be staged as a celebration of the unique features of Italian identity: the country’s art, beauty, music, history and historical figures portrayed in a specta- cle embracing the Piazza and open to the public. The christening of Costa Favolosa in Trieste is intended as a tribute to Italian excellence and the history of our beautiful nation, which is celebrating the 150th anniversary of unification this year,' said Foschi. The naming event further strengthens the links between Costa and Trieste. Costa was the first cruise line to base a ship in the city as early as 2006. It’s Official: Disney to Sail From New York, Galveston, Seattle Disney Cruise Line officially confirmed it will chart three new U.S. homeports in 2012: New York, Galveston and Seattle. Fresh routes include Atlantic Canada, Florida and the Bahamas from New York, Pacific coastal cruises and a Hawaii sailing from Los Angeles and a shift of Alaska’s main homeport to Seattle from Vancouver. Bermuda, another destination that had been under consideration, did not make the charts in 2012. Sailing from New York for the first time starting in late May, Disney Magic will introduce the line’s first Atlantic Canada cruises, to Halifax and Saint John in five nights, and eight-night round-trip cruises to Florida’s Port Canaveral and Disney’s Castaway Cay and Nassau in the Bahamas. Several weekend two-night cruises to nowhere will also sail from New York. Disney Magic’s weekly Galveston voyages begin in late September next year, with calls at Grand Cayman, Costa Maya and Cozumel. On the West Coast, Disney Wonder—pioneering the line’s Alaska program this summer from Vancouver—will switch to Seattle as its main homeport, but will visit Vancouver on three openjaw voyages. On the round-trip Seattle program, the ship will sail weekly to Tracy Arm, Skagway, Juneau, Ketchikan and Victoria, BC. Carnival Likely to Order a Second Newbuild for 2014 Carnival Corp. & plc is likely to place an order during 2011 for a newbuild delivery in 2014, vice chairman and coo Howard Frank told shareholders at the annual meeting today in Southampton. So far, Carnival has just one newbuild on the books for 2014 delivery, for Princess Cruises. Frank did not elaborate on the order, or the brand. That Carnival would order more capacity for 2014 is not surprising and a second vessel is still in keeping with the company's stated plans to maintain a slower growth rate going forward. Carnival is adding four new ships this year, with AIDAsol having just entered service and Carnival Magic, Seabourn Quest and Costa Favolosa to come. In 2012 it has three newbuilds (Carnival Breeze, Costa Fascinosa and AIDAmar) and, in 2013, two (an unnamed AIDA ship and Royal Princess). fast facts new executive partners CRUISE LINES INTERNATIONAL ASSOCIATION, INC. apr 2011 in this issue • Welcome Pages 1 • Legal News Pages 1 • Executive Partner News Pages 2 - 6 • Shipyard News Page 6 • Cruise Line News Pages 6 - 9 • New Executive Partners Pages 10 • New Member Cruise Line Pages 11 • Executive Partner Showcase: Unisource Worldwide, Inc. Christine Duffy is the first woman to serve as CLIA President and CEO in its 35 year history. In her speech, Christine spoke about the challenges that women in history faced trying to succeed in the workforce and the present difficulties women still must overcome. “The history and accomplishments of women in the Coast Guard and, more recently, in the cruise industry, are fascinating and instructive. But, what interests me most is what comes next. The roles for women in both our fields are changing and opportunities, in terms of job description, have multiplied exponentially. The question is how can we learn from and build on those histories to create a future of meaningful, rewarding, well-balanced careers for women in both the Coast Guard and the Cruise Industry?” Christine began her career in the travel industry as a travel agent, and later went on to become the President and CEO of Maritz, one of the largest meeting, event and incentive travel management companies in the world. Christine is a pioneer for women in the travel industry. She founded the Women’s Leadership Initiative and continues to serve as a role model for all women who have high hopes of succeeding in the workforce. IMO Reports Steady Progress on MBMs The IMO has reported making steady progress in considering the development of suitable market-based measures (MBMs) for international shipping, at the third inter-sessional meeting of IMO’s Working Group on Greenhouse Gas Emissions (GHG) from Ships. The GHG Working Group will report its conclusions to IMO’s Marine Environment Protection Committee (MEPC), when it meets for its 62nd session from 11 to 15 July 2011. The working group, which was attended by more than 200 experts from all over the world, according to the IMO statement, was tasked with providing advice on, among other subjects, the compelling need and purpose of MBMs as possible mechanisms to reduce GHG emissions from international shipping and further evaluating the outcome of work conducted last year by an expert group, which had carried out a feasibility study and impact assessment of several possible measures previously submitted by governments and observer organizations. The aim of the expert group study was also to assess the impact of the proposed MBMs on, among others, international trade, the maritime sector of developing countries least developed countries (LDCs) and small island developing states (SIDS), as well as the corresponding environmental benefits. Brazil Restricts Crew Citing a need for standardization, Brazil has issued a directive to local authorities and police that seafarers must have valid identification documents, according to ILO Conventions 108 or 185, or will not be allowed to go ashore and subject to penalties and legal proceedings, unless they have a valid visa. Seafarers working on ships that sail seasonally out of Brazil are deemed to be OK since they have work visas, but those who work on ships just calling in Brazil on longer cruises can be affected. Among the countries that have not ratified ILO Convention 185 are the Philippines, Indonesia and the UK. Hence seafarers from these countries may be in violation of the directive. fast facts 2011 upcoming CLIA events Congressional Cruise Caucus: June 22-23 Washington Court Hotel 525 New Jersey Avenue, NW Washington, DC 20001 To book hotel reservations for the Caucus please call 202.628.2100 or 800.321.3010 and ask for the CLIA group rate.
