We do not provide any consumer credit. References to “you” and “your” in this document are references to individuals about whom we may disclose personal information to a credit reporting body (“CRB”) in connection with such commercial credit. The following are some important details about credit reporting that are relevant to such individuals. Disclosure of your information to credit reporting bodies We may disclose to CRBs credit-related personal information about you in connection with applications for, or other dealings in relation to, commercial credit from us. A CRB may include that information in reports to other credit providers to assist them in assessing future applications for consumer or commercial credit. We do not provide consumer credit. However, we are also legally required to tell you that if you fail to meet your payment obligations in relation to consumer credit, or you commit a serious credit infringement in relation to consumer credit, a consumer credit provider may be entitled to disclose this information to a CRB. The Applicant acknowledges by its execution of this application that it is familiar with realestate.com.au current Terms and Conditions (which can be found at www.realestate.com.au/terms and www.realcommercial.com.au/terms). 1.2 The Applicant acknowledges that realestate.com.au in its absolute discretion may cancel without notice or suspend all credit trading facilities granted to the Applicant. 1.3 The Applicant declares that as at the date of this credit application the Applicant is solvent and able to pay its accounts according to normal trading terms. 1.4 The Applicant warrants that the information contained in this Application is true and correct. 1.5 The Applicant must advise realestate.com.au in writing of any changes in the details of the Applicant or the directors listed in this application within two (2) business days of such change occurring. 1.6 Subject to clause 1.7, if the Applicant sells its business it will remain liable for all orders made on its account before the later of when it sells its business or when it notifies realestate.com.au of the sale of its business. 1.7 If the Applicant enters a fixed term contract with realestate.com.au (i.e. a contract for a specified period of time, whether subject to automatic renewal or not) it will remain liable for the payments due under the contract until the end of the term. If the new owner of its business enters an agreement with realestate. com.au to make those payments then it will be jointly and severally liable with the new owner for those payments. The Applicant and each Director understand that this information can include credit eligibility information within the meaning of the Privacy Act. Mobile Number 4.0Charge 4.1 In consideration of realestate.com.au considering the Applicant’s application for credit the Applicant charges the interest the Applicant has now or in the future either solely or jointly or as tenant in common in any real estate to secure. 4.2 The Applicant acknowledges realestate.com.au’s right pursuant to the security hereby given to lodge a caveat on any real estate in which the Applicant has such an interest and the Applicant agrees to execute a mortgage in favour of realestate.com.au upon request by realestate.com.au and do or cause to be done all such things as are necessary to give effect to the security hereby given. 4.3 The Applicant further agrees to pay all of realestate.com.au’s costs, charges and expenses of and incidental to the preparation and registration of any caveat or mortgage, or any enforcement or threatened enforcement or exercise by realestate.com.au of any of its rights and remedies taken to protect the security given pursuant to this clause, including any legal costs incurred to be paid on an indemnity basis. 4.4 In Consideration of realestate.com.au considering the Applicant’s application for credit the Applicant charges the interest the Applicant has now or in the future either solely or jointly in all present and after-acquired personal property to secure the repayment of any amount the Applicant owes to realestate.com.au from time to time. 4.5 The Applicant acknowledge that the security interest granted to realestate.com.au pursuant to clause 4.4 hereof is capable of being registered pursuant to the Personal Property Securities Act 2009 ("PPS Act"). The Applicant further acknowledges that the security interest will continue until realestate.com.au give a final release in relation to the secured goods. 4.6 The Applicant acknowledge that realestate.com.au will take all necessary steps to register its security interest under the PPS Act, and hereby consents to realestate.com.au doing so. "Account" means the account held at your financial institution 4.1 It is your responsibility to ensure that there are sufficient from which we are authorised to arrange for funds to be debited. "Agreement" means this Direct Debit Request Service Agreement between you and us. "Business day" means a day other than a Saturday or a Sunday or a public holiday listed throughout Australia. If you are unsure about which day your account has or will be debited you should ask your financial institution. 2. Changes by us We may vary any details of this agreement or a direct debit request at any time by giving you at least fourteen (14) days’ written notice. 2.1 3. Confidentiality 7.1 We will keep any information (including your account details) in your direct debit request confidential. We will make reasonable efforts to keep any such information that we have about you secure and to ensure that any of our employees or agents who have access to information about you do not make any unauthorised use, modification, reproduction or disclosure of that information. 7.2 We will only disclose information that we have about you: (a) to the extent specifically required by law; or (b) for the purposes of this agreement (including disclosing information in connection with any query or claim). 8. Notice If you wish to notify us in writing about anything relating to this agreement, you should write to The Credit Manager, realestate. com.au, PO Box 3332, Victoria Gardens, Victoria, 3121. 8.1 8.2 We will notify you by sending a notice in the ordinary post to the address you have given us in the direct debit request. 8.3 Any notice will be deemed to have been received two business days after it is posted. 5.3 If we conclude as a result of our investigations that your account has not been incorrectly debited we will respond to your query by providing you with reasons and any evidence for this finding. Any queries you may have about an error made in debiting your account should be directed to us in the first instance so that we can attempt to resolve the matter between us and you. If we cannot resolve the matter you can still refer it to your financial institution which will obtain details from you of the disputed transaction and may lodge a claim on your behalf. 5.4 If you wish to stop or defer a debit payment you must notify us in writing at least (14) days before the next debit day. We, the Guarantors will not be released by any exercise by realestate.com.au of any liberty or discretion under the credit agreement or by any extension of time or other indulgence given to the Applicant or by any other thing whatsoever which under the law relating to sureties would, but for this provision, have the effect of so releasing us the Guarantors. 1.3 This Guarantee shall be a continuing guarantee to realestate. com.au in respect of goods sold and/or services supplied by realestate.com.au and shall be unlimited in amount, shall extend to any amount payable by the Applicant by way of damages or otherwise and shall extend to any payment initially paid by the Applicant but which realestate.com.au subsequently disgorges to a liquidator of the Applicant as a preference. 1.4 Until realestate.com.au receives all moneys payable by the 1.6 The liability of the Guarantors shall not be abrogated prejudiced or affected by: (a) any change in the constitution of the Applicant; (b) realestate.com.au obtaining a judgment against the Applicant; (c) the liability of the Applicant ceasing for any cause; (d) any security held or taken by realestate.com.au to secure the Applicant’s or the Guarantors’ obligations being void defective or informal; (e) the acceptance by realestate.com.au of a repudiation of the credit agreement by the Applicant; or (f) realestate.com.au making any variation or alteration to the terms of the credit agreement. 2.0Indemnity 2.1 As a separate and independent agreement and for the consideration aforesaid the Guarantors agree with realestate.com. au that in the event the whole or any part of any debt of the Applicant shall not be recoverable from the Applicant by reason of any legal limitation, disability or incapacity on or of the Applicant or by reason of any other fact or circumstance whatsoever and whether known to realestate.com.au or not, the Guarantors shall nevertheless hold realestate.com.au fully indemnified at all times against any loss or damage which realestate.com.au may suffer or incur by reason of the operation of such limitation, disability, incapacity, fact or circumstance. 4.2 Each Guarantor consents to realestate.com.au: (a) (b) obtaining credit reporting information from a credit reporting body containing personal information about the Guarantor in order to assess whether to accept them as guarantor for credit applied for, or provided to, the Applicant; and exchange information (including credit eligibility information within the meaning of the Privacy Act) about the Guarantor with any credit provider named in any credit reporting information obtained by a credit reporting body or any other existing, previous or prospective credit provider to the Applicant or the Guarantor or any company in which the Guarantor is or was an officer. Each guarantor agrees that the purposes for which such information can be exchanged include assessing an application for credit and determining what action to take in relation to payments that are overdue and any other purposes permitted by the Privacy Act. 5.0 Miscellaneous 5.1 A statement by realestate.com.au or signed by any person duly authorised from time to time by realestate.com.au shall be conclusive evidence that the amount stated therein is owed by the Applicant to realestate.com.au except to the extent of any demonstrable error. 3.1 To better secure realestate.com.au’s rights under this 5.2 In this Guarantee, Indemnity and Charge the singular shall include the plural and vice versa and a reference to a gender will include all genders. 3.2 The Guarantors acknowledge realestate.com.au’s right pursuant to the security hereby given to lodge a caveat on any real estate in which they have such an interest now or in the future and each Guarantor agrees to execute a mortgage in favour of realestate.com.au upon request by realestate.com.au and do or cause to be done all such things as are necessary to give effect to the security hereby given. 5.3This Guarantee, Indemnity and Charge shall be read and construed in accordance with the laws of the State of Victoria and both realestate.com.au and the Guarantors agree to submit to the jurisdiction of the courts and tribunals of that State. 5.4 In the event that any provision of this Guarantee, Indemnity and Charge or its application to any person or circumstance is or is found to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the other provisions of this Guarantee, Indemnity and Charge or the application of such provisions to any persons or circumstances and the said other provisions shall remain in full force and effect. 3.0Charge (Only Applies to Delinquent Accounts) Applicant and the Applicant has carried out all of its obligations to realestate.com.au, the Guarantors, in the event of the Applicant being wound up or if an administrator is appointed and a deed of company arrangement is approved by creditors, will not be entitled to prove or claim in the liquidation of the Applicant or deed of company arrangement in competition with realestate.com.au so as to diminish any payment which but for such proof realestate.com. au would be entitled to receive out of such liquidation or deed. The receipt of any payment which realestate.com.au may receive from such liquidation or deed shall not prejudice realestate.com. au’s rights to recover from the Guarantors the full amount payable under this Guarantee. You will lose all entered form data if you browse to other web pages in the same browser window that you are using to display the screen fill able form. You run the risk of accidentally deleting all of your entered form data by inadvertently clicking on the “back or “forward” buttons on your browser. Clicking either of these buttons will close the form and delete of all your information.
