CONVENTION & ANNUAL ASSEMBLY MEETING 2016 June 2 - 5, 2016 El Conquistador Resort | A Waldorf Astoria Resort TERMS AND CONDITIONS RESERVATIONS HOTEL In compliance with the law, reservations must provide additional occupants’ name including infants. This information will also be used for their Convention ID. Room rates include two (2) adults or two (2) adults and two (2) children, sharing existing bedding in the same room. Extra adult, 18 years or older, pays an additional $45 per night. Maximum occupancy allowed per room is three (3) adults and one (1) child or two (2) adults and two (2) children. The additional charge for the extra adult does not include cost of additional Convention tickets. All reservations will be processed on-line via www.convencionprma.com. Manual reservations will be charged a $25.00 per person processing fee. Double rooms and double suites include Convention Passes for two (2). Single rooms include Convention Pass for one (1). MANAGEMENT - Management of the Exhibits shall mean the Puerto Rico Manufacturers Association (PRMA) Expo Director, agents or employees acting specifically for him/her. 6. SHOW HOURS – Friday June 3, and Saturday June 4, 2016 from 10:00 AM to 6:00 PM. Exhibitors must have their personnel at their respective booth during exhibition hours. 2. EXHIBITOR - Shall mean person, partnership or corporation, duly registered at the State Department of Puerto Rico, who authorize and/or sign this exhibition contract. 7. CHARACTER OF EXHIBITS - Exhibitors are requested to exercise courtesy towards each other. Amplifying equipment projecting sound beyond an Exhibitor’s assigned area is prohibited. Under no circumstances Exhibitors shall sublet any part of their space without prior permission from Management. 3. CANCELLATION AND REFUND POLICY • Up until March 31, 2016: 50% of total space value is refunded. • Between April 1, 2016 and April 30, 2016: 25% of total space value is refunded. • After May 1, 2016: No refund will be allowed. 5. EXHIBIT SET UP AND REMOVAL - The exhibits will be set up on Wednesday, June 1, 2016 from 8:00 AM to 5:00 PM and Thursday, June 2, 2016 from 8:00 AM to 3:00 PM. The exhibits shall be removed only on Sunday June 5, 2016 as follows: • Booth spaces 65 -176 from 8:00 AM to 12:00 M (Grand Caribbean Ballroom) • Booth spaces 1 to 64 from 1:00 PM to 3:00 PM (Ballroom Foyer). Non-observance of this clause will result in a 10% penalty charge and might be sufficient for the suspension of exhibition rights in the future. It shall be Exhibitors’ responsibility to ensure that all employees or contractors working on the set up or removal of the exhibits comply with the aforementioned rules. 8. DISPLAYS - Exhibitors are required to have their displays ready for prompt set-up. Absolutely no sawing, painting or display construction will permitted on the Exhibit premises. Under no circumstances will be allowed anything to be glued, taped, stapled or hung to the walls, doors and/or ceilings. 9. SECURITY – Management will provide twenty (24) hours security since the first piece of equipment is set up at the Exhibit until the last piece of equipment is removed from the Exhibit premises, within the hours established in the “Exhibit Set Up and Removal” clause. 10. BOOTH CLEARANCE - Each display area shall measure 8’ x 10’ and shall be defined by a standard 3’ high side cloth, covered pipe stand and 8’ high, cloth covered pipe stand in the back. Exhibitors will not erect or maintain a back wall higher than eight (8’) feet, nor sidewall over forty-two (42”) inches in height. All solid opaque structures will be confined to within four (4’) feet of the back line of the Exhibitor’s space. 11. BOOTH IDENTIFICATION AND EQUIPMENT – NO SIGNS, HANGING-STAND BANNERS OR ADVERTISING shall be affixed to fences along exhibit highways, poles or to any public property. Models, walking displays, or distribution of literature, samples, or any other articles or promotional activity, shall be restricted to within the confines of the Exhibitor’s own exhibit booth. Any material or objects placed outside of the contracted booth area will be removed by Management or will be subject to additional cost at PRMA’s sole discretion. Non-observance of this clause will be sufficient for the suspension of exhibition rights in the future. Standard electricity (110V) will be provided to each Exhibitor. Special installations/lighting will be charged separately. The Hotel will assess the charge based on the installations required and the Exhibitor will be invoiced directly for the corresponding amount. EXHIBITORS CONTRACT (TERMS AND CONDITIONS) 12. EXHIBITOR’S PRODUCT OR ADVERTISEMENT – Exhibitor shall provide a general list of the product or services that will be promoted during the event. 13. MUSIC- No live music or karaoke type music will be permitted inside the display area or in the Hotel premises. 14. RULES AND REGULATIONS – Exhibitors shall observe and abide by additional rules or regulations that may be adopted by PRMA and the El Conquistador Resort, A Waldorf Astoria Resort, which shall be as much a part thereof as though fully incorporated herein. 15. LOGO – Exhibitor shall submit its company logo in .jpeg format by April 30, 2016. 16. PAYMENT TERMS – If an Exhibitor fails to make payments due hereunder on the date herein designated, such Exhibitor’s rights to exhibit may be canceled by PRMA without further notice and said Exhibitor shall not be entitled to a refund of any part, of any fee. A late charge of 10% will be applied to Exhibitors with pending payments after May 15, 2016. PRMA shall be entitled to close any exhibit at any time for failure by an Exhibitor or any of their officer, agents, employees, or other representatives to perform, meet or observe any term or condition set forth herein. Exhibitor shall not be entitled to a refund under such circumstances. 17. CANCELLATION OF EVENT - In the event that, because of war, fire, strike, government regulation, public catastrophe, act of God or the public enemy, or other causes beyond the control of PRMA, the show or any part thereof is canceled by PRMA, PRMA shall determine and refund to the Exhibitor his proportionate share of the balance of the aggregate exhibit fees received which remain after deducting expenses incurred by PRMA, but in no case shall the amount of the refund to the applicant exceed the amount of the exhibit fee paid. 18. NEITHER THE PRMA nor any of their officers, agents, employees or other representatives shall be held accountable or liable for, and these parties are hereby released from accountability or liability for, any damage, loss, harm, or injury to any other person, or to the person or any property of the Exhibitors or any of its officers, agents, employees, or other representatives, resulting from theft, fire, water, accident, or any order cause, whether or not negligence is involved and arising. The Exhibitor certifies that all employees and/or representatives working during the exhibition are covered by its State Insurance Fund Policy, which is current in all payments. EXHIBITORS’ FLOOR PLAN EXHIBITORS CONTRACT (TERMS AND CONDITIONS) 19. INDEMNIFICATION AND HOLD HARMLESS – The Exhibitor hereby agrees to indemnify, defend and to hold PRMA harmless from any and all claims, demands, suits, liability, damages, lost, cost, attorney fees and expenses of whatever kind of nature which might arise from or out of any action or failure to act by the applicant or any of its officers, agents, employees, or other representative, including but not limited to claim of damage or loss or property, or from any damage, loss harm or injury to any other person or to person or any property of the Exhibitor or any of its officers, agents, employees or other representative. 20. PRMA POLICY- The policy of the PRMA is to serve its guests in the best possible manner and the Exhibitor agrees that its employees and agents shall at all times cooperate to this end. The PRMA reserves the right to eject or cause to be ejected from the premises any objectionable person or persons, and neither the PRMA nor any of its officers, agents or employees, shall be liable to the Exhibitor for any damages that may be sustained by the Exhibitor through exercise by the PRMA of such right. 21. THE EXHIBITOR agrees to comply with all the laws, rules and ordinances of Puerto Rico, and the city of Fajardo and the El Conquistador Resort, A Waldorf Astoria Resort. Any controversy, claim, dispute or legal action out of this agreement, shall be brought in any court of competent jurisdiction in the Commonwealth of Puerto Rico for trial and determination by such court. 22. SELLING DURING CONVENTION – The Exhibitor shall not distribute, sell or cause to be sold programs, pamphlets, novelties, souvenirs, or merchandise of any nature at the premises, guestrooms, or at any part of the hotel property, without the express written consent of the PRMA. 23. FOOD AND BEVERAGE – Hotel may charge for sampling or distribution of food and/or beverage by Exhibitor. Exhibitor must seek approval and coordinate directly with the Hotel. 24. EXHIBITORS INSURANCE- Exhibitors desiring to insure their exhibits, merchandise and display materials against theft, fire, etc., must do so at their own expenses. It is suggested that Exhibitors contact their insurance broker, who for a nominal cost will secure for them an exhibit rider policy, which will provide all risk insurance covering your exhibit property and merchandise while you are absent from your home premises for exhibition purposes. 25.
