4. Vending space for is limited and expected to sell-out. With that in mind, please
complete your application as soon as possible. Apps will not be accepted once
vendingspaceissold-out,orlaterthanJanuary27th,2017
5. TheVendorBoothfeeis$750.Allvendorswillbeprovidedwitha10x10whitetent
that matches the look and feel of the entire festival. Any additional tents or
structuresarenotpermittedunlessapprovedbyHighWaterinadvance.Allvendors
may request access to electricity. Please write-in your needs below. Upon request,
wemayalsoabletoprovidechairsandtables,baseduponavailability.Pleasenote
that if your electrical requirements exceed basic 1/10 outlets, we need to know
upon acceptance of your application. Any/all additional items and equipment are
yourresponsibility,including,butnotlimitedtoo:lights,weights,etc.

7. HighWaterFestivalreservestherighttoassignthelocationofallvendorbooths.If
youhaveaveryspecificplaceyouwanttobe,wewilldoourbesttoaccommodate,
butitisfirst-come-first-serve,andnotguaranteed.Amapshowingboothlocations
willbesuppliedtoeachvendor inadvance,alongwith(2)informationaladvances
coveringeverythingyouneedtoknow(e.g.load-in,times,etc).
8. Photographsorweblinkofyourwork/waresarerequiredtobesubmittedwiththis
application.Youmaynotsellitemsthathaven’tbeenapprovedonthisapplication,
sopleasemakesureyourlistisaccurateandcomplete.
9. Anyandallsalestaxpaymentsaretheresponsibilityofvendors.
10. Vendors must provide and display signage in their booths stating their business
name.AllsignagemustbeapprovedbyHighWateraheadoftime.
11. Vendor’sentiresetupmustfitwithinthedesignated10’x10’boothspaceoran
additionalboothspacefeewillbecharged.
12. Novehiclesallowedon-sitewithoutfirstcheckinginwithyourvendorcoordinator,
whowillescortyouintothepropertyandshowyouyourspace.Donotdriveon
grassunlesspermittedtodobyyourvendorcoordinator.Thisisimportant,to
minimizeimpactonthepropertyandtrafficcongestion.Donotleaveyourvehicle
unattendedduringload-in.Itmayhavetobemoved,ifitisblockingaproduction
route.Lastbutnotleast,donotbringanyoneinyourvehiclewhoisnotproperly
credentialed.Anyonecaughtdoingsowillberemovedfromthepremises.All
vehiclesaresubjecttosearchbeforeentrancetothepropertyisgranted.
13. Eachvendorspacewillreceivetwo(2)workingpassesfortheevent.Additional
passesmaybepurchasedatpreferredrate,upto(4)total.Anyadditionalmustbe
purchasedatfacevalue.
14. PleasenotethatalmostallglasswareisrestrictedatRiverfrontPark.Certainitems
maybepermittedfordisplaypurposesonlyonacase-by-casebasis(ie.artwork),
pleaseinquireifyouareconsideringglassware.Inaddition,pleasebeveryclearin
yourlistofproposeditemsabove,sowecanapproveordisapprove.Anyvendor
breakingthisclauseoftheagreementwillbeaskedtoleave.
15. Absolutelynooutsidefoodordrinkispermittedonfestivalgrounds,astheymay
conflictwithanexclusivepartner.Likewise,pleaselistyourmerchandiseas
specificallyaspossible,toensurethatyouritemsarenotinconflict.
16. HighWaterFestivalreservestherighttobananyitemand/orsellernotin
compliancewithFestivalrulesandregulationsandatthediscretionofHighWater
staff.Intheeventofremovalfromtheevent,vendorwaivesallrightstorefunds,etc.

CancellationsreceivedonorbeforeMarch1st,2017willreceivearefundofbooth
feesminusa$50administrativefee.CancellationsreceivedafterMarch1stwill
receivenorefunds.
VendoragreesandguaranteestoTheForecastleFestival:
1. Toabidebyallrulesandprovisionsasspecifiedinthisagreementandapplication.
2. Tofollowallguidelinesregardingset-up,tear-down,hoursofoperation.Official
detailsontheseitemswillbedistributedin(2)e-mailadvancessentinMarchand
April
3. AlltentswillbesuppliedbyHighWaterunlessotherwiseapproved.Anytentsmust
bemanufacturer-certifiedfireresistantandhavetheoriginalmanufacturer’stag.
Tentsmustbefirmlysecured.Ifstaking,pleaseconsultwithouroperationsteam
on-sitebeforehand,tomakesureyouarenotwithindirectproximityofwaterlines.
4. Anyandallsalestaxpaymentsaretheresponsibilityofthevendor.
5. Toacquireandhaveavailableatmyvendingbooth(s)copiesofallpermits,licenses,
insurancedocuments,andsafetyequipmentthatarerequiredbyHighWaterall
federal,state,county,andcitygovernmentagencies.
6. Toplacealltrash,recyclingandcompostingintoeventcontainersorplasticgarbage
bagsforpickupbyourtrashcollectionservicefollowingeventandbeforeleaving
site.
7. Vendor agrees to provide commercial general liability insurance, from a qualified
A minus VII or better by A.M. Best, Inc. rated carrier in an amount not less than
$1,000,000 per occurrence and $1,000,000 per aggregate event for injuries to
persons or damage to property caused by Vendor, its agents, employees,
contractors or guests, in connection with the performance of its obligations
hereunder. Vendor agrees to name the following parties as follows as additional
insured on the above referenced policy:
(i) CharlestonFestival,LLC;(2)ACEntertainment,LLC;(3)theCityofNorth
Charleston; and all of their direct or indirect owners, parents,
subsidiaries, related companies, officers, managers, employees, agents,
directors, attorneys, contractors and other advisors of the above are
listedasadditionalinsuredastheirinterestsmayappearwithrespectto
theactionsofthenamedinsured,Vendor’sinsurancewillbeprimaryand
non-contributory.
8. Inaddition,VendormustcarryProductLiabilitycoverage(ifsellingmerchandiseor
providing equipment), statutory Workers Compensation coverage (if Vendor’s
agents,employees,orcontractorswillbeon-site)andAutoLiabilitycoverageinthe
amount of $1,000,000 for any vehicles used by Vendor, whether owned or nonowned by Vendor (if operating vehicles on site). Each policy of insurance shall
insuretheindemnityprovisionsofthisAgreement.
Certificates for all such insurance, naming the additional insureds as enumerated above,
shall be delivered to Company the earlier of 30 days prior to (i) the Event, or (ii)
commencement of services. Please have your insurance certificates emailed to:
[email protected]. Failure of Company to receive the proper certificate of
insurance,orfailureofVendortomaintaintheproperinsurance,shallbeadefaultofthis
AgreementandCompanyshallhavetherighttoterminatethisAgreementforsuchdefault
withoutnoticetoVendorandwithoutanopportunityforVendortocure.Company’sfailure
to request, review, or object to the terms of such certificates of insurance shall not be
deemed a waiver of Vendor’s obligations or Company’s rights hereunder. The indemnity
provisionscontainedhereinshallsurviveanyterminationofthisAgreement.
Ifapprovedforboothspace,HighWaterFestivalwillsendaninvoiceforthetotalamountdue
above,paymentdueuponreceipt.IfpaymentisnotreceivedbyJanuary27th,2017thebooth
spacereservationwillbecancelled.
