DOUGLAS SOCCER CLUB
CONSTITUTION
Article 1 Name
1.1
The name of the Club shall be known as the Douglas Soccer Club,
hereinafter called THE CLUB.
Article 2 Objectives
2.1
To foster and promote the participation in the game of soccer in the
community of Douglas and surrounding area.
2.2
To provide a fair and safe playing environment for all players regardless of
skill level.
2.3
To provide programs for all players with all teams being mixed gender.
2.4
To secure the uniform application and enforcement of the laws of the game
as adapted by the Club.
2.5
To cooperate as much as possible with associations with similar interests.
Article 3 Membership
3.1
The members of the Club are all parents or guardians of children registered
to play within the Club, coaches, players, and other active volunteers on duly
constituted committees of the Club, who comply with the constitution, bylaws and regulations of the Club.

Article 4 officers
4.1
The officers of this Club shall be known as the Executive and be comprised
of :
President
Vice President
Secretary
Treasurer
Registrar
4.2
The Executive shall be empowered to conduct all business on behalf of the
Douglas Soccer Club.
4.3
A quorum shall consist of any three members of the Executive. Each member
of the Executive shall be entitled to one vote with the exception of the
President, who shall have a casting vote only.
4.4
The Executive shall have the power to set up committees as it shall deem
necessary and to appoint a Chairperson for each such committee.
Article 5 Tenure of Office and Election
5.1
The Executive shall be elected at the Annual General Meeting and shall
remain in office for two years. The President, the Secretary and Registrar
shall be elected on even years while the Vice –President and Treasurer shall
be elected on odd years.
5.2
The nomination committee shall consist of the Past-President and two
members of the Club.
5.3
Nominations from the membership maybe made up until thirty days prior to
the Annual General Meeting.
5.4
Any member in good standing maybe nominated for any office.

5.5
Nominations for an office will only be accepted from the floor at an annual
general meeting when the nominating committee has received no
nominations for that office.
5.6
To be elected to an office a candidate must receive a majority vote, which is
50% plus one ballot. Voting will be by secret ballot.

Article 6 Board of Directors
6.1
The following shall comprise the Board of Directors:
President (Chair)
Immediate Past President
Vice –President
Secretary
Treasurer
Registrar
Head Coach
Two elected Directors
6.2
Each Director shall be elected for a term of two years-with such terms to
expire on a staggered basis.
6.3
The Board may appoint up to two additional directors annually, as needed.
6.4
A quorum shall consist of any three members of the Board. Each member of
the Board shall be entitled to one vote with the exception of the President,
who shall have a casting vote only.

Article 7 Resignation and Removal of Executive
7.1
Any Executive member may resign by giving written notice of his or her
resignation to the board or to the President or Secretary of the Club.
7.2
Such resignation shall take effect at the time specified in such notice and the
acceptance of such resignation shall not be necessary to make it effective.
7.3
Any Director or Executive member may be removed from office, with cause,
by a two-thirds vote of all Directors then serving in office.
7.4
Should a vacancy occur the Board may appoint a person to fill the vacancy
until the next Annual General Meeting. Vacancies may also be filled by
election at any General Meeting.

Article 8 Duties of the Executive
8.5
The President shall preside at all meetings of the Board and generally
perform all acts incident to the office of President, and shall have such
additional powers and duties as may from time to time be assigned to him or
her by the council. Unless other wise provided for in these By-laws, the
President shall appoint the chairs of each committee and be an ex offico
voting member of each committee.
8.2
The Vice- President: In absence, or inability to act, of the President, the VicePresident shall exercise the powers and perform the duties of the President.
The Vice President shall also generally assist the President and shall have
such powers and perform such other duties as may from time to time be
designated by the President. In event of the resignation of the President, or
for any other reason that the President is unable to continue in a term of
office, the Vice –President, shall serve as acting President until the next
Annual General Meeting.4
8.3
The Treasurer shall act under the supervision of the Board and shall have
charge and custody of, and be responsible for, all the funds of the Club. He
or she shall deposit, or cause to be deposited, all monies of the club in the
name of and to the credit of the Club. He or she shall disburse the funds of
the Club based upon proper vouchers for such disbursement. In general, he
or she shall perform all duties incident to the office of Treasurer and such
other duties as may from time to time be assigned to him or her by the
President or the Board.
8.4
The Secretary shall keep, or cause to be kept, the minutes of all meetings of
the Board and Annual General Meeting and shall see that the minutes of the
meetings are distributed properly to all members of the board. In general, he
or she shall perform all duties incident to the office of Secretary and such
other duties as may from time to time be assigned to him or her by the
President or Board.
8.5
The Registrar shall create and maintain the database and contact
information for all players. He or she shall organize registration sessions. He
or she shall organize the team lists and submit database to Soccer New
Brunswick when required. In general, he or she shall perform all duties
incident to the office of Registrar and such other duties as may from time to
time be assigned to him or her by the President or Board.

Article 9 General Meetings
9.1
The time and location of the next annual general meeting will be set before
adjournment of the annual general meeting.
9.2
Members of the Club will be notified as to the time, date, and location of the
annual general meeting, not less than 30 days prior.
9.3
The Executive may call an emergency general meeting upon one-week
notification to the members.

Article 11 Voting
11.1
All members in good standing with the Club shall be allowed one (1) vote
at the Annual General Meeting or a Special General Meeting. Members
in good standing being defined as those persons participating in the
activities of the Club in the season prior to the Annual or Special general
meeting.
Article 12 Amendments

The constitution of the Club shall not be altered except at an Annual General
Meeting, and notice of the proposed alteration shall be submitted in writing
to the Secretary at least three (3) weeks before the day of the meeting. An
amendment to the constitution shall be made only at an Annual General
Meeting and by two-thirds (2/3) majority of the members voting thereon.

Article 13 Playing Rules
13.1
The laws of the game of soccer for the Club shall be those official laws of
Soccer New Brunswick and the Canadian Soccer Association as amended
and modified, subject to special rules 6established by the Board of Directors
to suit particular requirements.
Article 14 Dissolution
14.1

In the event of dissolution or winding up of the club all its remaining assets
after payment of its liabilities shall be distributed to one or more charitable
organizations in New Brunswick.
