1) Eligibility: The “Aunt Sally’s Praline Give-Away” (the "Give-Away") is open only to legal residents of the 50 United States, including
the District of Columbia (excluding Puerto Rico, U.S. Virgin Islands and Guam) who are 19 years of age or older at the time of entry.
Employees and officials of Balloons Are Everywhere, Inc. 16474 Greeno Rd., Fairhope, AL 36532 and 5733 East Shields Ave, Fresno,
CA, 93722 (the “Sponsor”), as well as the respective spouses, children, siblings, all others residing in the same household, of any of
the above-stated persons, as such terms are defined in Section 36-25-1, Code of Alabama 1975, are not eligible to participate. The
Sweepstakes is subject to all federal, state, and local laws and regulations. Void where prohibited by law.
2) Agreement to Official Rules: By participating in this Sweepstakes, each entrant agrees to abide by these Official Rules and the
decisions of the Sponsor, which are final and legally binding as they pertain to this Sweepstakes.
3) Promotion Period: The Sweepstakes begins Tuesday, April 29, 2014, at 4:00 p.m. Central Time ("CT") and ends Sunday, May 4,
2014, at 11:59 p.m. ("CT"), (the "Promotion Period"). Facebook comment timestamps will be the official timekeeper for this
Sweepstakes.
4) How to Enter: During the Promotion Period, comment with your favorite thing about New Orleans on the give-away post on the
Balloons Everywhere Facebook page (https://www.facebook.com/BalloonsEverywhere) Only one (1) entry is allowed per person. No
purchase is necessary to win. A purchase will not increase odds of winning.
5) Drawing Date, Entries and Awards: Following the Promotion Period of Tuesday, April 29, 2014, at 4:00 p.m. Central Time
("CT") to Sunday, May 4, 2014, at 11:59 p.m. ("CT"), there will be ONE DRAWING DATE in the Sweepstakes, which will be on
Monday, May 5, 2014 . Entries will be placed into the drawing period based on the date of entry receipt, as solely determined by the
Website’s clock. Each drawing will be performed in a random manner from all eligible entries. Winners (if any), will be notified by a
“tagged” facebook announcement and private message.
Winner must respond to Facebook private message within 7 days to claim prize. Prize will be shipped to winner via UPS Ground at the
expense of Balloons Are Everywhere, Inc.

8). Miscellaneous Prize Notes:
All winners must otherwise be legally qualified to receive the prize they have drawn. In the event a prize-winner is not legally qualified to
receive the prize he or she has drawn, the prize shall be considered forfeited.
Substitution of Prizes: Sponsor or any Promotion Entity, within their sole discretion, reserve the right to substitute prizes of
equal or greater value and of similar type, or gift cards of equal or greater value, in the event a particular prize is not available
at the time it is awarded.
Odds of winning: Odds of winning depend on the number of valid entries received.
Total Value of all prizes: $10.
Unclaimed or Not Awarded Prizes: Prizes that remain unclaimed within 7 business days after Sponsor’s initial issuance of prize
notification may, within the sole discretion of Sponsor, be awarded in a Second Chance Drawing for unclaimed prizes. Sponsor or any
Promotion Entity may supply a prize of equal or greater value should a prize not be available at the time of awarding.

9) Second Chance Drawing for Unclaimed or Not Awarded Prizes: Should any prize remain unclaimed or not awarded, a Second
Chance Drawing may, within the sole discretion of Sponsor, be conducted from all valid entries made in the Promotion Period. A
random Drawing (if required), will be conducted on or about Tuesday, May 13, 2014. Winners (if any), will be notified by private
Facebook message.
10) ALL POTENTIAL WINNING ENTRIES ARE SUBJECT TO VERIFICATION BY THE SPONSOR, WHOSE DECISIONS ARE
FINAL AND LEGALLY BINDING. ALL potential winners must comply with all terms and conditions of these Official Rules and winning
is contingent upon fulfilling all requirements.
For all entries: In the event of a dispute as to any entry, the authorized account holder of the Facebook account used to enter will be
deemed to be the entrant. Potential winners may be required to show proof of being the authorized account holder.
Sponsor is not responsible for lost, late, damaged, misdirected, illegible, erroneous, or incomplete entries, or for entries submitted in a
manner that is not specified or permitted in these rules; all such entries may, within the sole discretion of Sponsor, be disqualified.
11) Publicity: Except where prohibited, participation in the Sweepstakes constitutes each winner's consent to the Sponsor’s or
Promotion Entities’ or their agents’ use of a winner's name, likeness, voice, opinions, biographical information, hometown and state for
promotional purposes relating to the Sweepstakes in any media without further payment or consideration, where permitted by law.
12) General Conditions: Sponsor may cancel or modify the Sweepstakes or these Official Rules if fraud, technical failures or any other
factor beyond their control impairs the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event,
Sponsor may award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor may, in its
sole discretion, disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be
acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Sponsor’s failure to enforce any provision of
these Official Rules shall not constitute a waiver of that provision. Sponsor is not responsible for any typographical or other errors in the
printing of the offer, administration of the Sweepstakes, on in the announcement of the prizes/winners.
13)Severability: In the event that any provision of these Official Rules is found invalid or unenforceable pursuant to judicial decree or
decision, the remainder of the Official Rules shall remain valid and enforceable according to its terms. By entering, you acknowledge
that you intend that the provisions of these Official Rules be enforced to the fullest extent permitted by applicable law. Accordingly, you
agree that if any provisions are deemed not enforceable, they shall be deemed modified to the minimum extent required by applicable
law.
14) Release: By entering entrant agrees to release, hold harmless and indemnify the Sponsor, and the Promotion Entities, and their
respective parents, subsidiaries, affiliates, dealers, brokers, directors, stockholders, officers, governors, employees, officials, and
agents against any and all losses, liability, rights, claims, damages or causes of action (however named or described), with respect to
or arising out of either (i) entrant's participation; or (ii) the receipt, acceptance, possession, use or misuse of the prizes awarded in the
Sweepstakes, including, without limitation, personal injuries, death, and property damage, and claims based on publicity rights,
defamation, or invasion of privacy, whether suffered by entrant or a third party. By participating, entrants agree to waive any right to
claim ambiguity in the Sweepstakes or these Official Rules.
15) Limitations of Liability: Sponsor and the Promotion Entities are not responsible for, and entrant hereby releases Sponsor and the
Promotion Entities from any claims arising from: (i) technical failures of any kind, including but not limited to the malfunctioning of any
computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet
service; (iii) unauthorized human intervention in any part of the entry process or the Sweepstakes; (iv) electronic or human error which
may occur in the administration of the Sweepstakes or the processing of entries; or (v) any injury or damage to persons or property,
including but not limited to entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part,
from entrant's participation in the Sweepstakes.
16) Disputes: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this
Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the
State of Alabama in the U.S.A. ; (ii) any and all claims, judgments and awards shall be limited to actual prize in dispute but in no event
attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to
claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses of the prize
in dispute, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE
LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. All issues and questions
concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant
and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of
Alabama, U.S.A.
17) Participants’ Personal Information: By entering into this Sweepstakes, each entrant agrees to Sponsor’s and Promotion Entities’
use of his or her personal information in accordance with these Official Rules. The personal information collected in this Sweepstakes
may be shared with the Promotion Entities and other related parties participating in this Sweepstakes. Personally identifiable
information that entrant provides within entrant’s registration for this Sweepstakes may be utilized by the Sponsor and Promotion
Entities, through a series of emails, text messages, U.S. postal mailings, or other reasonable means of communication, designed to
enhance and extend the relationship with the entrant, and to enable entrants to take maximum advantage of products and services the

Sponsor or any Promotion Entity thinks the entrant would be interested in or enjoy. At any time entrant may opt out of receiving

18) Winners List: Prizewinner’s name will be posted on Sponsor’s Facebook page, after award and certification by Sponsor.
