CLIENT AGREEMENT

performed satisfactorily.
The Client agrees the Associate will not be responsible for
cash, negotiable instruments or other valuables without
prior written permission from Keepers.
Hiring an Associate: Keepers incurs substantial recruitment, screening, administrative and advertising expenses
in providing our Associates. Therefore, the Client and all
supervising parties agree not to Directly Utilize any
Keepers Associate in any manner or under any circumstances, other than through Keepers, for the next 12
months.
Directly Utilize includes, but is not limited to employment, offers of employment, referral for employment, referral through another service, hiring in another or professional capacity, use as a volunteer, use on a
freelance basis or as an independent contractor.

ASSOCIATE AGREEMENT

My overtime was authorized in advance by the Client
and the initials of my supervisor are next to each day
with overtime.
I understand that any employment direct or indirect,
resulting from an assignment with Keepers will be
subject to Keepers’ Client Agreement and my Associate
Agreement. Because the Client has already agreed to
pay the cost of hire my only obligation is to notify
Keepers as outlined in my Associate Agreement.

Client includes but is not limited to the client, subsidiaries,
divisions, partners, affiliates, sub-contractors and all parties supervising or utilizing an Associate.
Clients that plan to Directly Utilize an Associate agree to
immediately notify Keepers in writing. The Client agrees to
pay Keepers a standard fee of $4000 after temping the
associate for a minimum of four (4) weeks or a Direct hire
fee equal to 25% of the 1st year compensation for each
candidate Directly utilized prior to temping the candidate.
These fees are liquidated damages and are not a penalty
for breach.
Invoices are payable when received. Finance charges of
11/2% per month accrue on the unpaid balance. The
Client agrees to bear all expenses and legal costs that are
reasonable and neccesary to collect debts or enforce the
terms of this Agreement and waives the right to a jury.
Legal costs will include a charge for attorney’s fees of
15% or actual attorney’s fees, whichever is greater.

sustained an injury while on my assignment. I further
acknowldege that I have not witnessed another
Keepers associate experiencing an accident nor sustaining an injury while on my assignment.
