WHAT IS TORCH?
Torch is an International Association of Torch Clubs (IATC), founded 7/10/24
(Club 1) in Minneapolis, Minnesota. IATC is a group of respected persons
practicing recognized professions who enjoy the cultural interchange of knowledge.
“We get together monthly to learn... we learn from doing thorough research on a
subject of our interest, and we learn from hearing the research and presentations of
other members. We love learning and have fun getting together to do so.” This
quote was by Appleton Torch Member Leota Ester during the June 2009 IATC
Convention, at Appleton, Wisconsin and is the crux of what Torch is all about. The
Delaware club was founded in 1930 as the #43rd Club.
Local Torch Clubs operate in 67 locations in 21 US States and Canada. Each has a
monthly dinner meeting, which is highlighted by the presentation of a paper by a
member or guest on a topic of general interest to such a group. Following the
presentation, the members discuss the subject.
It is through this sharing of knowledge and point of view that Torch becomes a
unique and beneficial experience.
The clubs are a nonprofit corporation which provides common services to its
member organizations. A total of 2170 members are presently represented by
IATC. See page 44 for complete membership breakdown by region and number of
clubs, and pages 39-42 for Torch clubs hosting annual conventions since 1927.
WHAT IS A GOOD TORCH PAPER?
The question often comes up, “How is a Torch paper judged?” The guidelines that
are offered to members include:

Selection of Topic
• Contemporary significance: Is the subject relevant to today’s world?
• Universal interest: Does the theme touch all Torch members?
• Expertise: Does the speaker/writer have firsthand knowledge of the subject?
• Substance: Is the paper merely entertaining - or does it give the audience
something to think back on?
Preparation of Paper
• Clearly stated thesis: Does it meet Webster’s definition of “a position or
proposition that a person advances and offers to maintain by argument”?
• Attractive lead:
o Do (Will) the opening remarks attract the audience’s attention and
involve it in the subject immediately?
o Is the thesis stated early so the audience has time to marshal its
arguments?
• Well organized/logical conclusion:
o Do the main points follow in orderly progression?
o Does the conclusion wrap up the presentation in logical fashion?
• Freshness: With few really new subjects, does the paper offer a creative
approach or something unique in its presentation?
Results
• Adherence to time schedule: Did (Will) the speaker finish well within the
prescribed 30 to 40 time minute limit so an equal amount of time is available
for discussion?
• Discussion: Did (Will) the paper stimulate debate on the thesis?
Humor
• Consider the judicious use of levity, which keeps any audience on its
collective toes.

It’s a simple method to evaluate a Torch paper, and no attempt is made to weigh
each element in importance, but together they add up to success. The brochure on

The IATC Best Yearly Talk
• The Pinnacle of success for a local torch talk is to be judged by an IATC
Paxton Awards Committee and thus be presented before the international
gathering of clubs at their annual June convention. See the annual
conventions venue history, which is recorded in pages 39 – 42 of this roster
booklet.

BENEFITS OF MEMBERSHIP
Membership in TORCH is different: There is no obligation to champion causes.
The club does not participate in civic projects. No one is expected to propagate
prescribed ideas. Regularity of attendance is encouraged, but not required.
Membership in TORCH is beneficial: The interaction among the various
professions represented in a TORCH club is a stimulating experience. Everyone
who participates benefits from the wide range of thought in the variety of papers
presented, as well as from the lively discussions which follow.
Membership in TORCH is enjoyable: It offers fellowship in a congenial
atmosphere with persons representing a broad range of professional life. It is an
intellectual treat to meet face-to-face with other professional persons in a relaxed
situation. The exchange of ideas is invigorating.
What is expected of a TORCH member? It is assumed that members are
sufficiently interested to attend whenever possible. Members are expected to
contribute to the program by preparing papers when invited to do so and by entering
into the discussion.

Over the Eighty-four year history of the Delaware Chapter, members from industry,
academia, law, medicine, and government have offered their ideas and perspectives
to the Torch membership. The founder of the Torch Club of Delaware in 1930,
while president of the University of Delaware, was Dr. Walter Hullihen. The U of D
Morris Library is responsible for the Torch Club of Delaware Archives. A sampling

BYLAWS OF THE
TORCH CLUB OF DELAWARE
Article I
Name
The name of this organization shall be the Torch Club of Delaware.
Article II
Charter
Section 1. This Club is a member of the International Association of Torch
Clubs, Incorporated, a nonprofit corporation and agrees to be bound by the
constitution and bylaws of said Association and by the lawful acts of its officers and
Board of Directors.
Section 2. The general purposes of this Club shall be to encourage
communication among members of the various professions, to provide opportunity
for leading members of such professions to meet together in the spirit of good
fellowship for the exchange of knowledge and an understanding of each other’s
problems and aspirations, to prevent the narrowing tendencies of specialization by
developing a breadth of thought and culture, and to foster the highest standards of
professional ethics and civic well-being.
Section 3. The Club agrees to cooperate with other member clubs and with the
officers and directors of The International Association of Torch Clubs,
Incorporated, in furthering the interests and welfare of the Association and its
member clubs through exchange of information and speakers, the extension of
Torch to new areas and by sending a delegate to the annual convention of the
Association.

Article III
Statement of Policy
The Club shall encourage freedom of discussion and expression of opinion on all
subjects and shall not take any action or public position, by resolution or otherwise,
upon any political, social, or religious proposal or measure. Neither shall the Club
endorse any candidate for public office.
Article IV
Membership
Section 1. To be considered for membership, a candidate must be a professional
person:
(a) who is in good standing (either active or retired) in a profession or discipline
that is pursued in a recognized professional manner.
(b) who has a degree from an accredited school, or is professionally recognized
as having an acceptable equivalent in training and experience.
(c) who in the judgment of the Club
1. has pursued work that requires a mastery of knowledge or skills, the exercise
of judgment, and the assumption of individual responsibility.
2. evidences an obligation of service to society.
3. has maintained standards of professional competence and integrity.
(d) who is known to be intellectually alert, socially companionable, financially
responsible, and of good moral and ethical standing, and
(e) who is interested in Torch objectives and who is able and willing to
contribute to Club programs.
Section 2. Except as waived by the Board of Directors in each case, the number
of members in any profession be limited to twenty percent of the total active
membership.

Section 3. Nominations for membership must be made by a Club member and
approved by the chairman of the Membership Committee. The person accepted for
membership shall complete a Membership form and pay the prescribed initiation
fees and dues.
Section 4. Membership shall be limited to seventy-five (75) members, provided
that members transferred from other Torch Clubs are not counted in this quota.
Section 5. Emeritus status is designated to members that have provided
exemplatory interest and service to the Club and have become unable to frequently
attend meetings. Emeritus members shall be exempt from payment of all dues, but
shall routinely receive a copy of the annual club roster and monthly programs.
Article V
Government
Section 1. The government of the Club shall be vested in a six-member Board of
Directors consisting of the three current officers and three at-large directors. The
officers of the Club shall be the President, Vice President, and Secretary-Treasurer,
each of whom shall serve during the Club’s fiscal year, and until their successors
are elected. Each director shall serve for three years with one elected each year.
The President shall serve as Chairman of the Board. No salary shall attach to any
office but the Club shall reimburse the officers for any necessary expenses incurred
in the management of Club affairs.
Section 2. Meetings of the Board of Directors shall be called by the President or
any three members thereof. Four members of the Board shall constitute a quorum
for transacting any business.
Section 3. The President and other officers shall perform the duties usually
incident to the offices. In addition, the Secretary-Treasurer shall file with the
International Association of Torch Clubs, Incorporated, a copy of the membership

application for persons elected to membership, all meeting reports as they become
due, and any program papers worthy of publication in the Torch magazine.
Section 4. The Secretary-Treasurer, Vice President, one director and President
shall be elected at the regular April meeting of the Club.
Section 5. Each year, at least two months before the annual convention of The
International Association of Torch Clubs.
(IATC), the Board of Directors shall appoint from the Club membership a delegate
who is able to attend the convention. Presently, Torch International credits the local
club $250, which by Board action on 2/26/01, remains in the local treasury rather
than a reimbursement for a delegate expenses, inasmuch as the club has routinely
fielded several members to recent national conventions. See the annual conventions
venue history recorded in pages 39 – 42 of this roster booklet as well as the
recognition of IATC officers that have been local Delaware Torch Club members
(see page 22).
Article VI
Committees
There shall be four, three-member standing committees of the Club as given
below:
(a) The Program Committee shall be responsible for arranging Club programs,
selecting program speakers and publishing the Club’s annual Member Roster
Handbook. The program committee shall be by appointment of the Board of
Directors.
(b) The Membership Committee shall be responsible for keeping the Club
membership quota filled with qualified persons of a wide range in ages and
professions. The membership committee shall be by appointment of the Board of
Directors.
(c) The Finance Committee shall be responsible for the financial health of the
Club. This includes proposals for dues and assessments, evaluation and proposals

of meeting sites, and periodic auditing of the financial records. The finance
committee shall consist of the Secretary-Treasurer (chairman) and two directors.
(d) The Nominating Committee will meet on or before the regular March
meeting of the Club. The report of the Nominating Committee shall be presented at
the April meeting when additional nominations may be made from the floor. The
election shall be by voice vote of members in attendance or by ballot as determined
by the President. Vacancies in any office shall be filled by the Board of Directors
for the unexpired term. The Nominating Committee will be by appointment of the
President.
Article VII
Club Meetings
Section 1. The Club shall meet regularly each month October through May, on
the dates and at the places fixed by the Board of Directors annually starting with the
October meeting.
Section 2. The President may call a special meeting at any time, and shall do so
on request in writing of at least five (5) active members.
Section 3. The Annual Meeting of the Club shall be the regular April meeting.
Section 4. Written notice of the time and place of all meetings shall be given to
each member by the Secretary-Treasurer.
Section 5. Twenty-five percent (25%) of the active membership of the Club
shall constitute a quorum for transacting Club business.
Section 6. Robert’s Rules of Order shall govern all meetings of the Club and the
Board of Directors.

Section 7. Any member at personal expense may invite guests to Club meetings.
Article VIII
Membership Fees and Dues
Section 1. The initiation fee for every new member shall be ten dollars ($10.00).
A sample, effective 1/31/11, is shown on page 37 payable with an executed
application.
Section 2. Annual Dues, are payable on or before the May meeting. As of June
2009, those member dues are $60.00 ($50.00 national and $10.00 local). The
1/31/11 IATC New Membership Application Form requires the $10 initiation fee at
the time of new membership, irrespective of the May meeting annual dues clause
for all members.
Section 3. The Secretary-Treasurer shall mail the special dues notice to each
member in April, and, to those who do not pay in May, a personal reminder in
October. Any member who has not paid dues by January 1 may be dropped from
membership by the Secretary-Treasurer upon review by the Membership
Committee.
Section 4. The fiscal year of the Club shall be from October 1 through
September 30.
Article IX
Amendments
These bylaws may be amended as follows:

(a) by a two-thirds vote of the members present at any meeting of the Club
provided notice of the proposed amendment shall have been given to the members
individually at least two weeks prior to the meeting, or announced to the Club at a
regular meeting prior to the meeting to vote on adoption of the amendment, or
(b) without notice by a unanimous vote of the members present at any regular
meeting of the Club, provided that after a proposed amendment has been read at
said meeting a motion to waive the requirement of notice of the proposed
amendment has been unanimously adopted.
Article X
Effective Date
These bylaws are effective as of January 31, 2011.
