TheIndigenousSport,PhysicalActivity&RecreationCouncil(I·SPARC)isinvitingIndigenousPeoplesin
BritishColumbiatosubmitsongentriesforconsiderationtobeselectedastheTeamBCThemeSong
(the“Song”)thatwillrepresentTeamBCatthe2017NAIGOpeningCeremoniesandthroughtheNAIG
Games.ThisisachanceformusicianstocomposeadrumsonginhonourofTeamBC’sathletesand
coachesparticipatingatthe2017NorthAmericanIndigenousGames(NAIG).TheGameswillbeheldin
Toronto,OntarioJuly16-23,2017.
AbouttheNorthAmericanIndigenousGames
TheNorthAmericanIndigenousGamesisaninternationalmulti-sportevent,involvingNorthAmerican
IndigenousathletesfromCanadaandtheUSA,stagedintermittentlysince1990.TheGamesare
governedbytheNorthAmericanIndigenousGamesCouncil,acouncilofrepresentativesfrom13
provincesandterritoriesinCanadaand13regionsintheUnitedStates.
TheNorthAmericanIndigenousGames(NAIG)promotesandencouragesthecultural,spiritualand
traditionalvaluesofthepeoplesitisrepresenting.Intheiractivitiestheypromoteandencourage
holisticindividualdevelopmentthatassuresmental,physical,emotionalandspiritualgrowth.TheNAIG
isnowexclusivelyaneventforyouthathletesagedapproximately13to19years.
ThefirstIndigenousGameswereheldin1990inEdmonton,Alberta,followedbyGamesinPrinceAlbert,
Saskatchewanin1993;Blaine,Minnesotain1995;Victoria,BritishColumbiain1997;Winnipeg,
Manitobain2002;andDenver,Coloradoin2006;andCowichan(Duncan)in2008.Themostrecent
NAIGwasheldinRegina,SaskatchewanfromJuly20-27,2014whereTeamBCmadehistoryasthefirst
teamtobeawardedboththeOverallTeamAward(formostmedals)andtheJohnFletcherSpiritAward
forbeingvotedteamwithmostintegrityandsportsmanship.ThenextNAIGwillbeheldinToronto,
OntariofromJuly16-23,2017.

AboutTeamBC
TeamBCwillconsistofover500athletesandcoachescompetingin13NAIGsports:3Darchery,
athletics(track&field,cross-country),badminton,basketball,canoe/kayak,golf,lacrosse,rifleshooting,
soccer,softball,swimming,volleyball,andwrestling.
TeamBCforNAIGisinclusivetoathletesandcoachesofIndigenousancestry(FirstNations,Inuit,Métis)
inBC.TeamBCmembersrepresentnotonlytheprovinceofBC,buttheywillalsobeambassadorsof
theircommunities/nationsandtheirfamilies.Withtheparticipationofapproximately5,000athletes,
coaches,culturalperformersandvolunteersatthe2017NAIG;Toronto2017willbeaunique,once-in-alifetimeexperienceforIndigenousathletesandcoaches.Theywillenjoyaninternational,celebrationof
sportexcellence,culturalunityandpride.
RulesoftheTeamBCThemeSongCompetition
ThecallforTeamBCthemesongsubmissions(the“Competition”)isgovernedbythefollowingrules.
ParticipationintheCompetitionbytheEntrantandtheComposersconstitutesacceptanceand
agreementtotheseRules.
I.ELIGIBILITY
ThecompetitionisopentoanyIndigenouspersonlivinginBritishColumbia*
NopaymentorfeeisrequiredtosubmitanentryfortheCompetition.

II.PROJECTOBJECTIVES
TheobjectiveoftheCompetitionistoselectathemesongthatreflectsTeamBCanditsparticipationin
the2017NorthAmericanIndigenousGamesanditscommitmenttocelebratingsportexcellence,
culturalunityandpride.
ThevisionfortheTeamBCThemeSong:
1. ACelebration!Theoriginaldrumsongshouldbecreatedbasedonup-temposoundsto
celebrateandenergizeathletesbybuildingteamspiritandmoralepreandpostcompetition;
2. TeamBCforNAIGisinclusivetoathletesandcoachesofIndigenousancestry(FirstNations,
Inuit,Métis).TheSongwillcaptureandreflecttheuniqueandinclusivespiritofAboriginalTeam
BC;
3. Incorporatetraditionaldrumsoundsandanyotherinstrumentsthecomposer(s)feeltheywish
toincorporate(i.e.flute,clappers,etc.);
4. ThesongandmeaningrepresentthediversityBCofferswithitsIndigenouspopulation;
5. ThesongshouldbeeasytolearnwithsimpletraditionallanguageandEnglishincorporatedin
theverse/chorus.
IV.SUBMISSIONPROCEDURES
Twoformsmustbecompletedandattachedtoeachapplicationsubmitted:TheEntryForm(with
supportingdocuments)andtheIntellectualPropertyRightsandConfidentialityAgreement.Bothforms
canbefoundwithinthispackage.Pleasedirectqueriestojjohnson@isparc.ca.
1. COMPOSITIONDOCUMENTS:TheSongmustbeaccompaniedbyCompositionDocumentsthat
includesthefollowing:
a. AnameorworkingtitlefortheSong;
b. Therationaleforthecreativeapproachand/orthethemeoftheSong,andabrief
descriptionofhowitachievestheapplicableSongobjectivessetforthintheseRules;
c. DetailsregardingtheEntrantandallpersonsinvolvedintheSongprocess;and
d. CertificationsthattheEntrantandallpersonsinvolvedintheSongprocesshavestrictly
compliedwiththeRules.
2. INTELLECTUALPROPERTYRIGHTSANDCONFIDENTIALITYAGREEMENT:TheSongmustbe
accompaniedbyanIntellectualPropertyRightsandConfidentialityAgreementdulysignedby
theEntrantandallpersonsinvolvedintheSongprocess.
3. DEADLINE:Alldocumentsmustbereceivedbynolaterthan4:00pm(PST)onMay21,2017via
oneofthesubmissionoptionsdesignatedintheEntryForm.
4. EVIDENCEOFELIGIBILITYANDCOMPLIANCEWITHRULES:Entrantsarerequiredtoprovideany
documentationreasonablyrequestedbyI·SPARCtosupporttheeligibilityoftheEntrantandto
demonstratecompliancewiththeseRulesbytheEntrantandallpersonsinvolvedintheSong
process.Documentationrequired:
a. ProofofIndigenousancestry(i.e.,StatusCard,TreatyCard,MetisProvincial
Citizenshipcard,letterfromBCAboriginalCommunityleadership,etc).Please
supplyaphotocopyofbothsidesofthecard;

I·SPARCreservestherighttoseekadditionaldocumentationfromanEntrantifitdeemsit
necessarytodoso.
VI.CONFIDENTIALITY
EntrantsandotherindividualsinvolvedintheSongprocessarerequiredtokeepstrictlyconfidentialthe
submittedsong,aswellasallinformation,throughoutthecreativedevelopmentprocessand,subjectto
I·SPARC’swrittenpermissiontothesuccessfulEntranttothecontrary,inperpetuity,afterthewinning
songhasbeenchosenbytheI·SPARC.I·SPARCmay,initsdiscretion,discloseinformationregardingthe
creativeprocessoftheSongcomposition.TheIntellectualPropertyRightsandConfidentiality
AgreementrequireEntrantsandallpersonsinvolvedinthedesignprocesscertifytheircompliancewith
thisrequirement.
VII.ORIGINOFTHESONG
EntrantsandallotherindividualsinvolvedincreatingtheSongmustprovidewrittendetailsregarding
thedevelopmentoftheSong,andcertifythattheSongisoriginalandnotcopiedorderivedfromany
othermaterialsandthatitsusewillnotinfringeupontherightsofanyotherperson.
TheEntrantandallotherindividualsinvolvedincreatingtheSongwillberequiredtosignanddeliveran
IrrevocableReleaseandAgreementtoIndemnify,defendandholdharmlesstheI·SPARCanditsaffiliates
andrepresentativesfromandagainstanyandallclaimsandliabilitiesarisingfrom,connectedwithor
relatingtotheuseandexploitationoftheselectedSongbyI·SPARC.
VIII.SELECTIONOFSONG
I·SPARCwillmakethefinaldecisionregardingthesuccessfulSongsubmission.
I·SPARCwillestablishtheSelectionCommitteetoreviewtheapplicationsandtomake
recommendationstoI·SPARCregardingitsdecision.TheSelectionCommitteewillselectthose
applicationsitconsiderstobeappropriateforconsideration.
TheSelectionCommitteewillhavefullandunfettereddiscretioninitsevaluationandrecommendations
regardingsubmittedcomposers.I·SPARC’sdecisionsregardinganyandallaspectsoftheCompetition
arefinalandbindingonallEntrants.
IftheEntrantisfoundnottobeinfullcompliancewiththeseRules,thenatI·SPARC’ssolediscretion,the
prizemaybeforfeitedwithoutanyliabilitybyI·SPARCtotheselectedEntrantortoanyotherperson,
andI·SPARCmayselectanothersubmissioninaccordancewiththeseRules.
IX.SCHEDULEOFPROJECT

• May18,2017at4:00pmPST–Deadlineforapplications
• June10,2017–theSelectionCommitteewillmakeitsrecommendationsandI·SPARCwillselect
thesuccessfulSongsubmission.

• Thesedatesaretentative,andsubjecttorevisionbyI·SPARCwithoutnotice.
X.NOTIFICATION
I·SPARCwillconfidentiallynotifythesuccessfulEntrantoftheCompetition,butwillnotnotifyanyother
EntrantsofthefinalresultsoftheCompetitionuntilI·SPARChasconfirmedthattheselectedEntrantis
infullcompliancewiththeseRules.
XI.UTILIZATIONANDEXPOSUREOFTHESONG
TheSongwillbeusedbyI·SPARCastheTeamBCThemeSongandprimarysoundoftheTeamBC
programfortheNorthAmericanIndigenousGames.Throughitsmarketingprograms,I·SPARCwillbe

entitledinitsdiscretiontouseandexploitorauthorizeanythirdpartytouseandexploittheSonginany
andallwaysusinganyandallmediaandtechnologies,includingwithoutlimitation:
• Organizedpromotions,promotionalandinformationalmaterialsproducedby,andmerchandise
ofTeamBCandI·SPARCandauthorizedthirdparties,venues,culturalandeducational
programs,volunteeractivities,andanyotheractivitiesrelatingtoI·SPARCand/orTeamBC
program;
• Productions,print,televisionbroadcastorinteractivecommunicationtoglobalmedia;and
• Utilizationthroughtelevisionbroadcasts,promotionsheldbytheownersoftelevisionbroadcast
rights,marketingactivitiespromotedI·SPARCandanyofitscommercialpartners,andprograms
licensedbyI·SPARC.
XII.PRIZE
Thereisone(1)prizeavailabletobewononlybythewinningEntrantwhosesongischosenasthe
winningTeamBCThemeSong.Theprizeisthreethousandfivehundreddollars($3,500.00CDN).
XIII.POSSIBILITYOFNOWINNINGENTRY
WhileI·SPARCaimstofindawinningSongdesignthroughthecallforsubmissionsinthisCompetition,
I·SPARCreservestherighttonotselectawinningSongfromthosesubmitted.If,inthejudgmentof
I·SPARC,nosubmitteddesignsatisfiesthecriteriaorissufficientlycompellingasanidentityforTeamBC,
I·SPARCmayinitsdiscretionterminatetheCompetitionwithoutselectingawinningSong.Inthose
circumstances,theEntrantswillbenotifiedoftheresultoftheCompetition,andI·SPARCreservesthe
righttothenengageprofessionalComposers(whetherornotsuchpersonsareEntrants)todesignthe
Song.
XIV.DISCLAIMERS
I·SPARCshallhavenoresponsibilityorliabilitytotheEntrantsforanyreasonwhatsoeverrelatingsong
submissions,includingforanyerroneous,damaged,destroyed,lost,late,incomplete,illegible,
incorrectlyaddressedormisdirectedentrysubmissionsorforanydamageorloss(whetherincontract,
tortorunderanyothertheoryoflaworequity)arisingfrom,connectedwith,orrelatingtosong
submissions,participationintheTeamBCSongCompetition,ortheprizeaward,regardlessofthecause
orofanyfaultbyI·SPARCoranypersonforwhomI·SPARCisresponsible,andnotwithstandingthatany
ofthosepersonsmayhavebeenadvisedbytheEntrantsofthepossibilityofsuchlossordamagebeing
incurred.
XV.GOVERNINGLAWANDDISPUTES
TheseRulesandtheEntryFormandtheIntellectualPropertyRightsandConfidentialityAgreementwill
beenforcedandinterpretedexclusivelyintheEnglishlanguage.TheCompetitionissubjecttoall
applicablelawsandregulations,andisvoidwhereprohibitedbylaw.IfanyprovisionoftheseRulesis
foundbyanycourtofcompetentjurisdictiontobeunenforceable,allotherprovisionswillremaininfull
forceandeffect.
TheCompetition,theseRules,andallrelatedmattersaregovernedsolelybythelawsofBritish
Columbia,CanadaandapplicablefederallawsofCanada,excludinganyrulesofprivateinternationallaw
orconflictoflawswhichwouldleadtotheapplicationofanyotherlaws.Anydisputearisingfrom,
connectedwithorrelatingtotheTeamBCThemeSongCompetition,participationinthesubmission
process,theprizeawardoranyrelatedmatters(collectively,“Disputes”)willberesolvedbeforethe
CourtsofBritishColumbiasittingintheCityofVancouver,BritishColumbia,Canada,andallEntrants
andpersonsinvolvedintheSongcompositionherebyirrevocablysubmitstotheoriginalandexclusive
jurisdictionofthosecourtsinrespectofallDisputes.ProceedingsregardingDisputesmustbe
commencedinacourtofcompetentjurisdictionintheCityofVancouver,BritishColumbia,Canada

withinsix(6)monthsaftertheDisputearose,afterwhichtimeanyandallclaimsregardingtheDispute

DEFINEDBELOW(THE“ENTRANT”)ANDTHECOMPOSER(S)DEFINEDBELOW(THE“COMPOSERS”).
INCONSIDERATIONOFtheIndigenousSport,PhysicalActivity&RecreationCouncil(I·SPARC)permitting
theEntranttosubmittheapplicationfortheintendedTeamBCThemeSongidentifiedbelow(the
“Song”),createdbytheindividualcomposer(s)identifiedbelow(eacha“Composer”),asanentryinthe
TeamBCNAIGThemeSongCompetition(the“Competition”)inaccordancewiththeRulesissuedApril
21,2017(the“Rules”),whichincludesaprizeawardof$3,500ifsubmissionissuccessfullyselected.
HEREBYUNCONDITIONALLYANDIRREVOCABLYCOVENANTANDAGREEWITHONEANOTHERAS
FOLLOWS:
1. OwnershipandUseoftheSong:TheComposer(s)selectedtocreatetheSongandallother
ComposerssubmittedintotheCompetitionandallproprietaryinterestsandintellectualpropertyand
copyrighttherein:(a)shallbecomeandremaininperpetuitythesoleandexclusivepropertyof
I·SPARCanditssuccessorsandassigns;(b)shallnotbereturnedtotheEntrantortotheComposers.
2. EntrantandComposerRights:AfterselectionoftheComposer(s),theEntrantandComposersofthe
Song,shallhavenofurtherright,titleorinterestintheSong,andwillnotuseorexploit,orauthorize
anyotherpersonotherthanI·SPARCtouseorexploit,theSongoranyportionofitinanymanneror
foranypurposewhatsoever.NothinghereinshallobligateI·SPARCtousetheSongforanypurpose
whatsoeveronceitiscompleted.
3. AssignmentandWaiver:TheEntrantandeachComposeroftheSongandtheEntranthereby
irrevocablyandunconditionally:(a)assignandtransfertoI·SPARCallright,titleandinterest
(including,withoutlimitation,copyright,ownershipandallotherintangible,intellectual,industrial
andproprietaryrights)throughouttheworldin,toandassociatedwiththeSong,freeandclearof
anyandallliens,encumbrances,chargesandinterestswhatsoeveroftheEntrantandeachComposer
orofanythirdparty;and(b)waivesinfavourofI·SPARCanditssuccessors,assignsandlicenseesany
andallnon-transferrablerights(includingwithoutlimitationanyandallmoralrightsandrightsof
authorship)theyhavethroughouttheworldin,toorassociatedwiththeSong.Ifandtotheextent
thattheforegoingassignment,transferandwaiverarenoteffectiveforanyreason,theEntrantand
eachComposer:(a)willholdallright,titleandinterestin,toandassociatedwiththeSong,thatare
notherebyassigned,intrustforthesolebenefitofI·SPARC;and(b)herebygranttoI·SPARCan
exclusive,irrevocable,perpetual,indefinite,world-wide,fullytransferable,fullysub-licensable,
royalty-free,fullypaid-uplicensetouseandexploit(includingmodifyandalter)theSongforanyand
allpurposeswhatsoeverinI·SPARC’sfulldiscretion.
4. RepresentationsandWarranties:TheEntrantandeachComposer,jointlyandseverally,represent,
warrantandcovenanttoI·SPARCasfollows:
a) AuthorityandCapacity:TheEntrantandtheComposerseachhaveallrequisitepower,right,
capacityandauthoritytoenterinto,execute,deliverandperformtheirobligationsunderthis
Agreement;
b) AccurateInformation:allinformationsetforthinthisAgreementandintheEntryForm
applicabletotheSongistrue,accurateandcomplete;
c) Originality:theSong:(i)isanoriginalworkcomposedsolelybytheComposer(s),withoutany
advice,assistanceorcontributionfromanypersonotherthantheEntrantandassociated
Composer(s)listedwithintheentryform;(ii)doesnotincorporate,andisnotbaseduponor
derivedfrom,anyothersong,work,informationormaterial(exceptasexpresslypermittedby
IntellectualPropertyRightsandConfidentialityAgreement(Pages9to12)
theRules);and(iii)totheknowledgeandbeliefoftheEntrantandtheComposer(s)isnot
confusinglysimilarto,orlikelytobemistakenfor,anyothersongscurrentlyorpreviouslyused
byanyotherperson;
d) NoEmploymentorTools:TheSongwasnotcreatedorcontributedtobytheComposer(s)
duringthecourseoftheiremploymentwithanypersonotherthantheEntrant,orusingany
information,materialsortoolsprovidedbyanypersonotherthantheEntrantandthe
Composer(s);
e) NoThirdPartyInterests:nopersonotherthantheEntrantandtheComposer(s)hasanyright,
titleorinterest(includingwithoutlimitationcopyrightoranyotherintangible,intellectual,
industrialandproprietaryrights)in,toorassociatedwiththeDesign;and
f) Non-Infringement:theuseandexploitationoftheSongbyI·SPARCanditssuccessors,assigns
andlicensees,foranyandallcommercialornon-commercialpurposeswhatsoeverandby
meansofanyandallformsofmediaandtechnologiesnowknownorhereafterdeveloped,will
notinfringetherights(includingcopyrightandotherintangible,intellectual,industrialand
proprietaryrights)ofanyotherperson.
5. CompensationAcknowledgement:TheEntrantandtheComposerseachacknowledgeandagree
thattheywillreceivetheprizeawardreferencedinthisAgreementandintheRules,theEntrantand
theComposerseachacknowledgeandagreethattheyarenotentitledtoreceiveanyremuneration,
royalties,fees,expensesorothercompensationwhatsoeverarisingfrom,connectedwith,orrelating
totheirparticipationintheCompetition,theircreationandcompositionoftheSong,orthe
performanceoftheirobligationsunderthisAgreement,theEntryFormandtheRules.
6. Confidentiality:TheEntrantandtheComposer(s)oftheSongandallotherEntrantsandComposers
acknowledgetheirobligationtomaintainthestrictconfidentialityoftheSongandallinformation
withtheregardstotheSong,bothduringthecreationoftheSongandindefinitelythereafter.The
EntrantandtheComposer(s)oftheSong,andallotherEntrantsandComposers,jointlyandseverally,
represent,warrantandcovenanttoI·SPARCthat,otherthanasexpresslypermittedbyI·SPARCin
writing,theyhavenotdisclosed,andwillnotinthefuturedisclosetheSongoranyinformation
regardingtheSongoranycommunicationswithI·SPARCregardingtheSongortheCompetitionto
anypersonotherthanI·SPARC,andwillmaintainthestrictconfidentialityoftheSongandallsuch
informationandcommunications,usingthesamedegreeofcareastheyaffordtotheirown
confidentialinformationofasimilarnaturewhichtheydesirenottobepublishedordisseminated,
andinnoeventlessthanreasonablecare,topreventunauthorizeduseordisclosure.Nothinginthis
provisionwillpreventtheEntrantandtheComposer(s)frommakingsuchdisclosuresofinformation
asmayberequiredbylaw,providedthattheygivepriorreasonablenoticeofsuchpotential
disclosuresofinformationtoI·SPARCandreasonablyassistI·SPARCtolawfullypreventorrestrict
suchdisclosuresofinformation.NothinginthisprovisionwillpreventI·SPARCfromexercisingits
discretiontodiscloseinformationregardingtheSongafterithasbeencreatedandthefinalversion
submittedandacceptedbyI·SPARC.
7. ReleaseandIndemnity:TheEntrantandtheComposer(s),jointlyandseverally,herebyirrevocably
andabsolutely:(a)release,remiseandforeverdischargeI·SPARCanditsRepresentatives(asdefined
below)fromanyandallmannerofrights,claims,complaints,demands,causesofaction,
proceedings,liabilitiesandobligationsofanynatureandkindwhatsoeverandhowsoeverarising,
whetherknownorunknown,whichnoworhereafterexistthatareinanywayconnectedwith,or
whicharisedirectlyorindirectlyfromorrelateto,theCompetitionandtheSong;and(b)agreeto
indemnify,defendandholdharmlesseachofI·SPARCanditsRepresentativesfromandagainstany
andalllosses,damages,claims,demands,actions,proceedings,liabilities,expensesandcosts
(includingwithoutlimitation,reasonablelegalfeesandexpenses)ofanynatureandkind
whatsoever,thatareinanywayconnectedwith,orwhicharisedirectlyorindirectlyfromorrelate
to,theEntrant’sortheComposers’participationintheSongoranynegligence,misconductorbreach
ofthisAgreementbyanyoftheEntrantortheComposers.“Representatives”meansdirectors,
officers,employees,agents,personalrepresentatives,successors,assignsandlicensees.

8. FurtherDocumentsandAssistance:UponrequestbyI·SPARCinitsdiscretion,eachoftheEntrant
andtheComposer(s)will,attheirsolecost,providesuchinformationanddocuments,dosuch
additionalthings,andsignsuchfurtherdocumentsasarereasonablyrequiredtoconfirmtheir
compliancewiththeRulesandtoperfectandprotectI·SPARC’sownershipofandrightstouseand
exploittheSongthatiscomposed.Withoutlimitingthegeneralityoftheforegoing,theEntrantand
theComposer(s)willeachexecuteanddelivertoI·SPARC:(a)acertificateacceptingtheprize
awardedtotheEntrant;(b)aconsenttotheannouncementoftheirnamesandtheuseoftheir
personalinformationbyI·SPARCinconnectionwiththeuseandpromotionoftheSong;(c)a
declarationconfirmingcompliancewiththeRules;and(d)aconfirmatoryintellectualpropertyrights
assignmentandwaiver,releaseandindemnityagreement.IfanyoftheComposersareunablefor
anyreasonwhatsoevertocomplywiththeirobligationssetforthabove,eachComposerhereby
irrevocablydesignatesandappointstheEntrant(ortheEntrant’ssuccessorsandpermittedassigns)
andtheEntrant’sdulyauthorizedofficersandrepresentativesastheComposer’sagentsand
attorneys-in-facttoactforandontheComposer’sbehalfandinsteadoftheComposertoexecute
andfileanysuchdocumentandtodoallotherlawfullypermittedactstofurtherthepurposesofthe
foregoingwiththesamelegalforceandeffectasifexecutedbytheComposer.
9. NoticeandResponsibility:TheEntrantandtheComposersacknowledgethefundamental
importancetoI·SPARCoftherepresentationsandwarrantiessetforthinSection4,andwill
immediatelygivenoticetoI·SPARCiftheyknoworhaveanyreasontobelieveorsuspectthatanyof
thoserepresentationsorwarrantiesareormaybeuntrue.Inthatevent,uponrequestbyI·SPARC,
theEntrantwillwithdrawtheirapplicationandSong(regardlessofthestatusoftheSong)fromthe
Competition.TheEntrantisfullyresponsibleandliableforanyandallnegligence,misconductor
breachofthisAgreementbytheEntrantandbyanyoftheComposers.
10. GoverningLawandDisputes:ThisAgreementisgovernedsolelybythelawsofBritishColumbia,
CanadaandapplicablefederallawsofCanada,excludinganyrulesofprivateinternationallaworthe
conflictoflawswhichwouldleadtotheapplicationofanyotherlaws.Anydisputearisingfrom,
connectedwithorrelatingtothisAgreementoranyrelatedmatters(collectively,“Disputes”)willbe
resolvedbeforetheCourtsofBritishColumbiasittingintheCityofVancouver,BritishColumbia,
Canada,andtheEntrantandtheComposerseachherebyirrevocablysubmitandattorntothe
originalandexclusivejurisdictionofthosecourtsinrespectofallDisputes.Proceedingsregarding
DisputesmustbecommencedinacourtofcompetentjurisdictionintheCityofVancouver,British
Columbia,Canadawithinsix(6)monthsaftertheDisputearose,afterwhichtimeanyandallclaims
regardingtheDisputesshallbetime-barredandwithoutanylegalorequitableforceandeffect.
11. General:ThisAgreementtogetherwiththeEntryFormsignedbytheEntrantandtheComposersand
theRulesareincorporatedintothisAgreementbyreference,andconstitutetheentireagreement
betweenthepartiesregardingthesubjectmatterofthisAgreement,andmaybemodifiedonlybya
writteninstrumentsignedbythepartiesortheirsuccessorsorpermittedassigns.ThisAgreement,
theEntryFormandtheRulesaretobeenforcedandinterpretedintheEnglishlanguageonly.This
AgreementisbindinguponI·SPARC,theEntrantandtheComposersandtheirrespectiveheirs,
executors,successors,permittedassigns,andpersonalrepresentatives.I·SPARCmayinitsdiscretion
assignthisAgreementtoanysuccessorcompanytakingoverI·SPARC’sbusiness.TheEntrantandthe
ComposersmaynotassignthisAgreementwithoutI·SPARC’swrittenconsent,whichmaybe
withheldbyI·SPARCinitsdiscretion.NothinginthisAgreementordonepursuanttothisAgreement
willcreateorbeconstruedtocreateapartnership,jointventure,agency,employment,sponsorship,
orothersimilarrelationshipbetweentheparties.InthisAgreement,referencestoI·SPARC’sassigns
andlicenseesincludetheI·SPARCComposerSelectionPanel.
InWITNESSWHEREOF,(I·SPARC),theEntrantandeachComposerhaveSIGNED,ANDDELIVEREDthis
AgreementasoftheEffectiveDateindicatedbelow.
