working with Bikes for the NHS.

Welcome
to the
TAX EFFICIENT CYCLE
TO WORK SCHEME
Welcome to the Tax Efficient Cycle to work scheme, which
offers you the use of a brand new bicycle - TAX EFFICIENTLY.
The scheme is open to all staff on PAYE payroll (except Bank
Staff ) where your salary does not go below National Minimum Wage after the deductions.
If you are impacted by the National Minimum Wage
please contact Bikes for the NHS for an alternative option.
How Does it Work?
Once you have chosen and ordered your bicycle, you enter
into an agreement for a period of 12 months. This consists
of a hire agreement and a Salary Sacrifice from your gross
(before tax) salary. At the end of the 12 month agreement,
you pay the “Disposal Fee” from your net pay.
To benefit from the tax savings bicycles must be mainly
used for cycling to work (over 50% of usage), but there is no
requirement to keep records of work journeys. The bicycle
can also be used for recreational purposes and by any
member of your family.
The scheme guidelines state that up to £1000 of your salary
can be exchanged for this purpose TAX EFFICIENTLY.
Therefore, you will not have to pay Income Tax or National
Insurance on the value of the salary sacrifice. You will save
even more if you are a member of the NHS pension scheme,
because the deductions are not subject to contributions.

Both bicycles and cycling equipment (helmets, lights,
locks, etc.) can be supplied through the scheme.
A small range of mail order products are shown in
this brochure but bikes and accessories from leading brands including Specialized, Marin, Giant,
Dawes and Gore can be ordered on request. In
addition, bikes can be sourced from participating
local bike shops.

The Effect on Your
Employment Package
Overtime and Pay Awards
NHS Pension Scheme
There may be an impact on Statutory Maternity, Adoption, Paternity or Sick
Pay when you take part in the Tax Efficient Cycle to Work Scheme. This is
because these statutory benefits take into consideration your salary less the
reductions for your bicycle. Certain statutory benefits may be lost if your
earnings fall below the Lower Earnings Limit. For further information please
contact your local Social Security office or visit their website at
www.dwp.gov.uk.
Important information
Members prior to 1st April 2008

If you are in the last 3 years of employment before retirement and you
are a member of the NHS pension scheme (1995 section), taking part
in the scheme will have an effect on your NHS pension benefits and
your employer would advise against joining the scheme. Upon retirement, NHS pension benefits are calculated on the best of the last 3
years Pensionable Pay. As your Pensionable Pay will decrease by the
amount of the Salary Sacrifice, this will have an effect on your benefits
if you retire during or soon after the scheme.
New NHS Pension Scheme
New members on or after 1st April 2008
If you are in the last 10 years of employment before retirement and are
a member of the New NHS Pension Scheme (2008 section), taking part
in the scheme may have an effect on your NHS Pension benefits,
depending if/when you plan to wind down your commitment and
earnings in your last years of employment. Upon retirement, NHS
Pension benefits are calculated on the average of the best three
consecutive year’s Pensionable Pay in the last 10 years of working. As
your Pensionable Pay will decrease by the amount of the Salary Sacrifice, this may have an effect on your benefits.
Death in Service Benefits
These benefits will also be impacted if you die in pensionable employment during the 12 months of the scheme. The life assurance within
the NHS Pension Scheme is paid by a lump sum equal to 2 years of
Pensionable Pay. As your Pensionable Pay will decrease by the amount
of the Salary Sacrifice, this may have an effect on your benefits.
The Salary Sacrifice will have no impact on salary related payments such as
overtime and pay awards, which are based on your total remuneration.
Statutory Benefits
Maternity Pay
Your maternity pay is calculated on your “average weekly earnings” during
weeks 17-25 of your pregnancy. For the purpose of calculating your
maternity pay your lower salary (after all salary sacrifice deductions) will be
used. This will have a direct impact on your level of maternity pay and
you need to carefully consider the possible implications before taking part in
the Cycle to Work Scheme.
National Minimum Wage
This Salary Sacrifice scheme must not reduce your pay to below the National
Minimum Wage, currently £6.19 per hour (£4.98 per hour age 18-20). You will
not be able to take part in the Salary Sacrifice scheme if this is the case. You
will need to be careful that this isn’t the case if you already have a Salary
Sacrifice in place. If you are impacted by National Minimum Wage please
contact Bikes for the NHS for an alternative option.
Is it in everyone’s interest to enter
into a Salary Sacrifice Scheme?
No, your personal circumstances may mean that it is not beneficial for you.
This is more likely to be the case for those on low income affected by Working
Tax Credit which may cancel out the savings on Income Tax and National
Insurance contributions. Employees in receipt of Working Tax Credit should
seek advice from the Inland Revenue on 0845 300 3900 or
www.hmrc.gov.uk/childcare.

Why is my employer running the scheme?
Your employer is running the scheme as part of the Government’s
Green Travel Plan, to encourage employees to ride a bicycle to work
and aid in reducing congestion and environmental pollution.
How does the scheme work?
The scheme allows your employer to loan cycling and safety equipment to their employees in return for a reduction in salary (salary
sacrifice) over a twelve month period (or the remaining term of your
contract if fixed term). The bicycle must be used mainly (over 50% of its
usage) for qualifying journeys. Qualifying journeys include commuting
between the employee’s home and workplace, or part of those
journeys, or for journeys between one workplace and another. There is
no requirement for employees to keep a record of work journeys, but if
they do not use the bicycle mainly for qualifying journeys, they may
lose the benefit of the tax exemption. The bicycle can also be used for
recreational purposes and by any member of the family.
Will the scheme be offered again in the future?
Your employer will gauge response to the current scheme before
deciding whether to run the scheme again in the future. It is recommended that employees order a bicycle now if considering taking
advantage of a ‘tax efficient’ bicycle, as it cannot be guaranteed that
the scheme will be offered again. It is also a possibility that the
Government will revoke this initiative in a future Budget without prior
notice, hence the scheme may only be available for a limited period.
Am I eligible to order a bicycle?
The salary sacrifice scheme is open to all staff on the PAYE payroll
of a participating employer (excluding zero hours Bank Staff )
where salary does not go below the National Minimum Wage
after the salary sacrifice has been applied. If you are impacted by
National Minimum Wage please contact Bikes for the NHS for an
alternative option.

Can I order more than one bicycle
through the scheme?
Employees can order up to two bicycles through the scheme where for example
the employee needs a bicycle at either end of a train journey between their home
and place of work. The combined total value cannot exceed £1000 over 12 months.
A separate Hire Agreement form must be fully completed for each bicycle ordered.
How does salary sacrifice work?
A salary sacrifice is where an employee gives up the right to receive part of their
cash pay due under their contract of employment. In the case of the Cycle to Work
Scheme the employee agrees to accept a lower amount of salary in return for the
employer to provide the loan of a bicycle or cyclists safety equipment. The monthly
Gross Salary reductions and Disposal Fee deduction at the end of the scheme will
be made direct from salary through Payroll, starting in the month detailed on the
back page of the brochure.
Can I top up and pay the balance personally if I want to
loan a bicycle over £1000?
No. The maximum bicycle value is £1000 and no top ups are permitted. As your
employer is working under a Group Consumer Credit Licence, goods acquired
cannot exceed £1000 due to dual ownership issues and possible benefit in kind
implications.
Will I own the bicycle?
No. The Cycle to Work Scheme is a loan rather than a purchase scheme. If you have
any queries about what happens after the loan period has finished please contact
Bikes for the NHS.
How much will I actually pay for a bicycle through the
scheme, after the tax savings?
Payslips will show the Gross Salary reduction for the bicycle package, but this
figure is then subject to savings on Income Tax and National Insurance contributions. Actual savings depend on your individual tax situation.
What is the Disposal Fee for?
The Disposal Fee is the charge for the collection and disposal of the bicycle at the
end of the loan period. Bicycles may be sold for a Fair Market Value at the end of
the loan period under a separate agreement, although this cannot be guaranteed.
To date where bikes have been sold under a separate agreement after the loan
period has finished no bike has been valued at more than the Disposal Fee. If you

How do I order a bicycle?
To order a bicycle through the scheme, you need to follow the ‘How to Order’
flowchart, read the terms and conditions and then print off, fully complete and
return both the Hire Agreement form and Order Details form. The Hire Agreement
form must be countersigned by a witness, who must also be an employee of your
organisation (line manager).
Can I order a different bicycle to those shown in
the brochure?
Over 160 makes and model of bicycle can be supplied by mail order or through local
bicycle shops. You can ask Bikes for the NHS to quote you a price on any bicycle or
simply visit your participating local bicycle shop. Note that if a local bike shop you
would like to use is not listed on the participating bike shop list, you can nominate
for it to be included by contacting Bikes for the NHS.
If I order a mail order bicycle can I exchange it if I order the
wrong frame size, don’t like the bicycle I ordered or change
my mind once I have received it?
You can exchange the bicycle ordered through mail order after receiving it, but only
if the bicycle is in brand new condition, has not been used and is repackaged
securely in the original packaging. You will be charged an additional £50 fee to
cover collection of the first choice bicycle and delivery of a new bicycle. To avoid this
fee, it is important that you order the correct frame size and ask for advice when
contacted to arrange delivery if there are any concerns.
When will I receive my bicycle?
You will be contacted to arrange delivery (if ordered by mail order) or collection (if
ordered through a local bicycle shop) after your employer has authorised orders.
This is usually within 4 weeks of submitting an order.
When do the payroll deductions start?
If your employer is offering an order window, payroll deductions will commence
from the month detailed on the back page of the brochure. If you employer is
offering a rolling order window, where you can order at any time, payroll deductions
will start the month following submission of your order forms. Note that deductions
will start as stated, regardless of whether you have received your bike or not.
Who needs to countersign/witness the
Hire Agreement?
A representative of your organisation must countersign/witness the Hire
Agreement. They must be a fellow employee (line manager).
Do I have to give all details requested on the Hire
Agreement/Order Details forms?
It is important that you complete both the Hire Agreement form and Order
Details form in full, providing all personal information requested, to aid in
identification through the authorisation process.
What figures do I need to fill in on the
Hire Agreement form?
The Hire Agreement form must be completed in full. You must include the
Gross Salary Reduction figure (NOT the actual reduction from Take Home
Pay figure) and the Disposal Fee + VAT figure.
Do I need to provide my home address or
the delivery address?
The Hire Agreement form must show the home address in the Hirer
(employee) box. The Order Details form must show the delivery address of
where employees would like the bicycle delivered to if ordered from the
brochure. Your employer has requested that bicycles are not delivered to
work addresses.

By signing the Hire Agreement you agree that:
(a) You have read and understood the terms of the Agreement including those set out in the Terms and Conditions attached, including
the impact on maternity pay during the duration of the scheme and you understand that if you become pregnant whilst participating in
the salary sacrifice agreement this will affect your maternity pay.
(b) You agree to a revised gross salary plus your chosen product.
(c) Your order will be subject to acceptance by your employer and your employer has the sole decision whether or not to accept and
proceed with your order.
(d) If your form is not received by the closing date, your order will not be processed.
(e) The counter signature is required solely to confirm that the signatory is an employee and is required to comply with current “Hire
Agreement” legislation.
IMPORTANT - CONTRACT OF EMPLOYMENT CHANGES
Under the Hire Agreement, you and your employer agree to a variation in your contract of employment under which your remuneration
will be varied as follows:
(a) as an additional benefit, the bicycle chosen by you as selected in the “Description of Goods” section, will be hired for use by you;
and
(b) your gross salary will, unless otherwise stated under terms of the Agreement, be adjusted by the amount stated in the Agreement so
that you are only entitled to be paid the salary as so adjusted.
WHAT HAPPENS IF YOU MISS A DEDUCTION
Your salary will be reduced for the duration of this Hire Agreement, which means you will not miss any deductions. The Terms and
Conditions that accompany the Agreement detail deduction arrangements that cover you taking an agreed leave due to situations such
as Maternity, Paternity or Sickness leave.
WITHDRAWING FROM THE TAX FREE CYCLING SCHEME
On signing the Hire Agreement, your employer has agreed that you will have a 7 day period in which you can withdraw from the
scheme, whilst your order is processed.
TERMS AND CONDITIONS
The Hire Agreement is covered by the attached Terms and Conditions that your employer has applied to your Terms of Employment
on participating in the Tax Free Cycling Scheme.
YOUR EMPLOYER HAS REQUESTED THAT BICYCLES ARE NOT DELIVERED TO WORK ADDRESSES.

The term ‘Organisation’ refers to your employer.
Other Unpaid Leave
If for any reason you take unpaid leave during the term of this Agreement, other than leave
relating to “life events”, then the monthly reductions will be suspended for the period of
such unpaid leave. On your return, the Organisation will recommence the monthly
reductions from where they stopped when you left on leave and extend the period of loan
accordingly.
If a change in your circumstances prevents you from continuing with the salary sacrifice
under this agreement, the Organisation will discuss with you ways in which the financial
commitment can continue to be met.
Maternity Pay Calculation
Your maternity pay is calculated on your “average weekly earnings” during weeks 17-25 of
your pregnancy. For the purpose of calculating your maternity/ pay your lower salary (after
all salary sacrifice deductions) will be used. This will have a direct impact on your level of
maternity pay.
In the event of a “Life Event” where your salary decreases or stops altogether, the
Organisation will review the agreement with you and decide with you the appropriate
course of action. This could be, but is not limited to:
a new agreement being put in place to defer the salary sacrifice;

giving you the option of opting out of the agreement and paying any outstanding
balance;

continuing to provide the benefit.
UNPAID LEAVE
Life Events
Events such as Maternity Leave and Sick Leave are defned as “Life Events” by the
Organisation and are evaluated on a case by case basis.
Employment Benefits
This agreement may affect those benefits linked to salary such as Maternity Pay, Sickness
Pay and NHS Pension Scheme.
Salary Sacrifice
By signing this agreement you should be aware that you waive your rights to automatically
return to your original salary at the end of the Hire Term. However, the Organisation can
confirm that your salary, at the end of the agreement period, will increase by the amount of
your former salary sacrifice.
ADJUSTMENT TO REMUNERATION PACKAGE
You agree that your gross salary will be reduced as stated in this Agreement for the
months stated in this Agreement, and that your remuneration will include the loan of the
Bicycle to you.
Costs of repossession
If you fail to return the Bicycle when obliged, we may repossess the Bicycle, and you shall
pay all costs and expenses reasonably and properly incurred by the Organisation or it’s
agents in searching for and repossessing the Bicycle.
Condition of return
When the Bicycle is returned, it should be in a condition consistent with your performance
of this Agreement, and in good working order, fair wear and tear excepted.
RETURN OF THE GOODS
Obligation to return goods
At the end of the 12 month Hire Agreement period your right to possession of the Bicycle
shall cease and you then pay the Disposal Fee for the Bicycle. At this point, you will return
the Bicycle . Bicycles may be sold for a fair market value under a separate agreement after
the loan scheme has finished, although this cannot be guaranteed.
END OF HIRE AGREEMENT
At the end of the 12 month agreement, you pay the “Disposal Fee” from your net pay.
OWNERSHIP
The Bicycle shall remain the property of the Organisation (or the Organisation’s leasing
company) until the end of the loan period.
LOAN
The Organisation is letting and you are taking loan of the Bicycle on the terms and
conditions set out in this Agreement including this Schedule. We reserve the right, but do
not bind ourselves, to unilaterally replace the Bicycle wholly or in part with equivalent
goods on due notice of variation. The loan period of the Bicycle will be 12 months (unless
extended as covered elsewhere in this Agreement)
ELIGIBILITY
a) You must be over 18 years of age or you will need to have an advocate sign the Hire
Agreement.
b) You must be a member of staff on PAYE payroll (except zero hours Bank Staff).
c) The Salary Sacrifice cannot take you below the National Minimum Wage.

WARRANTY
Manufacturer’s Warranty
The Bicycle will be supplied with the benefit of a manufacturers warranty as stated
in the description of the Bicycle. You should complete and return immediately any
registration card or other form, or carry out any other action required to validate
such warranty.
Inspection
You must inspect and test the Bicycle as soon as you receive it and notify us
promptly of any defects or other problems with the Bicycle. If you do not notify us
within 7 days of receiving the Bicycle, the Bicycle will be assumed to have been
delivered free from any defects or problems that you could have discovered by
reasonable inspection and operation of the Bicycle within such 7 day period.
Delays
The Organisation will not be liable for any delay in supplying the Bicycle to you or
for failing to supply the Bicycle at all, if that delay or failure is due to any event or
circumstance beyond our reasonable control. This includes where the
Organisation cannot get supplies of the Bicycle. If we are unable to obtain the
Bicycle, then we may cancel this Agreement without any liability to you.
Confirmation of Receipt
When the Bicycle is delivered to you or collected by you, you must sign the
necessary documentation to confirm receipt of the Bicycle. If there are any items
missing when the Bicycle is delivered according to the courier’s paperwork or if
there is any damage to the packaging, you must clearly write this on the courier’s
documentation.
Receipt of the Package
You must ensure that someone is available to receive the Bicycle on the agreed
delivery date. You may be required to arrange separately with the courier for redelivery.
Place of Delivery
The Bicycle will be delivered to the address as stated in this Agreement.
Delivery Time
You will be contacted to arrange delivery (if by mail order) or collection (if from
local b ke shop) of the Bicycle after orders have been authorised by the
Organisation. This is usually within four weeks of receipt of order.
Mail Order Bike Exchange
You can exchange the bicycle ordered through mail order after receiving it, but
only if the bicycle is in brand new condition, has not been used and is repackaged
securely in the original packaging. You will be charged an additional £50 fee to
cover collection of the first choice bicycle and delivery of a new bicycle. To avoid
this fee, it is important that you order the correct frame size and ask for advice
when contacted to arrange delivery if there are any concerns.
The maximum value of equipment (bicycle and/or accessories) which can be
acquired is £1000 and no top ups are permitted. Hence personal funds cannot be
used to top up for equipment exceeding £1000 in value.
If ordered through the mail order facility the Bicycle can be delivered to you.
Deliveries will take place at an unspecified time between 8am - 6pm on a day
arranged with you (Monday to Friday only). If ordered through a local bike shop
you will need to collect the Bicycle direct from the shop personally.
ORDERING AND DELIVERY
Ordering
The Organisation will have the sole decision whether or not to accept and
proceed with your order. All orders need to be completed and received by the
closing date or your order will not be processed.
New members on or after 1st April 2008
If you are in the last 10 years of employment before retirement and are a member
of the New NHS Pension Scheme 2008 section, taking part in the scheme may
have an effect on your NHS Pension benefits, depending if/when you plan to wind
down your commitment and earnings in your last years of employment. Upon
retirement, NHS Pension benefits are calculated on the average of the best three
consecutive year’s Pensionable Pay in the last ten years of working. As your
Pensionable Pay will decrease by the amount of the Salary Sacrifice, this may
have an effect on your benefits.
NHS Pension Scheme
Members prior to 1st April 2008
If you are in the last 3 years of employment before retirement and are a member
of the NHS Pension Scheme 1995 section, taking part in the scheme will have an
effect on your NHS Pension benefits and the Organisation would advise against
joining the scheme. Upon retirement, NHS Pension benefits are calculated on the
best of the last 3 years Pensionable Pay. As your Pensionable Pay will decrease
by the amount of the Salary Sacrifice, this will have an effect on your benefits if
you retire during or soon after the scheme.
If you wish to participate in the Cycle to Work Scheme, you must sign the Hire Agreement which varies the terms of your contract of employment with the
Organisation. This will be taken as confirmation that you have read and understood all of the terms of the Agreement and that you accept the changes to the
terms and conditions of your employment contract. The changes required by your participation in the Cycle to Work Scheme will mean that your level of annual
salary will be reduced by the sum shown on your Hire Agreement and that you will be loaned a bicycle and cyclists safety equipment.
Terms & Conditions 1
Warranty Claims
If the Bicycle or any part of it shall malfunction, manifest any defect, or be
damaged, and this is covered by a manufacturer warranty or guarantee provided
in respect of the Bicycle, or your statutory rights, then you shall promptly make a
claim under such warranty or guarantee and arrange for the Bicycle to be
corrected and repaired by contacting the supplier or manufacturer. For the
avoidance of doubt, you will not be responsible if such malfunction, defect or
damage that fails to be corrected under any warranty, guarantee or statutory right,
and the supplier or manufacturer fails to carry out such correction.
No Dealings
You shall not sell, assign, transfer, loan, or sub-let the Bicycle, or any interest in it.
You must keep the Bicycle free from all liens and distraints, and of any
attachments by a bailiff or other officer of the court.
Insurance
You are liable to maintain the deductions for your Bicycle if it is damaged beyond
repair, lost, stolen and such other risks usually covered by insurance if you haven’t
taken out adequate Insurance loss cover. You agree to notify your chosen insurer
that you are in possession of third party property, which is to be adequately
covered by your policy. The Organisation may at any time request proof that your
insurers have received and agreed to such notification.

You will remain responsible for the Bicycle at all times, regardless of if it is used by
another member of your family or located outside the postal address specified in
this Agreement. If you are moving home, then you should notify us of the new
postal address and we will permit you to move the Bicycle to that new address.
Inspection
You shall allow the Organisation to inspect the Bicycle at all times.
Notice of Loss and Damage
You shall immediately give notice in writing to the Organisation of the happening
of any theft or loss of, or damage to, the Bicycle.
Damage, Loss and Repair
You shall be responsible for all theft and loss of or damage to the Bicycle, from the
moment you receive the Bicycle, unless due to our negligence, or due to any
defect in the Bicycle.
Title to exchanges
All parts or components of the Bicycle installed or added by way of replacement
shall upon installation become the property of the Organisation and become
subject to this Agreement. All parts or components removed shall remain the
property of the Organisation.
Permitted alterations to the Bicycle
You can modify or alter the Bicycle, but you should note that this may invalidate or
affect any warranty or guarantee provided with the Bicycle, and you should check
the terms of such warranty or guarantee before doing so.
Permitted uses of the Bicycle
The Bicycle is supplied to encourage you to ride to work and aid in reducing
congestion and pollution. The bicycle must be used mainly (more than 50% of its
usage) for commuting to work, although there is no requirement for you to keep a
record of work journeys. However, if you do not use the bicycle for its intended
purpose you may lose the benefit of the tax exemption. The Bicycle can also be
used for recreational use as you wish and be used by other members of your
family.
Care of the Bicycle
You must take reasonable care of the Bicycle, use the Bicycle properly and safely.
You shall not allow the Bicycle to become in our opinion in jeopardy. You must use
the Bicycle in accordance with any operating instructions issued by the
manufacturer.
YOUR GENERAL OBLIGATIONS
Deduction of amounts due
Where any amounts become payable by you under this Agreement, you agree to
pay all such amounts punctually at the times stated in this Agreement. All
deductions shall be made without previous demand and to no one but us. You
agree that all amounts due under this Agreement will be paid by reduction in your
salary. You must pay VAT at the rate from time to time in force on each hire
deduction payable under this Agreement
Peripherals or Other Goods
The Organisation shall have no liability for any additional items or other goods
purchased separately by you from any supplier introduced by the
Organisation, and your agreement for them is solely with that supplier.
Statutory Rights
Your statutory rights are not affected by this agreement.

This payment will be deducted from your net, not gross, final salary because when
you leave this scheme, you are no longer able to receive the tax benefits of this
Agreement.
YOUR LIABILITY ON TERMINATION
If the Agreement is terminated, you shall become liable to pay the Organisation the
following amount by such time as the Organisation may specify by due notice to
you:The amount stated as the total hire deductions of the Package under this
Agreement LESS the amount of all salary reductions applied up to the date of
termination under this Agreement PLUS an administrative charge equal to the
disposal fee. You will also be liable for any damages for breach of this Agreement.
TERMINATION OF EMPLOYMENT
If your employment terminates with the Organisation for any reason whatsoever,
then in such event you shall be obliged to pay to us the amount set out in the section
titled “Your Liability on Termination”. We shall deduct this amount from your net final
salary, and if this is insufficient, you must pay the shortfall by cheque within 7 days
of leaving the Organisation
Law
English law governs this Agreement and the parties submit to the exclusive
jurisdiction of the English Courts.
Third Party Rights
A person who is not a party to this Agreement has no right under the Contracts
(Right of Third Parties) Act 1999 to enforce any term of this Agreement.
Waiver
Any waiver or indulgence by the Organisation or failure of the Organisation to
enforce its rights (whether by oversight or otherwise) shall not affect our right to rely
subsequently on the terms of this Agreement.
Assignment
You shall not assign or transfer this Agreement or the benefit of this Agreement
without our prior written consent.
GENERAL
No Security
We shall not ask for any security from you personally to cover this Agreement.
Termination and repayment
If:
(a) you fail to take such action specified in our default notice, by the date stated; or
(b) your breach is not capable of remedy, and the Organisation have not asked for
monetary compensation instead, and a period of 7 days has passed after serving
the notice on you, you will be considered to be in repudiatory breach of this
Agreement, your right to possession of the Package shall cease, and the
Organisation shall be entitled to terminate this Agreement.
Default remedied by you
If you take such action or pay such sum as is specified in our default notice, the
breach will be treated as not having occurred.
Contents of Default Notice
If your breach is capable of remedy, the Organisation will specify in any default
notice the action the Organisation requires you take to remedy the breach, and the
date by which you must take that action, which will be at least seven days after the
Organisation serves the default notice on you. If the breach is not capable of
remedy, the Organisation may at its option specify a reasonable sum to be paid by
you as compensation for the breach, and the date by which it is to be paid.
YOUR DEFAULT
Default Events
The Organisation may serve a notice of default on you if:
(a) you fail to pay any amounts owing under this Agreement within seven (7) days of
the due date;
(b) you have provided any information or facts to us which prove incomplete,
materially inaccurate or misleading; or
(c) you commit any other breach of your obligations under this Agreement (however
minor)
Total Loss
If the Bicycle is damaged beyond economic repair or is lost, stolen, seized or
confiscated or comprises a total loss or a constructive or agreed total loss, you shall
immediately inform the Organisation, and the Organisation shall be entitled to
terminate this Agreement, in which case you shall on demand pay to the
Organisation the amount specified in the section titled “Your Liability on
Termination”, by such time as the Organisation may specify in a notice to you. Such
amount may be deducted from your salary.
Damage and Defect Repairs
If the Bicycle becomes damaged or defective, and such damage or defect is not
covered by Warranty Claims, then, if such damage or defect is economically
repairable, you shall promptly arrange for the Bicycle to be collected and repaired at
your cost by contacting such persons as we may specify to you.
