4 | Special Terms and Conditions
4.1 Scope
a) The purpose and intent of this invitation for bid is to secure firm prices to provide new
paper of varying specifications defined herein. Paper will be shipped to the FCSD
Warehouse located at 939 Goza Road, Fayetteville, GA 30214.
b) Firm prices are to be construed as the manufacturing, packing, shipping, delivery,
handling, any additional items covered in this IFB, or any part of this IFB and whatever
other specific services are required to make these goods ready for FCSD’s use.
4.2 Bid Opening
a) Bids will be opened at the date and time provided in the timeline of events and are not
open to the public or bidders. All results will be publically posted on the FCSD website
once a recommendation to award is made.
b) Bids must clearly marked with the IFB number. Electronically delivered bids will utilize the
time stamp generated on the email. Bids must conform to the guidelines listed herein.
c) Bids received late will be marked “non-responsive” and will not be considered.
4.3 Questions
a) All questions concerning this solicitation must be submitted in writing by email to
Matthew Roberts at [email protected].
b) No questions other than written will be accepted and only answers provided via addenda
shall be binding.
4.4 Project Oversight
The successful respondent will report to the FCSD Warehouse Supervisor or his designee.
4.5 Delivery
a) Delivery is expected on or about the date requested ARO. Freight is FOB destination,
freight prepaid (allowed). Respondent must contact end user listed on purchase orders at
least 24 hours prior to delivery to confirm delivery date and time. FCSD standard hours of
operation are 7:30 AM to 3:30 PM (EST), Monday thru Friday, except for school holidays.
b) The delivery location does not have a loading dock; therefore, all deliveries must be made
as tailgate delivery as defined in the solicitation, resulting purchase order, or resulting
contract.
1) Tailgate delivery will be defined as follows: driver will be required to move the
pallets from the interior bed of the truck to the edge of the bed. The FCSD will use
a forklift to move the pallets from the edge of the truck bed to the warehouse.

c) Any pallets must be covered or shrink-wrapped to protect cartons from dirt and moisture
during shipment and pallet construction should allow for four-way entry of handling
equipment and surface/platform board approximately one inch apart minimizing carton
damage.
d) Failure to deliver in accordance with the response could result in the awarded respondent
being declared in default.
e) Back Orders: Back orders may be made only when specifically authorized to do so by the
response administrator. The necessity to back order may be deemed a breach of contract.
f) The awarded respondent shall be responsible for delivery of items in good condition at
point of destination. Respondent shall file with the carrier all claims for breakage,
imperfections and other losses, which will be deducted from invoices.
4.6 Quantities
The FCSD anticipates ordering approximately six (6) truckloads of copy paper, and varying smaller
quantities of specialty paper as defined herein during the next six months. All loads will be
ordered on an as-needed basis.
5 | Response Format Requirements
5.1 E-mail Responses
Responses should be emailed to [email protected] and must be received
before the response due date and time specified in the solicitation.
Emailed responses must be in Adobe PDF format and complete. No other formats will be
accepted. Incomplete responses will not be accepted. All response documents should be
bound in one PDF.
5.2 Attachments
a) Any specification listed as “Must Include Attachment” must include an attachment
conforming to stated standards.
b) All attachments must be clearly marked and labeled using the following format:
Attachment #, Solicitation Reference, Respondent Name, Solicitation Title and Number.
5.3 Organization
a) The solicitation document has been carefully organized. All sections,
specifications/requirements, and appendices are numbered. Responses should be
organized in the same manner referencing the solicitation document when necessary.
b) All pages should be numbered. Numbering should be placed on the footer of each page.
Numbering should be consistent through the entire document.
c) Illegible or unreadable responses will be marked non-responsive.

6 | Compliance Guidelines and Definitions
6.1 Omissions
Any omissions of detail specifications/requirements stated herein that would render the
material/service from use as specified will not relieve the respondent from responsibility.
6.2 Terms Used
a) Whenever the terms shall, must or will are used in the solicitation, the
specification/requirement being referred to will be mandatory. Failure to meet any
mandatory requirement can cause rejection of the response.
b) Whenever the terms can, may, should or might are used in the solicitation, the
specification/requirement being referred to is desirable. Failure to provide any items so
termed may not be cause for rejection; however, may cause a reduction in evaluation
scoring if applicable.
6.3 Compliance Requirements
a) Comply – respondent’s solution complies explicitly with the specifications/requirements
as written. Respondent signature or initials where indicated on applicable forms indicates
so.
b) Comply with exception – respondent’s solution complies with some or part of the
specifications/requirements.
1) Respondent must mark those requirements listed as exceptions by indicating such
on any accompanying forms or documents.
2) Whenever the respondent can comply with exception, respondent must attach a
description of how/why an exception is proposed. Description must be labeled as
an attachment under guidelines herein.
3) Failure to notate exception, or include an explanation as defined in point two (2)
above, does not relieve the respondent of compliance in full if awarded.
c) Cannot comply – respondent’s solution does not comply with specification/requirement.
Whenever the respondent cannot comply, the respondent has the option to include an
attachment.
1) Respondent should leave blank any signature or initial area on accompanying
forms and documentation if responding as so. Failure to do so indicates the
respondent can comply in full as notated.
2) The attachment shall only be used as an explanation. It may not be used to provide
an alternate solution nor will it affect scoring. Failure to include any attachment
when respondent complies with exception will lead to the
specification/requirement being scored a non-response.

d) Any specification/requirement listed as “Must Include Attachment” must include an
attachment conforming to guidelines above outlining how solution meets referenced
specification/requirement.
6.4 Multiple Responses
a) Respondents may submit more than one response when offering multiple alternatives.
b) Responses must be separate and each conforms to all terms and conditions within this
solicitation.
c) Responses must be labeled separately so as to easily identify differing responses from the
same respondent.
7 | Evaluation
Responses will be evaluated based on best solution for the FCSD as defined by the listed
specifications or requirements, respondent business capability, and value. Respondent may be
asked to interview, provide samples, or provide a product demonstration at the request of the
FCSD and at no cost.
7.1 Scoring
Specifications and/or requirements listed in solicitation appendices and as presented in general
and special terms and conditions are subject to evaluation scoring.
8 | Insurance, Licenses, and Permits
8.1 Certificate of Insurance
a) Where respondents are required to enter or go onto FCSD property to deliver materials
or perform work or services because of the solicitation, the respondent will assume the
full duty obligation and expense of obtaining all necessary licenses, permits and
insurance.
b) If awarded, respondent must provide a current certificate of insurance (COI) before any
work or service is performed on FCSD property.
8.2 Liability
a) Respondent shall be liable for any damage or loss to the FCSD incurred in completion of
respondent’s contract or obligations as a result of their response.
b) Notwithstanding the foregoing, the liability herein shall be limited to $10,000,000 and the
respondent recognizes that agreement will receive consideration for indemnification
provided herein.

8.3 Indemnification
a) Respondent hereby waives, releases, relinquishes, discharges and agrees to indemnify,
protect and save harmless members of the Fayette County School District, and its officers,
agents and employees (hereinafter collectively referred to as “Indemnities”), of and from
any and all claims, demands, liabilities, loss, costs or expenses for any loss or damage
(including but not limited to reasonable attorneys’ fees) growing out of, or otherwise
occurring in connection with this response, due to any act or omission on the part of
respondent, its agents, employees, subcontractors, or others working at the direction of
respondent or on its behalf; or due to any breach of this response by respondent; or due
to the application or violation of any pertinent Federal, State or local law, rule or
regulation by respondent, its agents, employees, subcontractors, or others working at the
direction of respondent or on its behalf.
b) This indemnification shall apply notwithstanding the fact that the indemnities may be
partially responsible for the situation-giving rise to the claim.
c) This indemnification shall apply notwithstanding the fact that a claim results in a
monetary obligation that exceeds any contractual commitment.
d) This indemnification shall not apply if the situation-giving rise to the claim results solely
from the negligence, or willful acts of indemnities.
e) This indemnification extends to the successors and replaced assignees of the respondent,
and this indemnification and release survives the duration of this response, the
termination of this response and the dissolution or, to the extent allowed by law, the
bankruptcy of the respondent.
8.4 General Insurance Requirements
a) The following general insurance requirements apply to any and all of this response,
respondents or subcontractors:
1) Duration of Insurance: Any and all insurance required by the response shall be
maintained during the entire length of the response, including any extensions and
until all service and work has been completed to the satisfaction of the FCSD.
2) No respondent or subcontractor shall commence delivery, installation, or service of
any kind under the response until all insurance requirements contained within the
solicitation have been complied with and evidence supplied to the FCSD.
3) Coverage: The FCSD shall be covered as an additional insured under any and all
insurance required by the response. Confirmation of this shall appear on all
certificates of insurance and on any and all applicable policies.
4) The FCSD shall be given no less than 30 days’ notice of any insurance cancellation,
changes, or renewals.

8.5 Failure to Comply
In the event the respondent neglects, refuses, or fails to provide the insurance as required by the
response or if such insurance is canceled for any reason, the FCSD shall have the right, but not
the duty, to procure the same, and the cost therefore shall be deducted from money then due
or thereafter to become due to the vendor or the FCSD shall have the right to cancel the
response.
8.6 Limits for Worker’s Compensation
a) The respondent shall procure and maintain worker’s compensation and employee’s
liability insurance to cover each and every employee who is or may be engaged in work
under the response in the limits listed below:
1) Bodily injury by accident - $100,000 each accident
2) Bodily injury by disease - $100,000 each employee with a $500,000 policy limit
8.7 Limits for Commercial General Liability Insurance
a) The respondent shall procure and maintain comprehensive insurance in an amount not
less than $1,000,000 for bodily injury and property damage combined single limit. The
following specific extensions of coverage shall be provided and indicated on the
certificate of insurance:
1) Commercial general liability
2) Premises operations
3) Completed operations
4) Contractual liability insurance (to cover breach of response)
5) Personal injury
8.8 Broad Form Property Damage Coverage
This coverage shall cover the use of all equipment, hoists and vehicles on the site/sites not
covered by automobile liability under the contract. Policy coverage must be on an occurrence
basis.
8.9 Automobile Liability Coverage
Auto liability must include any auto, hired autos and non-owned autos with a combined single
limit of $1,000,000.00 per occurrence. Aggregate must be a minimum of $1,000,000.00.
9 | Hold Harmless Agreement
The respondent shall hold harmless the FCSD from any and all claims, suits, actions, damages,
liability and expenses in connection with loss of life, bodily or personal injury or property damage,
including loss of use thereof directly or indirectly caused by, resulting from, arising out of or

occurring in connection with the performance of this response. The respondent’s obligation shall
not be limited by or in any way to, any insurance coverage or by any provision in or exclusion or
omission from any policy of insurance.
10 | Compliance with Laws
Respondent shall, at its own expense, obtain all necessary permits, give all notices, pay all license
fees and taxes, comply with all applicable local, State and Federal laws, ordinances, rules and
regulations; as well as local building codes, ordinances, and BOE policies.
11 | Subcontracting
a) Except as may be specifically permitted by the solicitation, respondent shall not delegate,
subcontract, assign or otherwise permit anyone other than respondent personnel to
perform any of the work and/or provide any of the services required of respondent under
this response, or assign any of its rights or obligations herein, without the prior written
consent of FCSD, which consent may be withheld by FCSD in its sole discretion.
b) Respondent must notify FCSD of all subcontractors used to fulfill this response, including
those contracted by their agents (such as delivery services).
12 | Warranty and Support Requirements
12.1 Acceptance
The FCSD asserts that warranty coverage begins at the date of product acceptance by the end
user, not delivery.
12.2 Contractual Rights
The FCSD is not waiving, amending, or abridging any warranty rights/contractual rights provided
to the FCSD under state or federal law.
12.3 Terms and Conditions
The FCSD is not bound by any terms or conditions in any respondent’s contract, packaging,
invoices, service catalogue, brochure, technical data sheet or other document which attempts to
impose any conditions that waive, amend, abridge, abrogate, are in conflict with or are in
addition to the FCSD’s contractual rights as provided under state or federal law.

12.4 Additional Assertions
a) In addition to the foregoing warranty and contractual rights of the FCSD, the respondent
further warrants and agrees as follows:
1) Any good(s) purchased under this solicitation will be defect free in materials and
workmanship and be of the quality, size and dimensions ordered.
2) The packaging, packing, marking, and shipping of such goods will conform to the
requirements of this solicitation and as set forth in the response.
3) This express warranty shall not be waived by reason of acceptance of the goods
or payment thereof by the FCSD.
b) Upon request by the FCSD, the respondent further agrees to immediately correct, without
charge to the FCSD, any defects in the goods which develop during the life of the warranty
after acceptance and payment by FCSD.
1) Respondent further agrees to indemnify the FCSD against damages of any sort
resulting from faulty workmanship or materials by respondent while performing
any warranty or guaranty work hereunder (or by any third party performing such
work for and on behalf of respondent).
2) Any goods or parts thereof, corrected or furnished in replacement under this
clause, shall also be subject to the terms of this clause to the same extent as goods
initially delivered.
3) Respondent is fully aware of the FCSD’s requirements and intended uses of the
product(s) and warrants that the product(s) shall be fit for such intended uses.
12.5 Notice
The FCSD shall give written notice to the respondent of any breach of warranties in this section
and such notice shall contain information concerning the deficiencies found, the location of the
nonconforming good(s), and the quantity involved, including the FCSD’s notification of the
remedy for the nonconforming or defective good(s).
13 | Cost of Preparing Responses
The cost for developing the response is the sole responsibility of the respondent. The FCSD will
not provide reimbursement for such costs.
14 | Incorporated Contents
All documents submitted in response to this solicitation, including any attachments or
appendices, is incorporated into any resulting contract. If any language of the response conflicts
with the language of the solicitation, the language of the solicitation shall govern.

15 | Award
15.1 Award Guidelines
Award shall be made to the respondent(s) whose response is deemed the best solution for the
school system, taking into account all of the evaluation factors, requirements, and specifications
set forth in this solicitation.
15.2 Board Recommendation (When Applicable)
a) It is the current procedure of the FCSD Purchasing Department to submit
recommendations to award to the members of the Board of Education during its monthly
work session on the first Monday of each month. The board may then move the item to
its regular meeting on the third Monday of the month for a vote.
1) A recommendation to award does not guarantee approval.
2) The board reserves the right to alter, cancel, or reschedule any meeting as well as
table, reject, or investigate any recommendation to award.
15.3 Award Posting
Award information will be posted on the school system's website and are subject to review and
approval by the FCSD.

Term: The response term will begin from the time of award through December 31,
2017 with no option to renew.
OCGA 20-20-506 Compliance: The response shall terminate absolutely and without
further obligation on the part of the Fayette County School District on December
31st and at the close of each succeeding calendar year unless renewed in accordance
with paragraph two, according to the Official Code of Georgia Section 20-2-506.
OCGA 20-20-506 Compliance: The response shall automatically be renewed unless
the FCSD gives written notice to the respondent of its decision not to renew the
response at least thirty (30) days prior to the end of each calendar year.
OCGA 20-20-506 Compliance: The obligation of the FCSD is for the fiscal year of
execution and each succeeding fiscal year July 1st to June 30th unless otherwise
stated and defined in the solicitation document.
OCGA 20-20-506 Compliance: The extent that the provisions in this solicitation are
inconsistent with the terms of any resulting contract, it is the intention of the parties
that this solicitation controls.
OCGA 13-10-91 Compliance: All respondents are required to complete an affidavit.

the building or equipment caused by work under this contract shall be repaired or
replaced by new materials to original conditions as approved by FCSD.
Fayette County School District reserves the right to inspect any and all items upon
their delivery as to their compliance with specifications outlined in this bid package.
Any item not meeting with FCSD’s approval shall be replaced with the specified
item(s) at no additional cost to the FCSD.
