A training programme presented by the IBA Latin American Regional Forum on its 20th
anniversary, supported by Universidad de Montevideo (UM)
Experienced legal practitioners from different Latin American countries will address issues relating to commercial contracts,
such as the importance of including ‘standard’ clauses and the consequences of badly-worded contracts.
The training session will also include a strategy for young lawyers on how to benefit from membership of an international
legal organisation such as the IBA.
Topics will include:
• Standard contractual clauses
• Contractual disputes
• Strategy for young lawyers at an international organisation
Who should attend?
Law students and lawyers aged up to 35, or any legal professional starting an international practice, will have the opportunity
to hear legal practitioners’ experiences and insights, from a practical and participative point of view.
All working sessions and training materials will be in Spanish.

Strategies for young lawyers aiming to reap the benefits of
membership of an international organisation
The opening speech aims to share insights on how to participate in the IBA
successfully and how to develop the networking opportunities available.
1430 – 1600 Standard contractual clauses: why should we include
them?
Certain standard clauses are frequently included in commercial contracts.
But this must not just be a case of ‘copy/ paste’. The reasons for including
these typical standard clauses should be carefully considered when drafting
and negotiating an agreement. Understanding why these clauses exist is a
good starting point.
This panel will address the reasons for and the consequences of using
clauses for the contract’s parties.

When things do go wrong, after the contract is duly executed, the wording
of contractual clauses is essential to solving any eventual disputes. This
panel will focus on practical cases, analysing disputes in which the standard
contractual clauses addressed by the first panel should be interpreted and
applied.

No deductions or withholdings
All fees payable to us by you in accordance with the terms contained in
this ‘Information’ section shall be paid free and clear of all deductions or
withholdings whatsoever. If any deductions or withholdings are required
by law to be made from any fees payable to us by you under the terms
contained in this ‘Information’ section you shall pay such sum as will, after
the deduction or withholding has been made, leave us with the same
amount as we would have been entitled to receive in the absence of any
such requirement to make a deduction or withholding.
If we obtain the benefit of any tax credit or other relief by reference to any
such deductions or withholdings, then we shall repay to you such amount
as, after such repayment has been made, will leave us in no worse position
than we would have been in had no such deductions or withholdings been
required.
Training programme sell-outs
The IBA places its conference in venues of a suitable size for the event;
however there are times when our training programmes may sell out.
Should this happen, prospective delegates will be informed and a waiting
list will operate. The waiting list will function on a ‘first come, first served’
basis, subject to receiving registered delegate cancellations. The IBA will not
be liable for any travel or accommodation expenses incurred by an individual
who travels to the training programme without a confirmed place at the
event.
Cancellation of registration
If cancellation is received in writing at the IBA office by 31 January, fees
will be refunded less a 25 per cent administration charge. We regret that no
refunds can be made after this date. Registrations received after 31 January
will not be eligible for any refund of registration fees.
Provided you have cancelled your registration to attend an IBA conference
in accordance with the terms of the ‘cancellation of registration’ clause
included in the ‘Information’ section of the relevant conference programme,
you must then confirm to us in writing at the IBA office as soon as possible
but in no event later than one year (12 calendar months) from the date
of any such conference all necessary details to enable any reimbursement
owed to you to be paid. We regret that no refunds will be made after the
date that is one year (12 calendar months) after the date of the relevant
conference.
Important
Training programme numbers are limited. To ensure lively, interactive
sessions, if the programme is oversubscribed, the organisers will select
participants to ensure diversity.
