2. Appointment and Services

(a) NFS appoints the Representative as its nonexclusive representative to offer the Services to
customers in the Territory. In accordance with the
terms of this Agreement, the Representative shall
provide Services only from those locations that are
specified in Schedule 2 or as are approved in
writing in advance by NFS from time to time.

(b) The Representative shall at all times provide
the Services at the locations and at the times set
out in Schedule 2 (or as otherwise may be
approved in advance by NFS in writing) and will
notify NFS immediately of the fact and reason of
any failure to do so.
3. Commencement and Term

(o come eventualmente concordato in anticipo con
NFS ed approvato per iscritto da quest’ultima) e
comunicherà immediatamente a NFS i fatti ed i
motivi che eventualmente abbiano impedito la
prestazione dei servizi.
3.Inizio e Durata
This Agreement will commence on the
Commencement Date and, unless terminated at
any time in accordance with the provisions of
Clause 17 below, will continue for the Initial
Term and thereafter for successive terms of one
year until terminated in writing by either party
providing at least 30 days’ notice to the other
party of its intent to terminate this Agreement at
the end of the Initial Term or the then-current
term.

salvo recesso anticipato, possibile in qualsiasi
momento, in conformità con le disposizioni della

presente Contratto al termine del periodo iniziale o

4. Money Transfer Procedures

(a) The Representative will offer the Services only
in accordance with NFS’s Procedures. The
Procedures may be amended from time to time by
NFS throughout the term of this Agreement upon
reasonable prior written notice being provided to
the Representative, unless the amendment is due
to legal or regulatory reasons and it is not possible
to provide reasonable notice.

(b) In accordance with the Procedures, the
Representative shall use the System of NFS, to
which the later has given access to the

customers complete official NFS forms when they

regulatory requirements. NFS may amend, modify
or change at any time with no prior written notice

(c) The Representative will not initiate a Receive
Money transaction in response to a request from
NFS to disburse funds, unless Receiving Customer
is positively and clearly identified following the
Procedures and the anti-money laundering
procedures set out in Schedule 3 as being the
person specifically present at the relevant location.

claims, losses, damages and expenses which may

result of the malfunctioning of the System or
negligence or willful default of NFS.
5. Commission and Settlement

malfunzionamento del sistema informatico, per
negligenza o un errore volontario di NFS.

over the setting and entering of fees and margins
into the System.

the Agreement and shall not withhold an amount
equivalent to the taxable amount when effecting
settlement in accordance with sub-clauses (d),(e)

(d) Calculations of the Settlement Payment will be
made by NFS in accordance with the Procedures
and NFS’s accounting procedures with all foreign
exchange calculations utilising conversion rates
mandated by NFS as part of the Procedures. If the
calculation shows that a Settlement Payment is
due to NFS then (unless NFS agrees to collect such
sum in cash) the Representative shall deposit such
sum at a bank to be transferred to NFS’s Account.
If a Settlement Payment is due to the
Representative then NFS shall send a cheque or
wire bank transfer to the Representative for that
sum. The parties agree that they will each be
responsible for their respective bank charges.
(d) Il calcolo e la liquidazione dei pagamenti sarà
effettuata da NFS in conformità con le proprie
procedure e modalità contabili per tutti i calcoli di
conversione valutaria si utilizzeranno i tassi di cambio
previsti da NFS secondo le procedure. Se il calcolo
dovesse presentare un saldo a favore di NFS quindi
(tranne il caso in cui NFS abbia autorizzatola
compensazione per cassa) il mandatario dovrà
depositare tale somma in una banca per poi
trasferirla al conto di NFS. Se invece il calcolo
evidenzia un saldo a favore del Mandatario sarà NFS
ad inviare un assegno o un bonifico bancario al
Mandatario per tale somma. Le parti convengono il
reciproco accollo delle spese bancarie.
(e) In the event that the Representative fails to
make a Settlement Payment in accordance with
the "Settlement Payment Frequency" in Schedule
2 in a timely manner, then NFS at its option may
exercise any legal or equitable remedies available
to it (for which it will be entitled to reimbursement
from the Representative for any associated costs
or legal fees) including termination of this
Agreement in accordance with Clause 17(a).

(f) At all times during the term of this Agreement,
each Settlement Payment shall be made only in
the Settlement Currency.
6. Compliance with Local Laws, Money
Laundering and Data Protection Regulations

protection, specifically (in the case of EEA
countries) national laws giving effect to EC
Directive 95/46/EC (as may be amended and
superseded from time to time);

confirm if Representative is complying with all
compliance requirements set by NFS. NFS shall not
be obligated to give any prior notice to
Representative, regarding the herein mentioned
visits.
7. Non-Exclusivity

(a) The Representative will offer the Services on a
non exclusive basis. Nothing contained in this
Agreement limits or will limit NFS's right to appoint
other Representatives to provide the Services at
any location whatsoever.

Representative warrants that he is not acting in

owed to any third party.
8. System Requirements

(a) NFS will advise the Representative of the
Representative’s system requirements (including
all equipment, hardware, software, internet
service
provider
and
communications
requirements) necessary for the Representative to
provide the Services in accordance with this
Agreement. Upon reasonable notice (which shall
be not less than 14 days unless in the case of
emergency) to the Representative, NFS may in its
absolute
discretion
amend
the
system
requirements from time to time. It is the
responsibility of the Representative to provide,
install, pay for, maintain and manage all system
requirements.

che si rendessero necessari, ed i relativi costi.
(b) NFS hereby grants the Representative a
revocable, non-transferable, limited license to use
the System for the purposes of providing the
Services.
9. System Responsibilities

revoked; and (ii) the installation and maintenance
of up-to-date virus protection software;

(e) without derogation from Clause 15 below, the
Representative is liable to NFS for any and all
losses, claims, liabilities and costs howsoever and
wherever arising from unauthorised access and/or
damage caused by viruses (insofar as such damage
is as a result of the Representative’s failure to
install and maintain up-to-date virus protection
software) to the System from the Representative’s
system.

Representative’s bank account or pay cheques into
the NFS designated bank account or send cash by
post. The Representative accepts that he will be
responsible for the loss of any cash and all costs
incurred by NFS as a result of a failure to comply
with the points of this clause;
g) Dovrà utilizzare una cassa o un contenitore
adeguato separato per custodire il denaro contante
fino al momento di versare su uno qualsiasi dei conti
correnti bancari di NFS, indicati nell’allegato 2, entro
il giorno lavorativo successivo, NFS potrà aprire nuovi
conti correnti , modificare o cancellare quelli
esistenti, in questo caso NFS notificherà al
Mandatario il cambiamento o modifica,e quindi il
Mandatario sarà obbligato ad eseguire i pagamenti su
i nuovi o variati conti correnti di NFS,. In nessun caso
il Mandatario deve versare l’incasso in contanti della
propria agenzia su un proprio conto bancario o
versare assegni sul conto bancario indicato NFS o
inviare denaro contanti per posta. Il Mandatario
accetta sin da ora che egli sarà responsabile della
eventuale perdita del denaro e di tutti i costi
sostenuti da NFS a causa del mancato rispetto di
quanto qui previsto;

Representative is complying with the terms of this
Agreement;

13. Trademarks and Intellectual Property

15. Liability, indemnity, set-off and insurance

indirect result of the act or omission or a breach of
this Agreement by the party (or its employees,
agents or contractors) save to the extent that the
breach was due to the act or omission or failure by
the other party to perform its obligations under
this Agreement or by reasons of force majeure (as
set out in clause 18).

other party under this Agreement shall be limited
to the amount of actual damages suffered by the
other party and shall not include any additional,
consequential, indirect, incidental, exemplary, or
punitive damages.

(c) Regardless of the adequacy of and without
derogation from NFS’s other remedies under this
agreement or otherwise in law, if an amount or
liability owed to NFS remains unpaid after the
expiry of 5 days, NFS shall be entitled to withhold
and/or set off any amount(s) due to the
Representative against the amount or liability
owed by the Representative to NFS .

(d) The Representative will take out and maintain
such Comprehensive General Liability Insurance,
Location and Fidelity and/or Blanket Crime
Insurance (covering employee dishonesty, forgery,
robbery, burglary, misplacement and other similar
occurrences) and Director and Officer Liability
Insurances as is commercially reasonable and with
such underwriters as are acceptable to NFS. The
Representative agrees to name NFS as an
additional named insured party under the
Representative’s insurance policy. Such insurance
policy will not be cancelled or amended unless NFS
is provided with thirty (30) days prior written
notice, and will be primary and without right of
contribution from any insurance maintained by
NFS. The Representative will provide copies of
such insurance policies or certificates evidencing
such coverage to NFS upon commencement of the
term of each such policy and upon the renewal of
each such policy. The obligations of the
Representative to maintain insurance will not
relieve the Representative of any of its other
obligations hereunder, including its indemnity
obligations.
16. Records and inspections

che NFS con trenta (30) giorni prima preavviso scritto,
e sarà a prima richiesta e senza diritto di
partecipazione alcuna assicurazione mantenuta da
NFS. Il Mandatario fornirà copia di tali polizze
assicurative o certificati comprovanti tale copertura a
NFS con l'inizio del termine di ciascuna polizza e sui
quali il rinnovo di ciascuna tale polizza. Gli obblighi
del Mandatario per mantenere l'assicurazione non

of the Services and as may be set out in the
Procedures or required by law and will use the
generally accepted accounting principles of the
Territory.

any dispute arising over the terms of this
Agreement, or for the purposes of complying with
any regulatory requests or for the purpose of
ensuring that the Representative is complying with
any of its obligations hereunder.

and maintain records set out in Clause 16(a) above
shall continue for a period of at least 10 years
from creation of the relevant record, and the right
of inspection by each Party will survive the
termination (for whatever reason) of this
Agreement.
17. Termination

documentazione richiesta per legge dal paese in cui il
mandatario opera; (iii) Non permetta o intralci
l’accesso alla propria agenzia al Compliance Officer o
all’Internal Audit

conducting a compliance audit and/or verification
of the operation of Representative or fails to
provide to NFS the requested information or

Counter-Terrorism Finance, information that is
also available in the internet website.

politiche o procedure inerenti AML, Compliance e
Trasparenza Bancaria.
NFS may in addition terminate this Agreement by
giving the Representative written notice if the
Representative fails to redeem a Customer
transaction in accordance with the Procedures or if
the Representative holds itself out as being
authorised to represent NFS or to use any of NFS’s
trademarks except for the purpose of providing
the Services in accordance with this Agreement.

The provisions of Clauses 13, 14, 15 and 16 shall
survive the unremedied breach or termination of
this Agreement
18. Force majeure
Le disposizioni delle Clausole 13, 14, 15 e 16
comporteranno la risoluzione immediata del presente
Contratto.
18. Forza maggiore
(a) Neither party shall be responsible for the delay
or failure to perform the Services or any part of
the Services due to circumstances beyond its
reasonable control, including but not limited to
force majeure, act of God or governmental act,
fire, explosion, accident, civil commotion or riot,
war (whether declared or not), terrorist attack,
industrial dispute (whether at the location or at
the premises of NFS or the Representative) or the
failure (directly or indirectly) of any machine, data
processing system or transmission link.

terroristico, vertenza industriale (riguardante
entrambe le parti) o il mal funzionamento, o
distruzione (diretta o indiretta) di qualsiasi macchina,
sistema di elaborazione o di link di trasmissione.
(b) The Representative will give notice as soon as
practicable to NFS upon becoming aware of an
event of force majeure and shall use all reasonable
endeavours to mitigate the effect of any event of
force majeure upon its provision of the Services
under this Agreement and to comply with its
obligations as fully and promptly as reasonably
possible.
19. Assignment and Change of Name
(b) Il Mandatario, qualora venga a conoscenza di un
evento di forza maggiore darà comunicazione il più
tempestivamente possibile a NFS e compirà ogni
ragionevole azione per limitarne gli effetti, sulla
erogazione dei Servizi di cui al presente Contratto di
adempiere ai propri obblighi con ragionevole
adeguatezza e tempestività.
19. Cessione o variazione proprietà

20. No Third Party Rights

o vendesse la propria Agenzia , a terzi senza il
consenso di NFS, il mandatario sarà personalmente
ed illimitatamente responsabile nei confronti di NFS
di ogni debito o obbligazione già contratti prima.
Nothing contained in this Agreement is intended
to confer nor shall it confer upon any person other
than the parties hereto any rights benefits or
remedies of any kind or character whatsoever
and no such person shall be deemed a third
party beneficiary or have the benefit of any third
party rights under the Contracts (Rights of Third
Parties) Act 1999 or by reason of this Agreement.
Nulla di quanto contenuto nel presente Contratto
conferisce o può conferire ad un soggetto diverso
dalle parti sottoscrittrici del presente Contratto alcun
beneficio diritto o risarcimento di alcun tipo ai sensi
del Contracts (Rights of Third Parties) Act 1999 o in

21. General Provisions

(a) No Commercial Agency: It is hereby expressly
agreed and acknowledged by the parties that the
relationship between the parties does not
constitute a relationship of Principal and
Commercial Representative within the provisions
of the Council Directive 86/653 and/or any
implementation of such directive within any
member state of the EU and in particular it is
agreed and acknowledged by the parties that the
Representative
is
not
a
Commercial
Representative within the Commercial Agents
(Council
Directive)
Regulations
1993
(SI1993/3053).

(b) Authority: the Representative will provide the
Services solely in accordance with this Agreement
and the Representative does not and will not
have authority to enter into any obligation or
commitment on behalf of NFS except as expressly
authorised by this Agreement. It is expressly
understood that the execution of this Agreement
does not create a relationship between the parties
as partners or joint venturers and neither party
will have the authority to bind the other party in
any fashion.

courts of Milan, Italy or any other jurisdiction that
may result applicable in the Territory.

nel caso in cui il Mandatario non provveda
tempestivamente a versare le somme derivanti dalle
prestazioni dei servizi forniti da NFS e quindi di
esclusiva proprietà di quest’ultima , secondo i termini
e le condizioni stabilite nel presente Contratto , il foro
competente in Italia sarà quello di Milano ,o qualsiasi
altro foro che abbia giurisdizione sul Territorio in cui il
Mandatario opera.
(e) Representative understands that the
relationship between NFS and Representative is
fiduciary or of trust in nature, therefore if the
Representative does not pay or deposit on timely
fashion the funds it has to deposit into the
accounts of NFS, and according to the terms and
conditions set forth in this Agreement, it
constitutes not only an infringement to this
Agreement, but also violations to the criminal and
civil laws of the Territory, and therefore
Representative acknowledges and accepts that
NFS may take any or all of the following steps
against Representative: i) file the criminal and civil
actions within the Territory that deems
convenient; ii) Terminate immediately the
Agreement; iii) denounce or inform any authority
of any member State of the European Union the
illegal behavior or the Representative; and iv)
request the cancellation of the registration of the
Representative before any authority of any
member State of the European Union.
(e) Il mandatario consapevole che il rapporto tra esso
stesso ed NFS è solo ed esclusivamente di natura
fiduciaria e che quindi nel caso in cui non dovesse
provvedere al versamento delle somme da lui
custodite in relazione alla prestazione di servizi per
conto di NFS, questo costituirebbe non solo una
violazione dei termini e condizioni del presente
Contratto, ma anche una violazione delle leggi sia
civili che penali del Territorio in cui opera , e quindi il
Mandatario prende atto ed accetta che NFS possa
richiedere una o tutte le seguenti azioni: i) tutte le
azioni legali sia penali che civili che ritenga più
convenienti in relazione al Territorio in cui opera il
Mandatario; ii) la risoluzione immediata del presente
Contratto; iii) denuncia o comunque informazione a
tutte le autorità competenti di ogni stato membro
della Unione Europea dell’eventuale comportamento
illegale del Mandatario; e iv) richiede la cancellazione
della registrazione del rappresentante ad ogni
autorità competente di ogni singolo stato della
Unione Europea.

(f) Language: this Agreement shall be signed in the
English language version which shall be the only
version of this Agreement which is valid and
binding upon the parties and in the event that
this Agreement is translated into a language other
than English, the parties recognise that this is done
solely for the parties’ convenience and that only
the signed English language version of this
Agreement is valid and binding upon the parties,
the only exception that will apply to the language
version of this Agreement, shall be in the event
that NFS has to take legal action against
Representative in Italy according to item (d) of this
Clause 21 of this Agreement,
(f) Lingua: questo Contratto è firmato nella versione
in lingua inglese che sarà l'unica versione valida e
vincolante per le parti , nel caso in cui questo
Contratto sia
tradotto in una lingua diversa
dall'inglese, le parti riconoscono che questo è fatto
unicamente per comodità delle parti 'e che solo la

eccezione che potra essere applicata in relazione alla
lingua di questo Contratto sarà nel caso in cui NFS
abbia intrapreso un’azione legale contro un
Mandatario in Italia in base a quanto previsto
dall’articolo 21 lettera (d) di questo Contratto.
(g) Entire Agreement: this Agreement and the
Schedules and the Addendum, together embody
the entire understanding of the parties and shall
constitute the entire agreement between the
parties relating to the provision of the Services
which shall override and supersede any prior
representations or agreements of whatsoever
nature between the parties. None the less NFS
may change certain terms and conditions as
established in this Agreement.
(g) Completezza del Contratto: questo Contratto, le
tempistiche
programmate,

congiuntamente rappresentano l'intero accordo tra le
parti e costituiscono l'intero Contratto tra le parti
relativamente alla fornitura dei Servizi che devono
eseguire e sostituisce ogni precedente dichiarazione

nonostante NFS potrà cambiare termini e condizioni
come stabilito in questo Contratto.
(h) Variation: No variation or amendment to this
Agreement shall be valid and binding upon either
party unless it has been effected in writing and
signed by a Director or authorised officer of each
party.

presente Contratto è ritenuta valida e vincolante per
le parti a meno che non sia stata effettuata, per
iscritto debitamente firmato da un direttore o

(i) Severability: if any part of this Agreement is
held by any Court to be illegal, void or
unenforceable, such determination shall not
impair the enforceability of the remaining parts of
this Agreement.

Tribunale come illegale, nulla o inapplicabile, tale

(written and oral) and notices must be in the
English and Italian language. All notices under this
Agreement must be in writing and may be served
on the receiving party by handing a copy to the
Company Secretary or a Director or responsible
officer of the receiving party or by prepaid
certified post or registered electronic mail address

(m) Schedule 6, is the statement executed by the
Representative to have received the training from
NFS regarding the use of the software system, the
Know Your Client policies and regulations, and all
the principles, rules and regulations applicable to
anti-money laundering matters, as well as the
identification of the clients and/or senders.
(n) Schedule 7, sets forth the criteria, policies and
principles regarding the possibility of granting to
the Representative a daily credit line, such criteria,
policies and principles shall be exclusively
established by NFS, and may be changed from
time to time without any prior notice to
Representative.

confidential or commercially sensitive in nature
PROVIDED THAT the foregoing shall not apply to
Confidential Information which: (i)is already known
to the other party; (ii) is or becomes within the
public domain other than by reason of a breach
by such party of this Agreement; (iii) is required to
be disclosed by any law or governmental or
regulatory authority or agency or by any order of
any Court or Tribunal of competent jurisdiction;
(iv) is required to be disclosed by the regulations
of any recognised Stock Exchange.
