Le condizioni di acquisto del committente non trovano ivi applicazione alcuna. Non sono vincolanti, nemmeno se alla stipulazione del contratto non ci opponiamo. Successivamente, con la ricezione della merce, si applicano le nostre Condizioni generali di fornitura, comprese le condizioni di pagamento. Contrattazioni e accordi - in particolare se apportano modifiche alle presenti condizioni - risultano per noi vincolanti solo se confermate per iscritto. La proprietà della merce consegnata resta a TE AG fino al pagamento completo di tutti i debiti del cliente, derivanti dal rapporto commerciale. TE AG ha la facoltà di far registrare la riserva di proprietà. Costituzioni in pegno e cessioni fiduciarie della sua merce sono inammissibili. Eventuali interventi di terzi sulla merce sotto riserva di proprietà devono essere comunicati immediatamente a TE AG. Il cliente cede tutti i crediti a lui spettanti da una rivendita della merce a garanzia dei diritti di TE AG derivanti dal rapporto commerciale. È autorizzato in modo revocabile a riscuotere questi debiti in via fiduciaria. Su richiesta, il cliente è tenuto a mettere a disposizione di TE AG tutte le informazioni e i documenti necessari alla rivendicazione dei diritti ceduti e a comunicare ai suoi acquirenti tale cessione. TE AG è autorizzata alla denuncia diretta. Le consegne si effettuano a rischio e pericolo del destinatario. Il fornitore si fa carico delle spese di trasporto franco domicilio, se la singola spedizione ha un valore di almeno CHF 600.— / EURO 400.— e può essere effettuata come trasporto merci . Gli oneri postali e i costi aggiuntivi per trasporto espresso o a grande velocità sono a carico del committente. In caso di danni di trasporto, occorre far redigere dalla stazione o dall‘ufficio ricevente un rapporto sui danni e richiedere il relativo risarcimento. Contestazioni / Reclami per vizio Contestazioni per un vizio evidente o una consegna incompleta o errata, devono esserci comunicati immediatamente, al più tardi 10 giorni data fattura e per iscritto. Non si accettano restituzioni non concordate precedentemente. Si accettano resi ai fini di una sostituzione o di un accredito solo nella confezione originale. I resi a causa di inutilizzo o quelli che superano la scadenza sopraccitata, sono assoggettati a una tassa di ritiro e amministrativa calcolata sul prezzo netto pagato in passato. Ogni reso deve essere accompagnato da una copia della fattura o della bolla di consegna. Se la merce restituita deve essere riparata o nuovamente imballata, verrà praticata un‘ulteriore trattenuta pari ai costi derivanti. Luogo di adempimento e foro competente per ambo le parti è Triengen. The purchaser’s terms and conditions of purchase shall be hereby expressly excluded. We shall not even be bound by such terms and conditions if we do not exclude them again on conclusion of the contract. Our general terms and conditions of delivery, including our terms of payment, shall be considered as accepted at the latest on acceptance of the goods. Any contracts and agreements – particularly insofar as they amend these conditions – shall only become binding for us upon written confirmation. TE AG shall reserve title on the goods delivered until all of the customer’s accounts payable arising from the business relationship have been settled in their entirety. TE AG is entitled to have the retention of title recorded in the official register. The pledging or assignment as security of your goods is inadmissible. The purchaser is required to inform TE AG immediately of any seizures by third parties of the goods delivered under retention of title. The customer shall assign all receivables owing to him in connection with the resale of the goods to cover the claims of TE AG arising from the business relationship. He shall have the revocable right to collect these receivables on a fiduciary basis. On request, the customer shall be obliged to provide TE AG with all the information and documentation necessary for the assertion of the assigned rights and to inform his customers of the assignment. TE AG is entitled to direct notification. Deliveries shall take place on the account and at the risk of the recipient. The supplier shall assume the transport costs and deliver the goods carriage paid to the delivery address if the individual delivery has a value of at least CHF 600.00 or € 400.00 and can be delivered as freight. Postal charges and additional costs for express delivery or fast freight shall be charged to the purchaser. If damages occur in transit, the customer must request that the receiving terminal or incoming mail office writes a damage report and must seek compensation there. Complaints / Notice of defects Complaints because of visible defects or because of incomplete or incorrect deliveries must be notified to us immediately in writing and at the latest 10 days after the date of invoicing. Returns without prior agreement shall not be accepted. Returns for exchange or for credits note can only be accepted in their original packaging. Returns for reasons of non-use or such returns that exceed the above-mentioned deadline shall incur a return and administration fee of 30% of the net price paid at the time. A copy of the invoice or delivery note must be included with each return. If the returned goods are to be repaired or repackaged, an additional charge for the costs incurred shall be deducted.
