ソフトウェア使用許諾契約書
本ソフトウェアを使用する前に、以下のソフトウェア使用許諾契約書（以下「本契約書」）を必ずお読み下さい。本ソフトウェアを使用された時点で、お客様は本契約書の諸条件に同意したものと見
なされます。本契約書の諸条件に同意されない場合は、本ソフトウェアをご使用にならないでください。
1. 使用許諾　Yellow Tools 及び、本 Yellow Tools ソフトウェアのライセンサー（総称して、以下「Yellow Tools」と呼びます）は、ディスク上、読み出し専用メモリ内、その他
保存先メディアの如何を問わず、本契約書が付属しているアプリケーション、デモ、システム、その他ソフトウェア（総称して、以下「本ソフトウェア」といいます）及
びそれに関連する書類やサウンド素材を使用する権利をお客様に許諾します。お客様は本ソフトウェア、関連書類及びサウンド素材が収録されている " ディスク " を
所有する事になりますが、本ソフトウェア、関連書類及びサウンドの著作権は、Yellow Tools が留保します。お客様は、本ソフトウェア及びサウンド素材を特定の
1 台のコンピュータ上で使用することができます。お客様は、複数のコンピュータ上で本ソフトウェアを同時に実行して使用しない事を条件に、本ソフトウェアを特
定のコンピュータ以外のコンピュータ（ポータブル・コンピュータなど）上でも使用することができます。
2. 制限　本ソフトウェアには、著作権物、企業秘密、その他所有権物が含まれています。これらを保護する目的上、準拠法によって承認された場合を除き、本ソフトウェアを
逆コンパイル、リバースエンジニアリング、逆アンセンブル、もしくは人間が認知出来る形式へ分解することは禁止されています。また、本ソフトウェアやサウンド素
材の一部または全体を修正、レンタル、リース、貸与、分配、もしくはそれを元に派生物を創作することは禁止されています。
3. 契約の終了　本契約は、契約が終了となるまで有効です。お客様は、本ソフトウェア、それに関連する書類やサウンド素材、そしてそのコピーを全て破棄する事により、本契約を
終了させる事ができます。また、お客様が本契約書のいずれかの条項に違反した場合は、Yellow Tools の通告を必要とせず即座に本契約は終了となります。本契
約が終了した場合、お客様は本ソフトウェア、それに関連する書類やサウンド素材、そしてそのコピーを全て破棄しなければなりません。
4. 限定保証　Yellow Tools は、領収書に記載されている購入日より 90 日間、通常使用において、本ソフトウェアやサウンド素材が収録されているコンパクトディスク／ DVD
に物理的及び製造上の欠陥がないことを保証します。上記 Yellow Tools の限定保証を満たさないコンパクトディスク／ DVD に対して Yellow Tools が負う責任
及びお客様に対する措置は、欠陥があるコンパクトディスク／ DVD の交換に限られ、この場合、お客様は領収書とともにそのコンパクトディスク／ DVD を Yellow
Tools に返送するものとします。ただし、コンパクトディスク／ DVD の欠陥の原因が、事故、乱用、不正使用によるものである場合については、Yellow Tools は
交換する責任を一切負わないものとします。コンパクトディスク／ DVD に対する黙示保証をする期間は、商品性及び特定の目的への適合性に対する黙示保証を含み、
引渡しから 90 日間に限られます。本限定保証はお客様に特定の法的権利を付与するものであり、地域によってはその他の権利が付与されることもありますが、そ
の内容は各地域によって異なります。
5. 保証の放棄　お客様は、本ソフトウェア及びサウンド素材をご自身の責任において使用するという事を明確に認識し、同意するものとします。本ソフトウェア及びそれに関連する
書類やサウンド素材は、一切の保証を伴わない「現状有姿」のまま提供されるものであり、Yellow Tools は、明示または黙示に関係なく、商品性及び特定の目的
への適合性に対する黙示の保証や非侵害に関する保証を含み、またそれを限りとせず、すべての保証を明確に放棄します。Yellow Tools は、本ソフトウェアに含ま
れる機能がお客様の要求を満たすものであること、本ソフトゥエアが支障なく作動し誤作動を起こさないこと、本ソフトウェアやサウンド素材の不具合が必ず修正さ
れることのいずれに対しても保証をしません。また、Yellow Tools は、本ソフトウェア、サウンド素材、関連書類の使用または使用した結果について、その正確性、
的確性、信頼性に関する一切の保証または表明を行いません。Yellow Tools もしくは Yellow Tools の正式代表者による口頭または書面での情報、助言の一切は、
新たな保証を約束するものではなく、また決して本保証の適用範囲を拡大するものではありません。上記に限らず、Yellow Tools は一切の、そして如何なる明示ま
たは黙示の保証を放棄すると共に、お客様が本ソフトウェアの使用または動作（及びそれを限りとせず）に対して一切の責任や危険をご自身で負うことを明確に認識
しているものと見なします。万一、本ソフトウェアが不良品であると判明した場合は、
（Yellow Tools 並びに Yellow Tools の正式代表者ではなく）お客様ご自身が、
サービス、修理、修正に必要なすべての費用を負担するものとします。黙示保証の免責が認められない地域においては、上記の免責がお客様に適用されない場合が
あります。
6. 責任の制限　Yellow Tools は、過失を含み、いかなる場合においても本ソフトウェアや関連書類の使用または使用不能に起因する、偶発的、特殊または間接的な損害について、
たとえ Yellow Tools や Yellow Tools の正式代表者がこれら損害の起こり得る可能性を知らされていたとしても、一切の責任を負わないものとします。偶発的または
間接的な損害に対する責任の制限や免責を認めない地域においては、上記の制限や免責がお客様に適用されない場合があります。いかなる損害や損失、及び訴訟原
因（契約に有る無し、違法行為（過失を含む）で有る無し）があろうとも、Yellow Tools がお客様に対してお支払いする責任総額は、お客様が本ソフトウェアとサウ
ンド素材に対して支払った金額を上限とします。

7. 準拠法及び契約の可分性　本契約はドイツ連邦共和国の法律に準拠するものとします。何らかの理由により管轄裁判所が本契約の一部またはいずれかの条項を施行できない場合があるとして
も、その条項は当事者の意向を達成すべく、許容される最大限の効力を発揮するものとし、また、本契約のその他の条項に関しては引き続き完全なる効力を発揮す
るものとします。
8. 完全合意　本契約は、本ソフトウェア及びそれに関連する書類やサウンド素材の使用に関して、お客様と Yellow Tools の完全合意のもと成り立つものであり、本契約に関す
る従来のすべての書面または口頭による了解事項および合意に優先するものです。本契約の改訂及び変更は、書面にて、尚且つ Yellow Tools の代表者による正式
な署名がなされている場合を除き、拘束力を持ちません。
サウンド・ライブラリ使用許諾契約書
お客様は、
本ソフトウェアに収録されているサウンド素材
（以下
「本サウンド素材」といいます）を、商用、非商用にかかわらず、楽曲の制作に使用する事ができます。また、
その際に著作権を侵害する恐れも一切ありません。本サウンド素材はすべて Best Service 社が制作したものであり、本サウンド素材の著作権は Best Service 社
が留保しています。本製品を購入することにより、お客様は音楽制作を行う上で本サウンド素材を使用する権利（ライセンス）を 1 つ取得することになります。
これは必須ではありませんが、本サウンド素材を使用して楽曲を制作した場合、下記の意味合いを示すクレジットを出来るだけ付け加えていただければ幸いです。
「楽
曲の制作には Best Service 社『TITAN』を使用しています」
（「Sound Samples courtesy of Best Service "TITAN"」
）ただし、本サウンドﾞ素材を映画やテ
レビ番組の楽曲に使用された場合に関しては、サウンドトラック・アルバム等は別として、スクリーン上へ上記クレジット表記をして頂く必要はありません。
Best Services 社の書面による同意がない限り、本サウンド素材（ディスク上に存在する形のまま、または他製品で使用あるいは販売を目的としてフォーマット変更、
ミキシング、
フィルタリング、リシンセサイジング、
プロセシング、
編集を加えた形を含む）を複製する事は固く禁しされています。本サウンド素材を一部でも不正に譲渡、
取引、貸与、レンタル、再発表、再配布、転売する事は固く禁止されています。
本製品を複製することは固く禁止されています。
クリプトン・フューチャー・メディア株式会社（以下「当社」）は、本製品の契約原文（以下「契約原文」）を日本語に翻訳したものである本契約について、翻訳の
完全性を保証するものではありません。もし本契約と契約原文に相違があったときには、契約原文を優先するものとします。また、その様な相違によって損害が生
じたとしても、当社は保障いたしません。契約原文および本契約は、変更することがあります。その場合当社は、本契約の最新版を当社 WEB サイトにて公表する

License Agreement Software
PLEASE READ THIS LICENSE CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE
BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, PROMPTLY RETURN THE UNUSED
SOFTWARE TO THE PLACE WHERE YOU OBTAINED IT AND YOUR MONEY WILL BE REFUNDED.
1. License.
The application, demonstration, system and other software accompanying this License, whether on disk, in read only memory, or on any
other media (the 'Software'), the related documentation and sounds are licensed to you by Yellow Tools and its Licensors. You own the
disk on which the Software and sounds are recorded but Yellow tools and/or Yellow tools' licensors retain title to the Software, related
documentation and sounds. This License allows you to use the Software and sounds on a single computer. You may use the software on a
home or portable computer, provided the software is never used on both computers at the same time.
2. Restrictions.
The Software contains copyrighted material, trade secrets, and other proprietary material. In order to protect them, and except as permitted
by applicable legislation, you may not decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-perceivable
form. You may not modify, rent, lease, loan, distribute or create derivative works based upon the Software and sounds in whole or in part.
3. Termination.
This License is effective until terminated. You may terminate this License at any time by destroying the Software, related documentation and
sounds. This License will terminate immediately without notice from Yellow Tools if you fail to comply with any provision of this License. Upon
termination you must destroy the Software, related documentation and sounds.
4. Limited Warranty on Media.
Yellow Tools warrants the compact discs and/or DVD(s) on which the Software and sounds are fixed to be free from defects in materials and
workmanship under normal use for a period of ninety (90) days from the date of purchase as evidenced by a copy of the receipt. Yellow Tools
entire liability and your exclusive remedy will be replacement of the DVD(s) and/or compact discs, which shall be returned to Yellow Tools
with a copy of the receipt. Yellow Tools will have no responsibility to replace a disc/DVD damaged by accident, abuse or misapplication. ANY
IMPLIED WARRANTIES ON THE COMPACT DISC/DVD(S), INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF DELIVERY. THIS WARRANTY
GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY BY JURISDICTION.
5. Disclaimer of Warranty on Yellow Tools Software.
You expressly acknowledge and agree that use of the Software and sounds is at your sole risk. The Software, related documentation and
sounds are provided 'AS IS' and without warranty of any kind and Yellow Tools and Yellow Tools' Licensor(s) (for the purposes of provisions
4 and 5, Yellow Tools and Yellow Tools' Licensor(s) shall be collectively referred to as 'Yellow Tools') EXPRESSLY DISCLAIM ALL OTHER
WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. YELLOW TOOLS DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED
IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR
ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE AND THE SOUNDS WILL BE CORRECTED. FURTHERMORE, YELLOW TOOLS DOES
NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE AND
SOUNDS OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL
OR WRITTEN INFORMATION OR ADVICE GIVEN BY YELLOW TOOLS OR A YELLOW TOOLS AUTHORIZED REPRESENTATIVE SHALL
CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. WITHOUT LIMITING THE FOREGOING, YELLOW
TOOLS DISCLAIMS ANY AND ALL EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, AND YOU EXPRESSLY ASSUME ALL LIABILITIES
AND RISKS, FOR USE OR OPERATION OF THE SOF T WARE, INCLUDING WITHOUT LIMITATION. SHOULD THE SOF T WARE PROVE
DEFECTIVE, YOU (AND NOT YELLOW TOOLS OR A YELLOW TOOLS AUTHORIZED REPRESENTATIVE) ASSUME THE ENTIRE COST OF ALL
NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES,
SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
6. Limitation of Liability.
UNDER NO CIRCUMSTANCES INCLUDING NEGLIGENCE, SHALL YELLOW TOOLS BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR
CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OR INABILITY TO USE THE SOFTWARE OR RELATED DOCUMENTATION,
EVEN IF YELLOW TOOLS OR A YELLOW TOOLS AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. In no event shall Yellow Tools' total liability to you for all
damages, losses, and causes of action (whether in contract, tort (including negligence) or otherwise) exceed that portion of the amount paid
by you which is fairly attributable to the Software and sounds.

7. Controlling Law and Severability.
This License shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. If for any reason a court
of competent jurisdiction finds any provision of this License, or portion thereof, to be unenforceable, that provision of the License shall be
enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this License shall continue in full
force and effect.
8. Complete Agreement.
This License constitutes the entire agreement between the parties with respect to the use of the Software, the related documentation
and sounds, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No
amendment to or modification of this License will be binding unless in writing and signed by a duly authorized representative of Yellow Tools.

You can use the material, which is included in this library, for commercial or noncommercial music productions, without worrying about
copyright infringement problems. Best Service created all of the sounds for this product, and owns the copyright to these sounds. When you
purchase a Best Service product, you get a single license for use of the sounds in your
music productions. Although it is not required, it would be greatly appreciated if you adhere to the following crediting guidelines on any music
recording that utilizes material from Best Service“TITAN“. We would be very thankful if you include the following courtesy credits using this
