本文書は、法的拘束力を持つ契約書です。よくお読みください。
「同意する」ボタンを押すか、本ソフトウェアをインストールおよび／または使用することによって、お客様は本契約
の全ての条件に同意されたことになります。本契約の全ての条件に同意されない場合は、「同意しない」ボタンを
押し、本ソフトウェアのインストールはご遠慮ください。
1.1
この Sphera Corporation（以下「Sphera」という）エンドユーザー・ソフトウェア使用許諾契約書は、
Sphera HostingDirector ソフトウェア製品およびこれに関連する説明資料を伴って提供されます。「Sphera ソフトウ
ェア」という用語（以下に定義する）には、Web ホスティング・プロバイダからお客様に供給される Sphera ソフトウェ
アの追加・アップグレード・修正版・アップデートも全て含むものとします。
2.
定義
本契約において別段に定める場合を除き、本契約中に太字で表示する用語は、以下に挙げる意味を示します。
2.1
「有効なアプリケーション・コンポーネント」とは、Sphera ソフトウェアがインストール、設定、管理するよう
意図されたオプショナル・ソフトウェア・コンポーネントを指し、Sphera ソフトウェアを実行しているコンピュータ・シス
テム上でローカルに起動するか（プラグイン）、またはリモート・コンピュータと交信することで（プラグアウト）機能し
ます。
2.2
「知的財産権」とは、設計・製法・手段・方式・器材・構想・発明・創作物・改良・著作物・その他これに類
するものなど、形式を問わず一切の所有物で、特許法・著作権法・営業秘密法により保護されるもの、またはその
他の法規定、慣習法の原則の適用対象となるものを指します。
2.3
「サーバー」とは、プロセッサの数にかかわらず、Sphera ソフトウェアの実行を許可される 1 台のコンピ
ュータを指します。
2.4
「Sphera ソフトウェア」とは、HostingDirector ソフトウェア・プログラム、即ち、ホスティングを行う企業が
エンドユーザーに高度な機能を提供することを目的に作られた、Sphera が所有するコンピュータ・ソフトウェア・プロ
グラムを指します。
3.
使用許諾
3.1
Sphera ソフトウェアの使用許諾
お客様が本契約の条件に同意することにより、Sphera はお客様に対し、本契約の条件に従い Sphera ソフトウェア
を使用するための、譲渡不可の非独占的権利を認めます。この使用許諾の有効期間は、本契約が有効である期
間で、且つ、お客様のホスティング・プロバイダと Sphera との契約が有効である期間とします。またこの使用許諾
は、お客様に Sphera ソフトウェアの使用を提供している Web ホスティング・プロバイダが、Sphera ソフトウェアの使
用許可をお客様に認可するための法的に有効な正規の契約書を Sphera と締結している場合に限り、その期間に
おいて有効とします。お客様の Web ホスティング・プロバイダが Sphera とかかる契約を結んでいるか否かの確認
は、お客様ご自身の責任において行っていただくものとします。お客様の Web ホスティング・プロバイダと Sphera
の間で交わされた使用許諾契約に定める制限が確実に順守されるようにするため、本契約の期間中、Sphera ソフ
トウェアは同ソフトウェアを使用中のサーバーの総数を毎月追跡記録し Sphera に報告します。
3.2
使用許諾における制限
次に挙げる行為は、お客様の禁止事項とします。
（i）Sphera ソフトウェアの全体または一部に修正を加えること、あるいはその派生物を作成すること。翻訳・ローカラ
イズもこれに含まれる。
（ii）リバースエンジニアリング・逆コンパイル・逆アセンブル・その他の方法により、オブジェクトコードの形でお客様
に提供された Sphera ソフトウェアのソースコードを引き出そうとする試み。（該当する法律によりこのような制限の
適用が明確に禁じられている範囲においては適用されない）
（iii）共同使用またはサービス機関の取り決めによる、Sphera ソフトウェアの再配布・抵当権の付与・販売・貸与・リ
ース・使用許諾の移譲・使用。またはその他の方法により Sphera ソフトウェアの全体あるいは一部に対する権利を
移譲すること。
（iv）Sphera ソフトウェアの全体または一部の複製を作ること。（記録用の複製を除く）
（v）Sphera ソフトウェアに付与された商標・ロゴ・著作権およびその他の所有権に関する表示・ライセンス許諾表
示・シンボル・ラベルを取り除くこと。
3.3
表示に関する制約
本契約期間中、お客様は、あらゆる著作権表示および所有権に関するライセンス許諾表示を Sphera ソフトウェア
原物に表示されているのと同様に再現し、Sphera ソフトウェアのコピーやその一部に付与するものとします。
3.4
譲渡不可
お客様が Sphera ソフトウェアの任意のコピーを他の人に譲渡した場合、その時点で本使用許諾は自動的に終了
します。
3.5
Sphera ソフトウェアの使用
お客様は、適用されるあらゆる法律に従って Sphera ソフトウェアを使用することに同意し、本契約の条件に基づく
本来の目的以外のためにこれを使用しないものとします。
4.
有効なアプリケーション・コンポーネント
有効なアプリケーション・コンポーネントの使用
Sphera ソフトウェアには、有効なアプリケーション・コンポーネントがいくつか事前にインストールされている場合が
あります。こうした有効なアプリケーション・コンポーネントは Sphera が提供するものではなく、それらを使用するた
めにはお客様ご自身またはお客様のプロバイダがコンポーネントの提供者から使用許諾を得る必要があります。
有効なアプリケーション・コンポーネントの使用には、追加ライセンス料金の支払いが必要となる場合があります。
お客様は、有効なアプリケーション・コンポーネントと共に配布される同コンポーネントの使用条件に従うことに同
意します。有効なアプリケーション・コンポーネントに対する Sphera のサポートは、当該コンポーネントと Sphera ソ
フトウェアとの間のインターフェイスが機能することの保証に限定されます。有効なアプリケーション・コンポーネン
トは「現状有姿」で提供され、これに対し Sphera からは如何なる種類の保証も提供されません。ここで言う保証と
は、明示的なもの、法令によるもの、黙示的なものに関わらず一切の保証を指し、商品性の黙示保証や特定目的
に対する適合性の黙示保証を含みますが、これらに限定されるものではありません。
5.
インストール
インストールと被許諾者の設備
Sphera ソフトウェアをインストールし起動するために必要となるすべてのハードウェアおよび Sphera ソフトウェア以
外のソフトウェアを用意するのは、お客様および／またはお客様のプロバイダの責任とします。また、通信のため
のデバイスやインターネットアクセスなどの Sphera ソフトウェアの運用に要する付加的な技術や周辺機器について
も、お客様および／またはお客様のプロバイダが用意しなければなりません。
6.
所有権
Sphera の所有権
次に挙げる事項における、およびそれらに対する権利・所有権・利益は、Sphera および／またはその供給業者に
帰属するものであり、今後も引き続き帰属し続けます。（i）Sphera ソフトウェア（同ソフトウェアに同梱される、または
それに関連して提供される、フロッピー・ディスク、コンパクト・ディスク、ユーザーガイド、その他の文書の一切のコ
ピーを含む）。（ii）条項 3.1 に定める情報の収集によって Sphera が作成する、Sphera ソフトウェアの使用に関する
報告書または分析。（iii）前述の事項に含まれる、またはそれらに関連するすべてのノウハウや知的財産権、ある
いは、Sphera または同社の代表者が Sphera ソフトウェアに関連して生み出した一切のノウハウや知的財産権。
お客様は、かかる所有権および知的財産権を認め、Sphera またはその供給業者が有する Sphera ソフトウェアの
所有権あるいはこれに関する権利を、如何なる方法によっても脅かしたり、制限したり、妨害したりするような行動
は一切起こさないものとします。Sphera ソフトウェアは、著作権法、その他の知的財産法、および国際条約によっ
て保護されています。Sphera ソフトウェアおよびその構造、組織、コードは、Sphera およびその供給業者の、価値
ある企業秘密です。
本契約の中で明確に規定されている内容を除き、Sphera は明示的または黙示的な使用許諾を一切与えません。
明示的に認められていない権利はすべて Sphera が留保します。
7.
契約の解除
7.1
Sphera による解除
お客様が本契約に違反した場合、またはお客様のホスティング・プロバイダが Sphera との契約に違反した場合、
Sphera はその他の権利を一切損なうことなく本契約を直ちに解除することができます。Sphera によるこのような契
約解除については、お客様への通知が行われる場合も行われない場合もあります。お客様の Web ホスティング・
プロバイダが Sphera とかかる契約を結んでいるか否かの確認は、お客様ご自身の責任において行っていただくも
のとします。
7.2
解除の効果
（a）如何なる理由であれ本契約が解除された場合、お客様は以下の約束を守らなくてはなりません。（i）如何なる
目的においても Sphera ソフトウェアを使用しない。（ii）契約解除時にお客様の手元にある、あるいはお客様の管理
下にあるすべての Sphera ソフトウェアのコピーなど Sphera またはその許諾者に所属するものはすべて破棄する
か Sphera に返却する。
（b）如何なる理由であれ本契約が解除された場合、条項 3 において Sphera により認可された使用許諾は直ちに終
了するものとし、それ以降お客様は如何なる目的においても Sphera ソフトウェア（同ソフトウェアに含まれる、また
はそれに関連するその他の知的財産権など）を使用する権利を一切持たないものとします。
（c）本契約の解除が、契約解除以前に発生した Sphera の権利に影響を与えることはありません。
（d）本条項 6.2 に規定する救済は累加的なものであり、Sphera が利用できる他の救済に加えて提供されます。
（e）条項 3.1 を除き、本契約の他の条項はすべて契約解除後も存続するものとします。
8.
無保証
Sphera ソフトウェアは「現状有姿」でお客様に提供され、その使用や性能に対し Sphera からは如何なる保証も提
供されません。Sphera およびその供給業者は、お客様が Sphera ソフトウェアを使用することにより得られる性能や
結果について保証致しませんし、保証できません。Sphera およびその供給業者は、明示か黙示かを問わず、
Sphera ソフトウェアが第三者の権利を侵害しないこと、その商品性、特定目的に対する適合性について、また、
Sphera ソフトウェアが何の欠陥も障害もなく機能することについて、一切保証しません。前述の一般性を制限する
ことなく、お客様は、Sphera ソフトウェア自体や同ソフトウェアを用いて行われた通信の安全性について Sphera が
何の保証も提供しないことを認め、かかる安全性および通信に関するすべてのリスクを負うものとします。
9.
損害賠償の制限
（a）如何なる場合においても、Sphera とその供給業者または再販業者は、営業上の信用の損失・業務停止・コンピ
ュータの故障や誤動作による損害やその他一切の営業上の損害、損失などの間接的、特殊的、付随的または派
生的損害の賠償に対し、たとえかかる損害の可能性を知らされていた場合においても、またその申し立てが、契
約、不法行為、その他の法的、衡平法上の根拠に基づいているか否かとは関係なく、一切の責任を負いません。
（b）限定された救済の本質的目的が達成されなくても、上記項目（a）の制限が無効であっても、Sphera またはその
供給業者は、如何なる場合においても、如何なる金額の損害に対しても責任を負いません。例外として、この制限
は、Sphera の過失によって起こる死亡または人身上の傷害に関する責任について、該当する法律によりこのよう
な制限の適用が禁止されている範囲においては適用されません。法域によっては、付随的または派生的損害賠
償の免責または制限を認めない場合があるため、この免責と制限の規定は適用されない可能性があります。
保証の放棄と損害賠償の制限は、Sphera とお客様との契約の根幹にある基本的な要素です。この制限がなけれ
ば、Sphera は当該ソフトウェアを提供することができません。評価期間においては、Sphera は当該ソフトウェアに
対してアップデートを提供する義務を負いません。
10.
無効規定の分離可能性
本契約の一部が違法、無効、または法的強制力を持たないと解釈された場合、かかる一部は被害条項とみなされ、
最初から本契約に組み込まれていなかった場合と同じ範囲および効力を以て、本契約から削除されます。しかし
ながら、かかる削除の結果、契約の構成がその主目的を妨げない限り、契約の残りの部分についてはすべて、有
効に存続するものとします。
11.
準拠法
本契約の準拠法は、（ニューヨーク州法において法文化された法の抵触のルールを問わず）ニューヨーク州におい
て締結され履行され得る契約に適用されるニューヨーク州法とし、本契約は同法に従って解釈、履行されるものと
します。お客様は、Sphera ソフトウェアが国外へ出荷、譲渡、輸出されることはないこと、また如何なる形でもアメリ
カ合衆国輸出管理法またはその他の輸出法、規制、規定により禁じられた方法で使用されることはないことに同
意します。
12.
変更
本契約は、権限を付与された Sphera の役員による署名入りの書面によってのみ変更することができます。
13.
同意のない譲渡の禁止
本契約に基づき発生するお客様の義務、権利、利益、またはそれらの一部を、如何なる形であれ、法律の運用な
どにより、事前に Sphera から書面による同意を得ることなく第三者に販売、譲渡、移譲してはなりません。
14.
非放棄
Sphera がいつ何時本契約の条項、規定または条件を履行しなくとも、また本契約に定める権利やオプションのい
ずれかを行使しなくとも、そのことで、それらを放棄したことにはなりません。また、かかる権利やオプションの 1 つ
または一部を行使することで、本契約に定められた他の権利やオプションを排除することにはなりません。本契約
の条項、規定または条件の放棄は、如何なるものであれ、Sphera による署名入りの書面を以てのみ、またその書
面に定める範囲においてのみ、有効とします。
15.
エンドユーザーが政府機関である場合の注意
お客様に提供される Sphera ソフトウェアおよびこれに関連する文書は、連邦規則集第 48 巻第 2.101 条に定める
「商用品目」であって、連邦規則集第 48 巻第 12.212 条または第 48 巻第 227.7202 条で使用されている規定どおり
の「商用コンピュータ・ソフトウェア」と「商用コンピュータ・ソフトウェア・ドキュメンテーション」から成っています。連
邦規則集第 48 巻第 12.212 条または第 48 巻第 227.7202-1 条から第 227.7202-4 条までの適用される規定に基づ
き、当該商用コンピュータ・ソフトウェアと商用コンピュータ・ソフトウェア・ドキュメンテーションは、合衆国政府エンド
ユーザーに対して、（A）商用品目としてのみ、（B）本契約に定める条件・条項に基づき他の一般エンドユーザーに
認められる権利と同じ権利のみを以て、使用許諾されます。
16.
Qpopper ソフトウェア
16.1
Qpopper ソフトウェアの使用について
本契約に基づきお客様に認められる Sphera ソフトウェアの使用許諾には、第三者の所有する特定のソフトウェア
（以下「Qpopper ソフトウェア」という）に Sphera が修正を加えたものの使用権が含まれます。かかる修正ソフトウェ
アの一部は、Qualcomm Incorporated および The Regents of the University of California（カリフォルニア州立大学
評議会）の所有するソフトウェアコードに基づいています。当該修正ソフトウェアは Sphera が作成したものであり、
Qualcomm Incorporated の製品ではありません。お客様は、Qualcomm Incorporated の所有するソフトウェアコード
は Qualcomm Incorporated と Sphera の間で結ばれた使用許諾契約の条件に従ってのみ提供されるものであるこ
とを認めます。この契約書のコピーは Sphera ソフトウェアと共に電子形式でお客様に提供されています。
Qualcomm Incorporated はこの契約に基づいて、Sphera に対し、Qualcomm Incorporated の所有する Qpopper ソフ
トウェアの一部を使用する権利、またこれを複製し、派生物を作成し、配布する権利を許諾しています。
16.2
Qualcomm Incorporated の責任免除
お客様は、Qualcomm Incorporated が、同社の所有するソフトウェアコードに加えられた修正について如何なる責
任も負わないことを認めます。
16.3
重要な注意
このソフトウェア・プログラムには、ソフトウェア・プログラム「Popper」を元にしたコード、および／またはその派生物
や修正版が含まれています。Popper は、The Regents of the University of California が著作権を所有しており、無
断複写・転載は禁じられています（(c) Copyright 1989-1991 The Regents of the University of California, All Rights
Reserved）。Popper は、University of California, Berkeley（カリフォルニア大学バークリー校）、Information Systems
and Technology の Austin Shelton 氏によって作成されたプログラムです。本製品に含まれる Popper ソフトウェアを
如何なる目的に対しても書面による同意を得ることなく無償で使用・コピー・修正・配布するための The Regents of
the University of California による許諾は、本契約によって与えられます。但しこの許諾は、上記の著作権表示と本
段落およびこれに続く 2 つの段落の文面をすべてのコピーに付与することを条件とします。しかしながら、Popper
の派生物や修正版を使用する際には、さらに他の個人または団体から許可を得る必要がある場合もあります。
如何なる場合も、Popper ソフトウェアまたはその派生物や修正版、およびそれに関する文書の使用によって生じる、
利益損失を含む直接的、間接的、特殊的、付随的または派生的損害の賠償に対し、たとえかかる損害の可能性
を知らされていた場合においても、University of California が責任を負うことは一切ありません。
特に University of California は、商品性や特定目的に対する適合性の黙示保証を含む（しかしこれらに限定されな
い）あらゆる保証を否認します。Popper ソフトウェアは「現状有姿」にてここに提供され、これに対し University of
California は如何なる保守・サポート・アップデート・機能強化・修正も提供する義務を負いません。
17.
JAVA サポートについての注意
Sphera ソフトウェアは、JAVA で書かれたプログラムのサポートを含む場合があります。JAVA はフォールト・トレラ
ント（耐障害性）の技術ではなく、例えば核施設の稼動・航空機のナビゲーションやコミュニケーションシステム・航
空管制・直接的な生命維持装置・兵器システムなど、JAVA 技術の不具合が死亡・人身傷害・著しい身体的苦痛
や環境損壊に直接繋がる危険性をはらみ、二重安全装置の動作が要求されるような、危険な環境におけるオンラ
イン制御機器としての使用や転売のために設計・製造・企画されたものではありません。本免責条項は、Sphera
が Sun Microsystems, Inc.により、契約上義務付けられたものです。

危険性の高い活動
Sphera ソフトウェアはフォールト・トレラント（耐障害性）ではなく、例えば核施設の稼動・航空機のナビゲーションや
コミュニケーションシステム・航空管制・直接的な生命維持装置・兵器システムなど、当該ソフトウェアの不具合が
死亡・人身傷害・著しい身体的苦痛や環境損壊に直接繋がる危険性をはらみ、二重安全装置の動作が要求され
るような、危険な環境（以下「危険性の高い活動」という）におけるオンライン制御機器としての使用や転売のため
に設計・製造・企画されたものではありません。
Sphera およびその供給業者は、明示または黙示を問わず、特に危険性の高い活動への適合性に対する保証の
一切を否認します。

VIRTUAL USER END-USER SOFTWARE LICENSE AGREEMENT
NOTICE TO USER:
THIS IS A LEGALLY BINDING CONTRACT. PLEASE READ IT CAREFULLY.
BY CLICKING THE "I ACCEPT" BUTTON OR INSTALLING AND/OR USING THIS
SOFTWARE, YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS
AGREEMENT.
IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS
AGREEMENT, YOU MUST CLICK THE "I REJECT" BUTTON AND YOU MUST NOT
INSTALL OR USE THE SOFTWARE.
1.1
This Sphera Corporation ("Sphera") End-User Software License Agreement
accompanies the Sphera HostingDirector software product and related explanatory
materials. The term Sphera Software (as defined below) also shall include any additions,
upgrades, modified versions, or updates of the Sphera Software provided to you by your web
hosting provider.
2.
DEFINITIONS
Unless otherwise defined in this Agreement, the capitalized terms used in this Agreement
shall have the following meanings:
2.1
"Enabled Application Components" means optional software components intended
to be installed, configured and managed by the Sphera Software, and that function either by
running locally on the computer system running the Sphera Software (plug-in) or by
communicating with a remote computer (plug-out).
2.2
"Intellectual Property" means all property, whether in the form of designs,
formulas, procedures, methods, apparatus, ideas, inventions, creations, improvements, works
of authorship and other similar material, subject to protection under patent, copyright or trade
secret law or any other statutory provision or common law doctrine.
2.3
"Server" means any single computer on which the Sphera Software may be run,
regardless of the number of processors.
2.4
"Sphera Software" means the HostingDirector software program, a computer
software program owned by Sphera, designed to allow hosting companies to provide
advanced functionality to end users.
3.
LICENSE
3.1
License of Sphera Software. Upon your acceptance of the terms of this Agreement,
Sphera grants to you a non-transferable, non-exclusive license to use the Sphera Software in
accordance with the terms of this Agreement, for as long as this Agreement remains in effect
and for as long as Sphera's agreement with your hosting provider remains in effect. THIS
LICENSE IS VALID ONLY IF, AND FOR AS LONG AS, YOUR USE OF THE SPHERA
SOFTWARE IS PROVIDED BY A WEB HOSTING PROVIDER WHO HAS A VALID,
LEGAL AGREEMENT WITH SPHERA GRANTING IT THE PERMISSION TO ALLOW
YOU TO USE THE SPHERA SOFTWARE. IT IS YOUR RESPONSIBILITY TO VERIFY
THAT YOUR WEB HOSTING PROVIDER HAS AND MAINTAINS SUCH AN
AGREEMENT WITH SPHERA. The Sphera Software will track and report to Sphera the
total number of Servers using the Sphera Software each month during the term of this
Agreement for purposes of ensuring compliance with the limitations of the license agreement
entered into between Sphera and your web hosting provider.
3.2
License Limitations. You shall not (i) modify or create any derivative works of all or
any portion of the Sphera Software, including translation or localization; (ii) reverse engineer,
decompile, disassemble or otherwise attempt to derive the source code for any Sphera
Software provided to you in object code (except to the extent applicable laws specifically
prohibit such restriction); (iii) redistribute, encumber, sell, rent, lease, sublicense, use the
Sphera Software in a timesharing or service bureau arrangement, or otherwise transfer rights
to all or any portion of the Sphera Software; (iv) copy all or any portion of the Sphera
Software (except for an archival copy); or (v) remove any trademark, logo, copyright, or other
proprietary notices, legends, symbols, or labels in the Sphera Software.
3.3
Notice Restrictions. During the term of this Agreement, you shall reproduce and
include any and all copyright notices and proprietary rights legends, as such notices and
legends appear in the original Sphera Software, on any copy of the Sphera Software, or any
portion thereof.
3.4
NO TRANSFERS. UPON ANY TRANSFER BY YOU OF ANY COPY OF THE
SPHERA SOFTWARE TO ANOTHER PARTY, THIS LICENSE WILL
AUTOMATICALLY TERMINATE.
3.5
Use of Sphera Software. You agree to use the Sphera Software in accordance with
all applicable law and shall not use it for any purpose other than that which is intended
pursuant to the terms of this Agreement.
4.
ENABLED-APPLICATION COMPONENTS
Use of Enabled-Application Components. The Sphera Software may have a number of
Enabled-Application Components pre-installed.
These Enabled-Application Components are
not provided by Sphera, and the use of these components requires that you or your provider
acquire a license for their use from their supplier. The use of the Enabled-Application
Components may require payment of additional license fees. You agree to abide by the terms
regarding the usage of any Enabled-Application Components distributed with the EnabledApplication Components. Sphera does not support any Enabled-Application Components
beyond ensuring that the interface between such components and the Sphera Software is
functional. The Enabled-Application Components are provided "AS IS" without any
warranty of any kind from Sphera, either expressed, statutory or implied, including, but not
limited to, implied warranties of merchantability or fitness for a particular purpose.
5.
INSTALLATION
Installation and Licensee Facilities. You and/ or your provider are responsible for
providing all hardware and software, other than the Sphera Software, required for installing
and running the Sphera Software.
You and/ or your provider are also responsible for
providing any additional technology or peripherals required to operate the Sphera Software,
including but not limited to, communication devices and Internet access services.
6.
OWNERSHIP
Sphera Ownership. All right, title and interest in and to (i) the Sphera Software (including
any and all copies of any computer diskettes, compact disks, the user's guide and any other
documentation included in, or provided in connection with, the Sphera Software); (ii) any
reports or analyses prepared by Sphera in connection with this use of the Sphera Software
which are generated through collection of the information set forth in Section ??.1; and
(iii) any know-how or Intellectual Property contained in or associated with the foregoing or
otherwise developed by Sphera or its representatives in connection with the Sphera Software
shall be owned by and remain with Sphera and/or its suppliers.
You acknowledge such
ownership and Intellectual Property rights and will not take any action to jeopardize, limit or
interfere in any manner with Sphera's or its supplier's ownership of, or rights with respect to,
the Sphera Software.
The Sphera Software is protected by copyright law, other intellectual
property laws, and by international treaties. The Sphera Software, its structure, organization,
and code constitute valuable trade secrets of Sphera and its suppliers.
Except as explicitly provided in this Agreement, Sphera does not grant any licenses express or
implied. All rights not explicitly granted are reserved by Sphera.
7.
TERMINATION
7.1
Termination by Sphera.
Without prejudice to any other rights, Sphera may cancel
this Agreement immediately upon any breach by you of this Agreement or any breach by your
hosting provider of its agreement with Sphera. Such termination by Sphera may be with or
without notice to you. IT IS YOUR RESPONSIBILITY TO VERIFY THAT YOUR WEB
HOSTING PROVIDER HAS AND MAINTAINS SUCH AN AGREEMENT WITH
SPHERA.
7.2
Effects of Termination. (a)
Upon termination of this Agreement for any reason you
shall: (i) not use the Sphera Software for any purpose whatsoever; and (ii) immediately
destroy or return to Sphera all material belonging to Sphera or its licensors, including without
limitation all copies of the Sphera Software then in your possession or control.
(b)
Upon termination of this Agreement for any reason, the license
granted by Sphera under Article ?? shall terminate immediately, and you shall have no further
right to use the Sphera Software (including without limitation any other Intellectual Property
contained therein or associated therewith) for any purpose whatsoever.
(c)
Termination of this Agreement shall not affect Sphera's rights that
have accrued prior to such termination.
(d)
The remedies set forth in this Section 6.2 shall be cumulative and in
addition to any other remedies available to Sphera.
(e)
Except for Section ??.1, all of the other Sections of this Agreement
shall survive any termination of this Agreement.
8.
NO WARRANTY
The Sphera Software is being provided to you "AS IS," and Sphera makes no warranty as to
its use or performance. SPHERA AND ITS SUPPLIERS DO NOT AND CANNOT
WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE
SPHERA SOFTWARE. SPHERA AND ITS SUPPLIERS MAKE NO WARRANTIES,
EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD-PARTY RIGHTS,
MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE OR
WARRANTY THAT THE SPHERA SOFTWARE SHALL OPERATE FREE OF ANY
ERRORS OR INTERRUPTIONS.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU
ACKNOWLEDGE THAT SPHERA DOES NOT WARRANT OR GUARANTY THE
SECURITY OF THE SPHERA SOFTWARE OR OF COMMUNICATIONS MADE USING
THE SPHERA SOFTWARE, AND YOU ASSUME ALL RISKS ASSOCIATED WITH
SUCH SECURITY AND COMMUNICATIONS.
9.
LIMITATION OF LIABILITY. (a)
IN NO EVENT WILL SPHERA OR ITS
SUPPLIERS OR RESELLERS BE LIABLE FOR ANY INDIRECT, SPECIAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT
LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE,
COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY
THEREOF, AND REGARDLESS OF WHETHER ANY CLAIM IS BASED UPON ANY
CONTRACT, TORT, OR OTHER LEGAL OR EQUITABLE THEORY.
(b)
WITH THE EXCEPTION OF DEATH OR PERSONAL INJURY
CAUSED BY THE NEGLIGENCE OF SPHERA TO THE EXTENT APPLICABLE LAW
PROHIBITS SUCH LIMITATION, IN NO EVENT WILL SPHERA OR ITS SUPPLIERS
BE LIABLE FOR ANY AMOUNT OF DAMAGES, NOTWITHSTANDING ANY
FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY OR INVALIDITY
OF SUBSECTION (a) ABOVE. SOME JURISDICTIONS DO NOT ALLOW THE
EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES,
SO THIS EXCLUSION AND LIMITATION MAY NOT BE APPLICABLE.
THE WARRANTY DISCLAIMER AND LIMITED LIABILITY ARE FUNDAMENTAL
ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SPHERA AND YOU.
SPHERA WOULD NOT BE ABLE TO PROVIDE THE SOFTWARE WITHOUT SUCH
LIMITATIONS.
DURING THE EVALUATION PERIOD, SPHERA IS UNDER NO
OBLIGATION TO PROVIDE UPDATES TO THE SOFTWARE.
10.
SEVERABILITY. If any portion of this Agreement is construed to be illegal, invalid or
unenforceable, such portion shall be deemed stricken and deleted from this Agreement to the
same extent and effect as if it were never incorporated herein, but all other portions shall
continue in full force and effect; provided that such resulting construction of the Agreement
does not frustrate the main purpose of the Agreement.
11.
GOVERNING LAW. This Agreement shall be governed by and construed and
enforced in accordance with the laws of the State of New York (without regard to the
principles of conflicts of law embodied therein) applicable to contracts executed and
performable in such state. You agree that the Sphera Software will not be shipped,
transferred, or exported into any country or used in any manner prohibited by the United
States Export Administration Act or any other export laws, restrictions, or regulations.
12.
MODIFICATION. This Agreement may only be modified in writing signed by an
authorized officer of Sphera.
13.
NO ASSIGNMENT WITHOUT CONSENT. None of your obligations, rights or
interests, or any part thereof, arising under this Agreement, may be sold, assigned or
transferred in any way, to any third party, by operation of law or otherwise, without the prior
written consent of Sphera.
14.
NON-WAIVER. A failure by Sphera to enforce at any time any term, provision or
condition of this Agreement, or to exercise any of its rights or options herein, shall in no way
operate as a waiver thereof, nor shall any single or partial exercise preclude any other right or
option herein; in no way whatsoever shall a waiver of any term, provision or condition of this
Agreement be valid unless in writing, signed by Sphera, and only to the extent set forth in
such writing.
15.
NOTICE TO GOVERNMENT END USERS. The Sphera Software and the related
documentation provided to you are "Commercial Items," as that term is defined at 48 C.F.R.
2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software
Documentation," as such terms are used in 48 C.F.R. 12.212 or 48 C.F.R.227.7202, as
applicable. Consistent with 48 C.F.R. 12.212 or 48 C.F.R. 227.7202-1 through 227.7202-4,
as applicable, the Commercial Computer Software and Commercial Computer Software
Documentation are being licensed to U.S. Government end users (A) only as Commercial
Items and (B) with only those rights as are granted to all other end users pursuant to the terms
and conditions herein.
16.
QPOPPER SOFTWARE
16.1
Use of Qpopper Software.
The license to use the Sphera Software granted to you
under this Agreement includes the right to use certain software owned by third parties (the
"Qpopper Software") that Sphera has modified. Portions of such modified software are based
on software code owned by Qualcomm Incorporated and the Regents of the University of
California. The modified software is produced by Sphera and is not a Qualcomm
Incorporated product. You acknowledge that the software code owned by Qualcomm
Incorporated is only provided pursuant to the terms of the license agreement between
Qualcomm Incorporated and Sphera, a copy of which has been provided to you in electronic
form with the Sphera Software, and pursuant to which Qualcomm Incorporated has granted
Sphera a license to use, with the right to copy, create derivative works of and distribute, the
portions of the Qpopper Software owned by Qualcomm Incorporated.
16.2
No Qualcomm Incorporated Liability.
You acknowledge that Qualcomm
Incorporated bears no responsibility whatsoever for any modifications to the software code
owned by Qualcomm Incorporated.
16.3
Important Notice.
This software program contains code, and/or derivatives or
modifications of code originating from the software program "Popper." Popper is ・
Copyright 1989-1991 The Regents of the University of California, All Rights Reserved.
Popper was created by Austin Shelton, Information Systems and Technology, University of
California, Berkeley. Permission from the Regents of the University of California to use,
copy, modify and distribute the "Popper" software contained herein for any purpose, without
fee, and without a written agreement is hereby granted, provided that the above copyright
notice and this paragraph and the following two paragraphs appear in all copies. HOWEVER,
ADDITIONAL PERMISSIONS MAY BE NECESSARY FROM OTHER PERSONS OR
ENTITIES, TO USE DERIVATIVES OR MODIFICATIONS OF POPPER.
IN NO EVENT SHALL THE UNIVERSITY OF CALIFORNIA BE LIABLE TO ANY
PARTY FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL
DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF THE USE OF THE
POPPER SOFTWARE, OR ITS DERIVATIVES OR MODIFICATIONS, AND ITS

OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE
POPPER SOFTWARE PROVIDED HEREUNDER IS ON AN "AS IS" BASIS, AND THE
UNIVERSITY OF CALIFORNIA HAS NO OBLIGATIONS TO PROVIDE
MAINTENANCE, SUPPORT, UPDATES, ENHANCEMENTS OR MODIFICATIONS.
17.
NOTE ON JAVA SUPPORT. THE SPHERA SOFTWARE MAY CONTAIN
SUPPORT FOR PROGRAMS WRITTEN IN JAVA. JAVA TECHNOLOGY IN NOT
FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED OR INTENDED
FOR USE OR RESALE AS ONLINE CONTROL EQUIPMENT IN HAZARDOUS
ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE
OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR
COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, DIRECT LIFE SUPPORT
MACHINES, OR WEAPONS SYSTEMS, IN WHICH THE FAILURE OF JAVA
TECHNOLOGY COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR

designed, manufactured or intended for use or resale as on-line control equipment in
hazardous environments requiring fail-safe performance, such as in the operation of nuclear
facilities, aircraft navigation or communication systems, air traffic control, direct life support
machines, or weapons systems, in which the failure of the Software could lead directly to
death, personal injury, or severe physical or environmental damage ("High Risk Activities").
Sphera and its suppliers specifically disclaim any express or implied warranty of fitness for
High Risk Activities.
