平成 26 年 5 月 28 日午後 6 時 15 分より 30 分まで、東京都港区六本木 5-11-16 所在の国際文化会館
において定時理事会を開催した。
下記の出席があったので、大橋宏一郎氏は開会と定足数を満たしていることを宣言し、会長フル
シャミッチェル氏の承諾を得て、当会社の定款の定めに従い、議事を進行した。

代表理事の選定
サプスフォード氏は指名委員会を代表して、代表理事にフルシャミッシェル氏、茂木八洲男氏、大
橋宏一朗氏を昨年に引き続き選定、さらに新たに丸山純一氏を選定することを提案した。サプスフ
ォード氏は指名委員会の仕事は理事の選任だが、代表理事および役員の任命についても議論を重ね、
候補者を選定した。理事会はこれを承認した。

会員委員会の宮田委員長に代わって小坂氏は Virtu LLC の会員申請を提案した。確認事項が必要な
ため、承認は次回理事会に持ち越された。
4.
二家勝明氏の旭日小綬章叙勲
茂木氏は日産センチュリーの親会社ユニコムグループホールディングス株式会社代表取締役会長
の二家勝明氏が、永年の商品取引業振興への功労に対し、旭日小綬章を受章したことを報告した。
FIAJ は同氏の受章に対し、祝辞を送った。
会議は終了した。
以上の議論および決議を明確にするため、本議事録を作成し、代表理事および監事が次に署名する。

A Board of Directors Meeting of the FIA Japan was held 18:15 – 18:30 on May 28, 2014 at the International
House. Following the attendance of the board members on the first page which made a quorum, Mr.
Koichiro Ohashi called the meeting to order and declared a quorum and received approval for Mr. Fulscher to
chair the meeting in accordance with the articles of incorporation of Futures Industry Association Japan.
1. Election of Representative Directors
Mr. Jay Sapsford on behalf of Nominating Committee proposed Mr. Mitch Fulscher, Mr. Yasuo Mogi, Mr.
Koichiro Ohashi and Mr. Junichi Maruyama as a Representative Directors. Mr. Sapsford explained that
although the official duty of the Nominating Committeeis to nominate the directors, they also discussed
and considered candidates for “representative directors” and officers. The Representative Directors
proposed were approved by the board members.
2. Election of Officers and Advisors
Mr. Jay Sapsford on behalf of Nominating Committee proposed the officers and Advisors as listed below.
They were approved by the board.

3. Membership application
Mr. Kosaka, Chairman of Membership Committee proposed an application of Virtu Financial LLC. The
approval was deferred to the next board meeting due to missing information.
4. The Conferment of a decoration award to Mr. Futaya
Mr. Mogi reported that Mr. Katsuaki Futaya, Chairman of Unicom Group Holdings, Inc., a parent
company of Nissan Century Securities Co., Ltd was awarded “The Order of Rising Sun, Gold Rays
with Rosette” from the Government of Japan at the Occasion of Cabinet Resolution. Mr. Mogi reported
that on behalf of FIA Japan we sent our congratulations on his award resulting from his many years of
contribution and efforts to enhance the commodity industry in Japan.
