M E M O R A N D U M DATE: October 11, 2012 TO: Investors in Halo Healthcare, Inc. FROM: France Dixon Helfer, President and CEO RE: Halo Healthcare Update and Series A Preferred Stock Offer Dear Halo Healthcare Stakeholder: I am writing to you as a follow up to an August 2012 letter, regarding our current situation and a proposed new round of Series A Preferred Stock financing (the “Series A Offering”) in Halo Healthcare, Inc. (“HaloHC” or the “Company”). The HaloHC team remains committed to the strong future of the Company and has made additional significant progress over the past several months. On May 21, 2012, the legal restructuring of NeoMatrix LLC to Halo Healthcare, Inc., a Delaware C Corporation, was completed. HaloHC management entered into an agreement with Waveland Capital Partners to raise money with us on July 2, 2012. As you are all well aware, we asked existing investors to participate in a new HaloHC Note Offering of $1 million to give the company an 8‐month runway to prove the initiatives we had laid out for the future of the Company. Although the majority of the existing noteholders voted to allow their collateral to be shared with the new Note Offering, unfortunately the Indications of Interest received from existing note and equity holders (HaloHC and NeoMatrix) were under $100,000 in aggregate, which was insufficient to move forward with the Note Offering. As a result, last week two key events occurred: (1) We accepted Waveland Capital Partners resignation as our investment banker; and (2) HaloHC laid off employees of the Company and offered them reduced hours on a consulting basis. I stayed on as an officer of HaloHC. All employees had already drastically reduced compensation, and being laid off additionally shortened their hours and these former employees must now pay for COBRA health insurance benefits. While such employees are free to seek other employment, only one has left HaloHC for other employment. Since HaloHC is now in a position to raise a round of financing independent of Waveland Capital Partners, we intend to aggressively work to do so, and are providing existing investors in HaloHC and NeoMatrix an opportunity to invest in the Series A Offering on very generous terms. The Company intends to raise up to $3 million in the Series A Offering. During an update webinar in April 2012, we showed you a raise of $1 million during 2012 to sustain Memorandum to Investors October 11, 2012 Page 2 operations for an initial 8 months, and to continue raising up to $3 million to give us the runway to continue beyond that time. During this 8‐month period, HaloHC will continue to aggressively pursue outside funding sources from institutional, strategic partner or “angel” sources. At the end of the 8‐month period, if proof of concept relative to our findings is not achieved and forward progress is not demonstrated via increasing revenues, the HaloHC Board and stockholders will have the decision to make as to the direction of the Company. A few of the most significant events which have occurred since the letter I sent you dated August 30, 2012, include the following:  The new Korea distributors have been trained and placed an order for $54,000 in September 2012 with October and November orders committed (minimum of an additional $50,000);  Eastern Europe has just proposed purchases of 30 new consoles and disposables for a 30 center trial (terms are being negotiated); Another article on breast cancer featuring Halo has been published in Greece (a copy is attached); Greece is organizing a one‐day seminar on breast NAF cytology in Athens and Thessaloniki for understanding the HALO® HC's Breast PAP test and results;  HaloHC cancelled the exclusive distribution agreement with the western European distributor based on breach of contract, and we are proceeding to interview other candidates;  A new liquid cytology fixative was used to process Halo test samples from four accounts with very satisfactory results;  A New York pathology lab we are interested in working with has noted an increase in Halo tests and has requested a meeting with its CEO; we will start with a phone conference;  We are in discussions with the CFO of a pathology lab familiar with our technology regarding its interest in a potential investment for certain rights regarding our technologies;  We are in discussions with a Massachusetts diagnostics development company and CLIA lab interested to collaborate in the development and investment for our biomarker assay product; and  Through an introduction, we are pursuing the endorsement of the American Cancer Society (ACS), and are finding out the right steps to take to secure this endorsement We also want to take this opportunity to sincerely thank Waveland Capital Partners for their past and current support of Halo Healthcare. Their confidence and financial support in the Halo test, including $240,000 in capital infusions the past several months, and their belief and support in the future of the Company (including the Pivot breast cancer assay) has enabled the Company to remain viable. Waveland remains strongly supportive of Halo Healthcare. Memorandum to Investors October 11, 2012 Page 3 Series A Preferred Stock Offering Included with this letter is a Term Sheet for the proposed Series A Offering. The Series A Offering takes the place of the previously proposed Note Offering that failed to generate enough interest from existing HaloHC and NeoMatrix investors to proceed. The Company drafted the enclosed Term Sheet with its legal counsel and got further input from one of the largest investors in NeoMatrix (the “Lead Investor”), who has offered to assist us in funding the round. This input, frankly, resulted in changes to the Term Sheet that are extremely generous and advantageous for investors in the Series A Offering, including:  Price per share of $1.251;  Senior to all prior equity, including the preferred stock into which the currently collateralized membership interests of HHC Preferred, LLC will convert;  Very substantial warrant coverage (up to 500%) with an exercise price of $1.25 per share to purchase Series A Preferred Stock in addition to the Series A shares being purchased in the Series A Offering, which could result in significant additional upside potential and, therefore, significant additional dilution to existing HaloHC and NeoMatrix investors; and  Based on the proposed warrant coverage and a $3 million raise, the potential fully diluted ownership attendant to the Series A shares and warrants would range from approximately 63% to 72% of HaloHC. For complete terms of the Series A offering, please review the enclosed Term Sheet. The purpose of the proposed terms by the Lead Investor are, frankly, to give existing investors the opportunity to claw back (i.e., reset) substantial ownership in the HaloHC opportunity to offset the dilution from prior years of funding. Obviously only those investors who participate in the Series A Offering will have this opportunity. It is absolutely imperative that the Company raise new capital. Presently we have an urgent need for capital to order product to meet sales orders. Absent securing new funding the Company may have to cease operations, therefore it is critical that we receive your approval to move forward with the Series A Offering as soon as possible. We believe we have some great initiatives for the Company going forward and we continue to make progress. It would be a shame for HaloHC not to move forward at this point. The proceeds of the Series A Offering will be used for: (1) General and administrative; (2) research and development; (3) clinical research; (4) marketing; (5) sales; and (6) manufacturing. The Company is asking a majority of the members of NeoMatrix, LLC to approve the proposed Series A Offering by signing the enclosed voting documents. (The proposed new offering does not require a vote of the members of HHC Preferred, LLC.) Please send in your vote as soon as possible. Το μηχάνημα έχει έρθει στην Ελλάδα από το Δεκέμβριο του 2011 και ήμασταν η πρώτη ευρωπαϊκή
χώρα που το εισήγαγε. Η εξέταση κρατά μόλις 5
λεπτά και όσον αφορά τον πόνο, χαρακτηρίζεται
με ένα 4 στην κλίμακα του 10. Δύο σιλικονούχα δοχεία σε σχήμα χωνιού εφαρμόζουν στους μαστούς
και με τη βοήθεια της θερμότητας, της δόνησης
(μασάζ) και της αναρρόφησης διεγείρουν τους
γαλακτοφόρους πόρους, ώστε αυτοί να βγάλουν
υγρό. Οι γαλακτοφόροι πόροι είναι το σημείο από
το οποίο ξεκινούν οι περισσότεροι καρκίνοι του
μαστού και άρα τα κύτταρα που βρίσκονται μέσα σε αυτό το υγρό
έχουν πολλά να «πουν». Οι θηλές φυσικά μπορεί να μη βγάλουν και
καθόλου υγρό, το οποίο θεωρείται το καλύτερο δυνατό σενάριο, ενώ,
αν βγάλουν υγρό, αυτό αναλύεται κυτταρολογικά. Φυσικά, η απουσία
υγρού κατά την εξέταση, δεν σημαίνει πως σε μελλοντική εξέταση δεν
θα υπάρξει υγρό.

μελέτη στην οποία υποστήριζε πως η κυτταρολογική εξέταση των εκκριμάτων της θηλής του
μαστού είναι πολύτιμη στη διάγνωση των παθήσεων του μαστού, συμπεριλαμβανομένου και του καρκίνου. Από τότε μέχρι σήμερα πολλοί
και διαφορετικοί επιστήμονες και ερευνητές προσπαθούσαν να βρουν
το σωστό τρόπο συλλογής του υγρού από τη θηλή. Δοκίμασαν να το
κάνουν με το χέρι, μέθοδος που δεν έδινε καλά αποτελέσματα, γιατί η
ποσότητα υγρού που συλλεγόταν βρισκόταν σε άμεση εξάρτηση με
το πόσο πίεζε ο κάθε γιατρός το στήθος. Προσπάθησαν να το κάνουν

Αυτό που αναζητούν οι γιατροί σε αυτήν την κυτταρολογική ανάλυση
είναι κατά πόσον υπάρχει κάποια μορφή «ατυπίας» κυττάρων. Ατυπία
σημαίνει πως κάτι συμβαίνει στα κύτταρά μας, αυτό το «κάτι» όμως
ξεκαθαρίζουν οι ειδικοί σε καμία περίπτωση δεν είναι οπωσδήποτε
καρκίνος του μαστού. Μπορεί να είναι από μία απλή φλεγμονή ή ένας
τραυματισμός έως οτιδήποτε άλλο. Ατυπία, λοιπόν, σημαίνει παρακολούθηση πλέον από εξειδικευμένο μαστολόγο. Αρκεί να αναφερθεί
πως σύμφωνα με τους γιατρούς ένας όγκος στο στήθος μας για να γίνει
ψηλαφητός ή ορατός χρειάζεται 7-10 χρόνια από τη στιγμή που ξεκινά
να σχηματίζεται. Δηλαδή, ένας όγκος ανιχνεύσιμος στη μαστογραφία
είναι αποτέλεσμα μίας διαδικασίας που ξεκίνησε 10 χρόνια νωρίτερα.
Με βάση αυτό το δεδομένο, η νέα αυτή εξέταση υποστηρίζει πως
μπορεί να εντοπίσει τα όποια «ύποπτα» κύτταρα 7-10 χρόνια πριν αυτά
τελικά εξελιχθούν ή όχι σε καρκίνο. Πρέπει να γίνει ξεκάθαρο, επίσης,
πως η ατυπία είναι κάτι που αλλάζει από ημέρα σε ημέρα, δηλαδή το
και της έγκαιρης διάγνωσης.

ότι δεν εμφανίστηκε τίποτα ύποπτο στην κυτταρολογική που κάνει μια
γυναίκα σήμερα, δεν σημαίνει πως ύστερα από μία εβδομάδα ή έναν
μήνα τα αποτελέσματα θα είναι τα ίδια. Έτσι, η εξέταση καλό είναι να
επαναλαμβάνεται κάθε χρόνο. Άλλωστε, η εξέταση αυτή δεν ήρθε για
να αντικαταστήσει ούτε να εξοβελίσει καμία από τις ήδη υπάρχουσες,
είναι απλώς ένα ακόμη «risk assessment» (μέσο εκτίμησης κινδύνου),
όπως χαρακτηριστικά λέγεται στον αγώνα της πρόληψης του καρκίνου
του μαστού.
Σε ποιες απευθύνεται
Η εξέταση αυτή αφορά γυναίκες 25+ ασυμπτωματικές, γυναίκες 18+ με
επιβαρυμένο οικογενειακό ιστορικό, γυναίκες που έχουν κάνει μαστεκτομή και ελέγχουν τον άλλο μαστό, γυναίκες με ρήση θηλής (έκκριση
υγρού από τη θηλή). Το μεγάλο της ατού έγκειται στο ότι είναι εντελώς
μη επεμβατική, σε αντίθεση με όλες τις μέχρι τώρα υπάρχουσες κυτταρολογικές εξετάσεις μαστού, και αρκετά ανώδυνη και προσιτή, ώστε να
μπορεί να γίνεται με ευκολία από μία μεγάλη γκάμα γυναικών. Λ
