MBA Concepts for Lawyers provides a one-day crash course in understanding the legal impact of business
operations on your individual and corporate clients, providing important insights into their health, value and
future stability. The principles are constant and apply to all types and sizes of businesses.
Program Highlights include practical techniques to help you spot vital financial and legal issues including methods
for reading a balance sheet, income statement and statement of cash flows. A discussion of the risk and return
model, how stocks and bonds are priced, and the effective and ethical use of financial leverage, including the
accompanying legal doctrines in the areas of mergers and acquisitions and securities. Significant financial reform
legislation will be discussed, including disclosure, corporate governance and executive compensation
requirements and changes to exemption registration requirements. Two ethical case studies will be presented in
the context of financial accounting, discussing whether the lawyers involved potentially violated the rules of
professional responsibility.

Edward S. Adams is the Howard E. Buhse professor of finance and law, Co-Director of the Kommerstad
Centre for Business Law and Entrepreneurship, and Director of Continuing Legal Education Programs at
the University of Minnesota Law School where he specializes in corporate law, corporate finance,
secured transactions, commercial paper and bankruptcy.
Professor Adams graduated cum laude from the University of Chicago Law School and obtained a
Masters of Business Administration from the Carlson School of Management at the University of
Minnesota. He has authored 15 books and more than 30 articles of business-related issues.
As a lawyer, business advisor, consultant and principal, he has more than $50 billion of transactional
experience in public and private offerings of equity and debt, mergers and acquisitions of public and
closely held corporations, loan restructurings, receivables financing, structured finance, commercial
transactions, and bankruptcy liquidations and reorganizations.
